ThisManufacturingAgreement（this“Agreement”）ismadeandenteredintoasof___________

byandamong____________________________________________________company,（“Buyer”）and

referredtohereinas“Manufacturer”agreeandacknowledgethateachshallbejointlyandseverallyliable

fortheobligationsandliabilitiesofManufacturerhereunder.

WHEREAS,BuyerdesirestograntandManufacturerdesirestoacceptanon-exclusivemanufacturingrighttomanufacturecertain,specificallyidentifiedproducts.

鉴于，买方希望授予且制造方希望接受一项非排他性的制造权，使制造方有权制造某些特别规定的产品。

NOWTHEREFORE,inconsiderationofthemutualcovenantshereincontainedandforothergoodandvaluableconsideration,thereceiptofwhichisherebyacknowledged,thePartiesheretoagreeasfollows:

1）Definitions.InadditiontothedefinitionscontainedinthisAgreement,thefollowingtermsshallhavethemeaningssetforthinthisSection1.

a）“Affiliate”shallmean:

withrespecttoanyParty,anyotherpartydirectlyorindirectlycontrolling,controlledby,orundercommoncontrolwithsuchParty.Forpurposesofthisdefinition,“control”whenusedwithrespecttoanyparty,meansthepossession,directlyorindirectly,ofthepowertodirectorcausethedirectionofthemanagementandpoliciesofsuchparty,whetherthroughtheownershipofvotingsecurities,bycontractorotherwise;theterms

“controlling”and“controlled”havemeaningscorrelativetotheforegoing.

“关联方”系指直接或间接控制一方，或直接或间接被一方控制或与一方共同处于他方控制下的当事方。

在本条定义中，“控制”系指某当事方通过拥有具有投票权的证券、通过合同或通过其他方式直接或间接拥有的、指挥或使他人指挥该方管理与政策的权力。

b）“BuyerMarks”shallmeanthetrademarksandtradenames（whetherownedorlicensedbyBuyer）specifiedbyBuyerthataretobeusedinconnectionwiththemanufacturingandpackagingoftheProducts.

“买方标识”系指买方规定的用于产品制造与包装的商标及商业名称（无论是由买方拥有抑或由买方许可）。

c）“IntellectualProperty”shallmeananyandallpatents（andapplicationstherefore）,BuyerMarks,trademarks（andapplicationstherefore）,tradesecrets,tradenames,tradedress,maskworks,copyrights,otherintellectualpropertyrightsorproprietaryrights,ideas,concepts,knowhow,techniques,inventions,discoveries,improvements,documents,products,systems,practices,procedures,means,methods,designs,devices,programs,software,drawingsandsketches,andtradesecretsrelatingtothedesign,development,implementation,use,maintenanceandupgradingoftheProduct.IntellectualPropertyincludes,butisnotlimitedto,subjectmatterthatfallswithinthedefinitionofpatentablesubjectmatterunderthelawsoftheU.S.oranyothercountryorwithinthedefinitionofcopyrightablematerialsunderthelawsoftheU.S.oranyothercountry.

“知识产权”系指与产品设计、开发、实施、使用、维护与升级相关的所有专利（以及专利申请）、买方标识、商标（及商标申请）、商业秘密、商业名称、商业外观、掩模作品、版权、其他知识产权或专有权利、理念、概念、技术诀窍、技术、发明、发现、改良、文件、产品、系统、实践、程序、方法、方式、设计、装置、程序、软件、图纸及草图以及商业秘密。

知识产权包括但不限于美国或其他国家法律所规定的属于可取得专利的标的或属于美国或其他国家法律所规定的属于可取得版权的标的。

d）“Products”shallmeanthegoodsandallrelatedpackagingandmaterialstobemanufacturedunderthisAgreementanddescribedinExhibitAattachedhereto,asmaybeamendedfromtime

totimebywrittenagreementoftheparties,orassetforthinsubsequentPurchaseOrders（asdefinedbelow）.

“产品”系指根据本协议制造的并在本协议附件A（本协议双方可通过书面协议不时对其进行修改）中列出的或在随后的采购订单（定义如下）中规定的所有货物及所有相关包装及物料。

e）“Services”shallmeantheservicestobeprovidedbyManufacturerunderthisAgreementorassetforthinaPurchaseOrder.

“服务”系指制造方根据本协议或采购订单提供的服务。

f）“Specifications”shallmeantheProductand/ormanufacturingspecificationssetforthinExhibit

Aattachedhereto,asmayfromtimetotimeeitherbeamendedbywrittenagreementoftheparties,orassetforthinsubsequentPurchaseOrdersandacceptedbyManufacturer.

“技术规格”系指本协议附件A（本协议双方可通过书面协议不时对其进行修改）或随后的采购订单中规定的并经制造方接受的产品和/或制造规格。

2）ManufacturingRights.制造权利

a）Scope.ThisAgreementwillapplytoallPurchaseOrdersforallProductsandServicesplacedbyBuyertoManufacturer.ManufacturerwillmanufactureanddeliverProductsandsupplyServicespursuanttothisAgreementandapplicablePurchaseOrders,subjecttoBuyerprovidingManufacturerwiththeSpecificationsfortheProduct,brandinformation,IntellectualProperty,togetherwithanyotherdata,firmwareorrequiredinformation.

“范围”。

本协议适用于买方向制造方发出的所有产品及服务采购单。

制造方将根据本协议及适用的采购单制造、交付产品并提供服务，但前提是买方必须向制造方提供产品的技术规格、商标信息、知识产权以及所有其他数据、固件或必要信息。

b）ManufacturingRight.BuyerherebygrantsManufacturerandManufacturerherebyacceptsthenon-exclusive,worldwiderighttomanufactureandpackagetheProductinaccordancewiththisAgreement.ManufacturershallacquirenootherrightorlicenseexceptasexpresslygrantedinthisAgreement.AllrightsnotexpresslygrantedhereunderarereservedbyBuyer.ManufacturerherebyagreestomanufactureandselltoBuyersuchquantitiesoftheProductsforwhichBuyerissuespurchaseorderspursuanttothisAgreement.ManufacturershallmanufacturetheProducts

instrictcompliancewiththeSpecifications.Manufacturershallnotmanufacture,package,sell,shiporotherwisedistributeanyProductsdesignedtotheSpecifications,oranyProductscontaininganyofBuyer’sIntellectualProperty,toanypersonorentity,otherthanBuyer,unlesswithBuyer’sexpressconsent.

制造权利买方在此授予制造方且制造方在此接受一项非排他性且全球性的权利，使制造方有权根据本协议制造并包装产品。

除本协议内明确授予的外，制造方不取得任何其它权利或许可。

所有未在本协议内明确授予的权利均由买方保留。

制造方在此同意制造并向买方出售买方根据本协议出具之采购单内规定数量的产品。

制造方应严格按照技术规格制造产品。

除非经买方事先许可，制造方不得为买方外的任何其它人或实体制造、包装、出售、装运或以其他方式分销根据技术规格制造的产品或含有买方任何知识产权的产品。

c）Subcontracting.ManufacturermayengagesubcontractorsorvendorstoprovidecomponentsorsubassembliesfortheProducts,providedthatManufacturerprovidesBuyerwithawrittennotice

ofsuchsubcontractorsorvendorspriortosuchengagement.ManufacturershallnotengageanysubcontractortomanufacturetheProducts.Notwithstandinganythinghereintothecontrary,ManufacturershallbeliabletoBuyerforanybreachofthisAgreementbyanysuchthirdpartysubcontractorsorvendors.

转包制造方可聘请分包商或供应商提供产品零部件，但制造方必须事先就该等分包商或供应商事宜书面通知买方。

无论本协议如何规定，任何第三方分包商或供应商违反本协议的，制造上均应对买方承担责任。

d）Changes.ManufacturershallnotmakechangestotheSpecificationswithoutthepriorwrittenapprovalofBuyer.Buyermayfromtimetotimedirectthatmodificationsbemadetothedesign

oftheProducts.SuchmodificationsmayoriginatewithBuyerormayberecommendedbyManufacturer.Withinthirty（30）daysfollowingManufacturer’sreceiptofarequestedmodificationfromBuyer,ManufacturershallprovideBuyerabindingestimateoftheeffectofsuchmodificationontheManufacturingPrice（asdefinedbelow）.IfBuyerapprovestheestimate

inwriting,ManufacturershallmakesuchmodificationsassoonaspracticableuponreceiptofsuchnoticefromBuyer.Further,ManufactureragreestoadviseBuyerinwritingofanymaterialchangestomanufacturingprocessesandanychangestomaterials,sourcesofsupply,orprocesschemistries,testprocedures,qualityreportingorothermajorprocesses,andtoensurethatanysuchchangesdonotcompromiseSpecifications,quality,orreliabilityofProductsorderedpursuanttothisAgreement.Inthecaseofchangestomaterialsorsourcesofsupply,suchnoticeshallbeprovidednolessthantheapplicablematerial’sleadtimeplusthirty（30）dayspriortotheeffectivenessofsuchchange.ManufacturermaynotmakeanysuchchangeswithoutpriorwrittenapprovalfromBuyer.

变更未经买方事先书面同意，制造方不得对技术规格进行任何变更。

买方可不时指示对产品设计进行变更。

该等变更可由买方提议或由制造方推荐。

在制造方收到买方要求变更的请求i后的三十（30）日内，制造方应向买方提供一份具有约束力的、有关该等变更对制造价格（定义如下）影响的预估表。

制造方应在收到买方通知后尽快进行变更。

此外，制造方同意书面就制造流程的实质性变更以及物料、供应源、流程、测试程序、质量报告或其他重要程序的变更对买方进行书面建议，以确保任何变更均不影响任何技术规格、质量或产品可靠性。

物料或供应源发生变更的，应在变更生效前（物料送达期限加三十（30）日）进行通知。

未经买方事先书面同意，制造方不得进行任何变更。

e）QualityAssurance.ManufacturershalltakeallnecessaryactionstoensurethattheProductcompliesinallrespectswiththeSpecificationsandthequalityapprovalproceduresimposedbyBuyerfromtimetotime,including,withoutlimitation,thedeliveryofproductsamples,packagingandwrappingmaterial,labelingandotherrelevantmaterials.Withoutlimitingthegeneralityoftheforegoing,Manufacturershallcomplywiththefollowingminimumqualityassuranceprocedures:

质量保证制造方应采取一切必要措施确保产品符合技术规格以及买方不时规定的质量核准流程的要求，包括但不限于样品交付、包装物料、标签与其它相关物料。

在不限制上述规定通用性的情况下，制造上应遵守以下最低质量保证程序：

i）Manufacturerwillmaintainqualityassurancesystemsforthecontrolofmaterialquality,processing,assembly,testing,packagingandshippinginaccordancewiththeSpecificationsandBuyer’sinstructions.

制造上应有一套质量保证体系，以根据技术规格及买方指示控制物料质量、加工、装配、测试、包装与装运过程。

ii）Manufacturerwillperformitsstandardtestprocedures,aswellasanytestproceduresrequestedbyBuyer,relatingtoProductsandServices.Manufacturerwillperformtestsusingthetestequipment,proceduresandsoftwareasagreedbetweenBuyerandManufacturer.

制造方将履行其标准测试流程以及买方要求的有关产品及服务的其它测试流程。

制造方将使用买方与其约定的测试设备、程序与软件进行测试。

iii）BuyerandBuyer’scustomersmay,duringnormalbusinesshoursandfollowingreasonablenotice,subjecttoManufacturer’sarrangement,reviewManufacturer’sfacilities,qualitycontrolproceduresandrelatedrecordsasreasonablynecessaryforBuyerand/orB
