ContinuingGuaranty持续担保协议-

WHEREAS,OwnerandCCC,INC.a_________corporation（hereinaftercalledContractor）,haveenteredintothatcertainAgreementforGuaranteedMaximumPriceConstructionServicesdated_________（M/D/Y）fortheconstructionofProject（assuchmaybeamended,modifiedorrestatedfromtimetotime,hereinaftercalledtheAgreement

WHEREAS,Contractoristhewholly-ownedsubsidiaryofGuarantor;and

WHEREAS,inconsiderationofOwner’senteringintotheAgreementwithContractor,andasaconditiontoanyobligationsofOwnertoContractorundertheAgreement,theGuarantorhasagreed,attherequestofContractor,toguaranteeunconditionallyanyandallobligationsoftheContractortoOwnerasprovidedhereinandGuarantorandOwneracknowledgeandagreethatwithoutsuchunconditionalguaranteefromGuarantorasprovidedherein,OwnerwouldnothaveenteredintotheAgreement;

NOW,THEREFORE,forvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledgedbytheGuarantor,theGuarantoragreeswithOwnerasfollows:

1.Guarantorherebyunconditionallyandabsolutelyguaranteesthedueandpunctualperformance,paymentandobservancebyContractorofallContractor’sobligationsundertheAgreement,forthetimelyandlienfreecompletionoftheWork（asdefinedintheAgreement）andpaymentofallcosts,expenses,chargesandfees,includingcostoverruns,relatingtotheforegoing,andthepaymentofallamountsowingtoOwnerpursuanttotheAgreement.ThisGuarantyshalltakeeffectonthedatehereofasanabsolute,irrevocableandcontinuingGuaranty.NotwithstandingtheprovisionsofthisSection1,Guarantor’sguaranteeobligationsunderthisGuarantyshallterminateandbeofnofurtherlegalforceandeffectuponFinalPaymentbyOwnerpursuanttotheAgreement.

2.IfContractorfailstoperformanyofitsobligationsundertheAgreement,orcommitsanybreachthereof,Guarantorshallimmediately,atitssolecostandexpense:

（i）takesuchstepsasmaybenecessarytocauseContractortoperformallContractor’sobligationsundertheAgreement,orremedyanybreachthereof;or（ii）takesuchstepsasmaybenecessary,itselforthroughathirdpartyotherthanContractor,toperformallofContractor’sobligationsundertheAgreement,ortoremedyanybreachthereof.

3.IfGuarantorfailsatanytimetoperformanyobligationsunderthisGuarantyafterwrittendemandhavingbeenmadebyOwner,Ownermay,withouttheneedtogivefurthernoticethereoftoGuarantor,performitself,orhaveanythirdpartyperform,anysuchobligationsandGuarantorshallindemnifyOwnerfromandagainstanyandalllosses,damages,costsandexpenseswhichmaybeincurredbyOwnerbyreasonoforinconnectionwithanysuchfailure,includingwithoutlimitationanyandallcostsincurredbyOwnerinsoperformingorsohavingperformed,suchobligations.

4.SubjecttoSection1hereof,Guarantor,shallnotinanywaybereleasedfromanyofitsobligationsarisingunderthisGuaranty,norshallanysuchobligationsbediminished,impairedorreducedby:

（i）terminationoftheAgreement;（ii）alterationstothetermsoftheAgreement;（iii）forbearanceorforgivenessinrespectofanymatterorthingconcerningtheContractoronthepartofOwnerorContractor;or（iv）theinsolvency,bankruptcy,arrangement,adjustment,composition,liquidation,disability,dissolution,death,orlackofpowerofContractororGuarantororanyotherpersonorentityatanytimeliablefortheperformanceofallorpartoftheobligationsguaranteedunderthisGuarantyoranychangesinorreorganizationofContractor.

5.TherightsandremediesofOwnerarisingunderthisGuarantyshalloperateindependentlyofanyrightsandremediesOwnermayhavearisingunderanyotheragreement（includingwithoutlimitationtheAgreement）andOwnershallnotberequiredtoproceedfirstoratallagainstContractororanyotherpersonbeforeenforcingthetermsoftheGuaranty.

6.Guarantorrepresentsandwarrantsthat:

（a）Guarantorhasthepowerandauthoritytoexecute,deliverandperformitsobligationsunderthisGuaranty,（b）theexecution,deliveryandperformancebyGuarantorofthisGuarantydonotviolateorconflictwith,breach,orconstituteadefaultunder,orrequireconsentunderanyagreementordocumentbindingorcoveringGuarantororanyofitsproperty,（c）thisGuarantyconstitutesalegal,validandbindingobligationofGuarantor,enforceableagainstGuarantorinaccordancewithitsterms,and（d）（i）thisGuarantyisnotgivenwithactualintenttohinder,delayordefraudanyentitytowhichGuarantoris,orwillbecomeonorafterthedateofthisGuaranty,indebted,（ii）GuarantorhasreceivedatleastareasonablyequivalentvalueinexchangeforthegivingofthisGuaranty,（iii）GuarantorisnotinsolventonthedateofthisGuarantyandwillnotbecomeinsolventasaresultofgivingthisGuaranty,and（iv）GuarantordoesnotintendtoincurdebtsthatwillbebeyondGuarantor’sabilitytopayassuchdebtsbecomedue.

7.IntheeventOwnerbringsanactiontoenforcethisGuaranty,GuarantorwillreimburseOwnerforallexpensesincurredbyOwner,including,butnotlimitedto,reasonableattorneys’feesandcosts.

8.Allnotices,advices,demands,requests,consents,statements,satisfactions,waivers,designations,refusals,confirmationsordenialsthatmayberequiredorotherwiseprovidedfororcontemplatedunderthetermsofthisGuarantyforanypartytoserveuponorgivetoanyothershall,whetherornotsostated,beinwriting,andifnotsoinwritingshallnotbedeemedtohavebeengiven,andbeeitherpersonallyserved,sentbyelectroniccommunication,whetherbytelex,telegram,ortelecopying,sentbyrecognizedovernightcourierservice,orsentwithreturnreceiptrequestedbyregisteredorcertifiedmailwithpostageprepaid（includingregistrationorcertificationcharges）inasecurelyenclosedandsealedenvelope,tothefollowingaddresses:

1.Forvaluableconsideration,theundersigned（hereinaftercalledGuarantors）jointlyandseverally,unconditionallyguaranteeandpromisetopaytoAAA（hereinaftercalledBank）,ororder,ondemand,inlawfulmoneyortheUnitedStates,anyandallIndebtednessofBBBLIMITEDPARTNERSHIP,aN_________（STATE）limitedpartnership（hereinaftercalledBorrowers）toBank.ThewordIndebtednessisusedhereininitsmostcomprehensivesenseandincludesanyandalladvances,debts,obligationsandliabilitiesofBorrowers,andanyandallcontracts,lettersofcreditorcommitmentsofBankmadeforthebenefitorattherequestofGuarantorsorBorrowers,oranyoneormoreofthem,heretofore,noworhereaftermade,incurredorcreated,whethervoluntaryorinvoluntary,andhoweverarisingwhetherdueornotdue,absoluteorcontingent,liquidatedorunliquidated,determinedorundetermined,andwhetherBorrowersmaybeliableindividuallyorjointlywithothers,orwhetherrecoveryuponsuchIndebtednessmaybe,orhereafterbecomes,barredbyanystatuteoflimitations,orwhethersuchIndebtednessmaybe,orhereafterbecomes,otherwiseunenforceable.

2.TheliabilityofGuarantorsshallnotexceedatanyonetimethetotaloftheprincipalsumof_________Dollars（$,_________）plusallaccruedandaccruinginterestuponthesaidguaranteedprincipalIndebtednessascontractedandagreedbyBorrowers.ThisGuarantyshallbindandobligateeachoftheundersigned,hisheirs,legatees,devisees,personalrepresentatives,successorsandassigns,withsaidBorrower,jointlyandseverally,forthepaymentofsaidIndebtednesspreciselyasifthesamehadbeencontractedandwasdueandowingbyhiminperson.TheobligationshereunderarejointandseveralandindependentoftheobligationsofBorrowersandaseparateactionoractionsmaybebroughtandprosecutedagainstGuarantorswhetheractionisbroughtagainstBorrowersorwhetherBorrowersbejoinedinanysuchactionoractions;andGuarantorswaivedthebenefitofanystatuteoflimitationsaffectingtheirliabilityhereunderortheenforcementthereof.GuarantorsfurtherwaiveanyactionagainsttheBorrowersorGuarantorsrequiredbyanystatute,uponnotice.

3.NorevocationhereofshallaffectinanymannerrightsarisingunderthisGuarantywithrespectto（a）liabilitieswhichshallhavebeencreated,contracted,assumedorincurredpriortoactualreceiptbytheBankofwrittennoticeofsuchrevocation;（b）liabilitieswhichshallhavebeencreated,contracted,assumedorincurredafteractualreceiptbyBankofsuchwrittennoticepursuanttoanycontract,letterofcreditorcommitmententeredintobytheBankpriortoreceiptofsuchnotice,or（c）anyoftheaforementionedliabilitiesarisingoutoforinanywayrelatedtotheIndebtednesswhichshallhavebeenrenewed,modified,extended,consolidated,amendedorrevisedafterrevocationofthisGuaranty,anyorallofwhichactionsarecontemplatedandherebypermittedbyGuarantors,andthisGuarantyshallcontinueinfullforceandeffect,andBankshallhavetherightshereinprovidedfor,asifnosuchrevocationhadoccurred.ThesoleeffectofrevocationhereofshallbetoexcludefromthisGuarantyliabilitiesandIndebtednessthereafterarisingwhichareunconnectedwith（a）liabilitiesandIndebtednesstheretoforearisingandexisting,or（b）transactions,contracts,lettersofcreditorcommitmentstheretoforeenteredintoormade,whicharerenewedmodified,extended,consolidated,amendedorrevisedaftersuchrevocation.AnysuchrevocationofthisGuarantyatanytimeortimesbyoneormoreoftheundersignedGuarantorsshallnota
