10仲裁：
凡因本合同引起的或与本合同有关的任何争议，双方同意提交：

11本合同承受书面形式，由买卖双方授权代表签。
双方在合同签订日之前以其它书面通讯方式,如信函、电报、传真或电子邮件形式达成的成交内容，须由本合同确认。

1.interestrate:

1.theborrowerhasopenedforeignaccountandreiminbiaccountattheofficeofthelenderorthebranchofthelender;
2.thiscontractandtheappendiceshavebeeneffective;
3.theborrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttothelender;
4.theborrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract;
5.theborrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;
6.theguarantyunderthiscontracthasbeeneffective;
7.theborrowerhasbeensatisfiedthewarrantsunderarticle11ofthiscontract;
8.theotherrequirementforthedraw-downhavebeensatisfied.
article8repaymentplanandprepayment
1.theborrowershallrepaytheloaninaccordancewiththestatusofitscash.theborrowershallinformthelenderthepaymentamountanddate[___]priortomakethepayment.theborrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.
2.thepaymentmadebytheborrowerandthedeductionfromtheaccountoftheborrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.

4.theinstallmentofrepaymentshallnotlessthan1million.

thelendershallkeeprecordinthelendersaccountfortheprincipal,interestsandfeesandotherfeesoftheborrowerunderthiscontract;theabovementionedrecordandthedocumentationforthedraw-down,repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheborrowerandthelender.
article10guaranty
1.（theguarantor）shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.
2.duringthetermofthiscontract,iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaymentofdebtsbecomeweak,thelendershallhaverighttorequesttheborrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.
article11representationsandwarranties
i.theborrowersrepresentsandwarrantsasfollows:
1.theborrowerisacompanydulyorganizedandvalidlye_istingunderthelawofthepeoplesrepublicofchinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.theborrowerhasthepowertohandleitassetsusedinoperation.
2.theborrowerisatitsoptiontosignandperformthiscontract.itistheborrowerstruemeaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationorregulationsorcontracts.theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.
3.thealldocuments,materials,reportsandcertificatesprovidedtothelenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffective
4.theborrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausethelenderrefusetoe_tendtheloan:
