为了规范甲乙双方行为，保护双方的合法利益，根据中华人民共和国有关法律、法规规定，甲、乙双方本着自愿、平等、公平、诚实信用的原则，签订本协议。
Inordertostandardizethebehaviorandprotectthelegitimateinterestsforbothparties,basedonvoluntary,equality,fairness,honestyandcreditprinciples,PartAandPartBsignthisagreementaccordingtotherelevantlawsandregulationsofP.R.C..
第一条合作宗旨
Article1Co-operationPhilosophy
甲、乙双方本着互利互惠、共同经营、共同发展的原则，共同投资建设和经营“真冰溜冰场”项目。
Baseontheprinciplesofmutualbenefitandreciprocity,co-operationandco-development,PartyAandPartyBco-invest,constructandruntheproject“TheShengyangTiexiLongzhimengRealIceRink”.
第二条合作项目概况
Article2SummarytotheCo-operationProject
1、项目名称：
真冰溜冰场项目（以下简称“项目”或“本项目”）。
ProjectName:
TheRealIceRinkProject（hereinafterreferredtoas“Project”or“ThisProject”）.
2、甲乙双方愿意就本项目采用共同投资、建设、运营的合作经营模式。
PartyAandPartyBarewillingtotakethecooperativeoperationmodelonThisProjectwhichtheyco-invest,constructandrunthebusiness.
3、经过甲乙双方共同审核后的项目总投资额为人民币万元（大写人民币万元），包含：

合作期限：
自本项目冰场开业之日起合作期限25年，期满后甲乙双方可以续签。

第四条出资方式和出资方权益
Article4WaysofInvestmentandRights&InterestofInvestors
1、甲乙双方按照冰场主体部分的投资总额分别出资50%，共同投资万元人民币，建设一个达到省内高档次的商业中心娱乐型真冰溜冰场。
PartyAandPartyBseparatelyinvest50%ofthetotalinvestmentsumofthemainpartoftheicerink,thatis,co-investRMBtoconstructarealicerinkwhichachievesattheinternationallevelandtoplevelinShandongProvince.
2、出资形式：
甲方出资额为万元，以现金方式出资；乙方出资额为万元，以设备出资。
WaysofInvestment:
PartyAinvestsRMBincash,whilePartyBinvestsRMBinwaysoftheequipmentsandtheconstructionoftheicerinksystem.
3、冰场配套的照明灯光和服务区设备及装修共计万元需要根据龙之梦铁西商业购物中心的风格进行单独设计，该项配套投资由甲方投入。
InviewofthematchedlightingsandtheequipmentsinserviceareaaswellasthedecorationfeeRMBintotalwhichneedtodesignsolelyaccordingtothestyleofTheShengyangTiexiLongzhimengshoppingmall,thismatchinginvestmentisinvestedbyPartyA.
4、冰车的使用寿命为50年，属于甲方的长期固定资产，因此该项配套投资万元也由甲方投入。
该冰车保修期为2年，保修期外，该冰车在合作期间的维修费用计入双方组建的“联合管理办公室”的营业运营成本。
TheworkinglifeoftheIceTreatmentMachineis50yearsanditbelongstoPartyA’slong-termfixedasset,sothismatchinginvestmentofRMBisalsoinvestedbyPartyA.Thewarrantyis2years.ThemaintenancefeeoftheIceTreatmentMachinewillbecalculatedinoperationcostof“IceRinkJointManagementOfficeofLongzhimengEuroJoy”afterwarrantyexpires.
5、甲乙双方各拥有本项目50%的权益。
甲乙双方按照各50%的权益分享本项目产生的利润。
PartyAandPartyBhavethe50%ofrightsandinterestsofThisProjectseparately.AndbothsidessharetheprofitsproducedbyThisProjectaccordingtotheir50%ofrightsandinterests.
第五条特别约定
Article5SpecialAppointment
1、甲乙双方同意，甲乙双方按照各50%的权益分享本项目产生的收益。
PartyAandPartyBagreethat,AftertheallocationofaboveoutputtoPartyAinpriority,bothsidessharetheprofitsproducedfromThisProjectaccordingtotheirseparate50%rightsandinterests.
2、本项目运营中所产生的物业管理费、租赁费、水电费用计入双方组建的“冰场联合管理办公室”的营业运营成本。
甲方保证该项目拿到最优惠的物业管理费。
租金按照0.5元/日/平方米计算，甲方保证该租金10年不变，计租面积按照最终施工图纸面积计算。
（物业管理费、租赁费、水电费用由双方明确后可做补充协议。
Thecostofpropertymanagement,rental,electricityandwatercostiscalculatedinoperationcostof“IceRinkJointManagementOfficeofShandongSunwingRealEstateCo.,Ltd”.PartyAguaranteestogiveapreferentialpropertymanagementfee.TherentaliscalculatedasRMB0.5/day/m2.PartyAguaranteesthattherentalfeewouldnotbechangedfor10years.Therentalareaiscalculatedaccordingtothefinalinstallationdrawing.（BothPartieswillclarifythepropertymanagementfee,rental,waterandelectricityandwaterinaSupplementaryAgreement）.
3、本项目将于****年**月**日结构封顶，开业日期初定为****年**月**日（暂定），甲方同意自冰场正式开业之日起两年免收租赁费。
鉴于原装进口全新冰车的交货期为6个月，甲乙双方同意，在****年**月**日本协议签署的同时，签订原装进口全新冰车的采购合同。
为保证冰场建造质量和工程进度，甲乙双方原则同意，在****年**月**日前甲乙双方签订冰场建造合同。
Theroofwillbeclosedon****.Theopeningwillbe****.PartyAagreestoofferrentalfeefreeofchargefor6monthsfromtheopening.BothPartiesagreetosignsalesandpurchasecontractofIceTreatmentMachineon****becauseof6monthsdeliverytime.Inordertoensuretheicerinkqualityandinstallation,bothPartiesagreetosignanicerinkinstallationcontractbefore****.
第六条组织机构
Article6Organization
1、鉴于“银座”的品牌信誉，同时为了降低管理成本，AST集团同意“真冰溜冰场”项目在25年的合作经营期内，无需单独注册中外合资企业，采用直接以奥地利AST集团中国公司“欧悦真冰溜冰场”的名义对外经营，甲乙双方以书面协议的方式组建“项目联合管理办公室”，在当地银行开设上述“真冰溜冰场”专用银行账号，共同运营和管理上述冰场25年。
Inviewofthebrandreputationof“Changfeng”andforreducingthemanagementcost,PartyAagreestoruntheaboveicerinktothepublicinthenameofPartyA’sShandongSunwingRealEstateCo.,Ltdduringthe20years’co-operativeoperationtermdirectly,withoutnecessarytoregisteraSino-foreignjointventureseparately.And“IceRinkJointManagementOfficeofShandongSunwingRealEstateCo.,Ltd”isco-constructedbyPartyAandPartyBinthewayofwrittenagreement.BothpartiesopenthespecialA/CNo.inthelocalbank,co-operateandmanagetheaboveicerinkfor20years.IfSunwingCompanyholdsaexternalresponsibilityfortherinkoperation,SunwingCompanyhastherighttotakearesponsibilityonbehalfofJointMangementOffice.IftheassetsofJointManagementOfficeisnotenough,SanwewillrequestbothPartiestobearequalresponsibilityaftermakingupadifference
2、“联合管理办公室”由甲乙双方各委派两名代表组成，为双方合作本项目的最高领导机构。
“联合管理办公室”以会议决议的形式行使权利，三分之二以上多数决定本项目的重大事项。
“IceRinkJointManagementOfficeofLongzhimengEuroJoy”consistsoftworepresentativesappointedbyeachParty,asthetopleadingorganizationoftheco-operativeproject.“JointManagementOffice”iscarriedouttherightinthewayofresolutionsofthemeetingandmorethantwothirdsofthemajoritydecidesthesignificanteventsofThisProject.
3、“联合管理办公室”是本项目协议下的最高权力机构，决定本项目下有关政策的制订和修改；批准本项目下的财务会计制度；决定本项目转让、合并、停业和解散；决定本项目经营决策、财务预算和决算；决定本项目利润分配和亏损弥补办法；聘请总经理、副总经理和高级管理人员；决定本项目下职工工资和制定职工奖惩办法等一切重大事宜。
“JointManagementOffice”isthetopauthorityorganizationundertheagreementofThisProject.Itdecidestheworking-outandtheamendmentoftherelevantpoliciesunderThisProject,approvesthefinancialandaccountingsystemunderThisProject,decidesthetransfer,amalgamation,cessationanddissolutionofThisProject,decidestheoperationstrategy,thefinancialbudgetandauditingofThisProject,decidesthemeansofprofitallocationandlossescovered,employsGeneralManager,ViceGeneralManagerandManagingOfficers,decidestheemployee’ssalaryandmakesuptherewardsandpunishmentsrulesforemployeesunderThisProjectandothersignificantevents.
4、“联合管理办公室”会议每年至少召开2次。
经三分之一以上的代表提议，可召开“联合管理办公室”临时会议。
会议记录应归档保存。
Itwouldbeheldfor2timesforthemeetingof“JointManagementOffice”peryear.Ifproposedbymorethanonethirdofrepresentatives,thetemporarymeetingof“JointManagementOffice”canbeheld.Andtherecordofthemeetingshouldbefiled.
5、召开“联合管理办公室”会议须有三分之二以上的代表出席方有效。
代表不能出席时，可以出具委托书委托他人代为出席和举行表决。
Itisvalidifmorethantwothirdsoftherepresentativesarepresentin“JointManagementOffice”.Ifabsent,therepresentativecanentrustsomeoneelsetobepresentandvote.
6、“联合管理办公室”设经理部，负责公司的日常经营管理。
ThereisManagerDepartmentin“JointManagementOffice”,inchargeofthedailyoperationmanagementofthecompany.
7、经理部设总经理一人，副总经理一人。
总经理由乙方委派；副总经理由甲方委派。
ThereisoneGeneralManagerandoneViceGeneralManagerinManagerDepartment.GeneralManagerisrecommendedbyPartyA,andViceGeneralManagerwhoshouldbespecialoperationmanagerisrecommendedbyPartyB.GeneralManagerandViceGeneralManagerarebothemployedbyJointManagementOffice.
8、财务部由两人组成，其中甲方委派会计，乙方委派出纳。
FinancialDepartmentconsistsoftwopersons,hereinto,PartyAappointsanaccountantandPartyBappointsacashier.
9、总经理的职责是执行“联合管理办公室”会议的决议，组织领导本项目的日常经营管理工作。
副总经理协助总经理工作。
总经理必须每季度向“联合管理办公室”报告公司的经营情况，半年向“联合管理办公室”作一次财务结算报告。
TheresponsibilityofGeneralManageristocarryoutthedecisionof“JointManagementOffice”Meeting,organizeandleadthedailyoperationmanagementworkofThisProject.ViceGeneralManagerassistsGeneralManagertowork.GeneralManagershouldmakethereportoftheoperationsituationofthecompanyto“JointManagementOffice”quarterly,andmakethefinancialsettlementreportto“JointManagementOffice”everyhalfayear.
10、总经理、副总经理及其他管理人员有营私舞弊或严重失职行为时，经“联合管理办公室”会议做出决议，给予应得的处分直至解聘，对公司造成的经济损失，应负赔偿责任。
IfthereisanyembezzlementorseriousderelictionofdutyforGeneralManager,ViceGeneralManagerandotherMangers,determinedby“JointManagementOffice”Meeting,heshouldbepunisheduntildismissedandanyeconomiclostmadetothecompany,heshouldtaketheresponsibilityofcompensation.
11、甲乙双方共同聘任第三方独立审计师负责审查、稽核本项目下的财务收支和会计账目，并向“联合管理办公室”报告。
如该第三方机构不接受委托或已经不存在，再由双方共同另行聘请其他第三方。
PartyAandPartyBco-employthethirdpartyofindependentauditortotakechargeofauditing,checkingthefinancialrevenueandexpenditureandaccountingunderThisProject,andmakethereportto“JointManagementOffice”.
