Section1-InstructionstoBidders
A.General
1.ScopeofBid
1.1InconnectionwiththeInvitationforBidsindicatedintheBidDataSheet(BDS),theEmployer,asindicatedintheBDS,issuesthisBiddingDocumentfortheprocurementofWorksasspecifiedinSection6(Employer’sRequirements).Thename,identification,andnumberofcontractsoftheInternationalCompetitiveBidding(ICB)areprovidedintheBDS.
1.2ThroughouttheseBiddingDocument:
theterm“inwriting”meanscommunicatedinwrittenformanddeliveredagainstreceipt;
exceptwherethecontextrequiresotherwise,wordsindicatingthesingularalsoincludethepluralandwordsindicatingthepluralalsoincludethesingular;and
“day”meanscalendarday.
2.SourceofFunds
2.1TheBorrowerorRecipient(hereinaftercalled“Borrower”)indicatedintheBDShasappliedfororreceivedfinancing(hereinaftercalled“funds”)fromtheAsianDevelopmentBank(hereinaftercalled“ADB”)towardthecostoftheprojectnamedintheBDS.TheBorrowerintendstoapplyaportionofthefundstoeligiblepaymentsunderthecontract(s)forwhichthisBiddingDocumentisissued.
2.2PaymentsbytheADBwillbemadeonlyattherequestoftheBorroweranduponapprovalbytheADBinaccordancewiththetermsandconditionsofthefinancingagreementbetweentheBorrowerandtheADB(hereinaftercalledtheFinancingAgreement),andwillbesubjectinallrespectstothetermsandconditionsofthatFinancingAgreement.NopartyotherthantheBorrowershallderiveanyrightsfromtheFinancingAgreementorhaveanyclaimtothefunds.
3.
FraudandCorruption
3.1ADB’sAnticorruptionPolicyrequiresborrowers(includingbeneficiariesofADB-financedactivity),aswellasbidders,suppliers,andcontractorsunderADB-financedcontracts,observethehigheststandardofethicsduringtheprocurementandexecutionofsuchcontracts.Inpursuanceofthispolicy,theADB:
defines,forthepurposesofthisprovision,thetermssetforthbelowasfollows:
(i)“corruptpractice”meanstheoffering,giving,receiving,orsoliciting,directlyorindirectly,anythingofvaluetoinfluenceimproperlytheactionsofanotherparty;
(ii)“fraudulentpractice”meansanyactoromission,includingamisrepresentation,thatknowinglyorrecklesslymisleads,orattemptstomislead,apartytoobtainafinancialorotherbenefitortoavoidanobligation;
(iii)“coercivepractice”meansimpairingorharming,orthreateningtoimpairorharm,directlyorindirectly,anypartyorthepropertyofthepartytoinfluenceimproperlytheactionsofaparty;
(iv)“collusivepractice”meansanarrangementbetweentwoormorepartiesdesignedtoachieveanimproperpurpose,includinginfluencingimproperlytheactionsofanotherparty.
willrejectaproposalforawardifitdeterminesthatthebidderrecommendedforawardhas,directlyorthroughanagent,engagedincorrupt,fraudulent,collusive,orcoercivepracticesincompetingfortheContract;and
willcanceltheportionofthefinancingallocatedtoacontractifitdeterminesatanytimethatrepresentativesoftheborrowerorofabeneficiaryofADB-financingengagedincorrupt,fraudulent,collusive,orcoercivepracticesduringtheprocurementortheexecutionofthatcontract,withouttheborrowerhavingtakentimelyandappropriateactionsatisfactorytoADBtoremedythesituation;and
willsanctionafirmoranindividual,atanytime,inaccordancewithADB’sAnticorruptionPolicyandIntegrityPrinciplesandGuidelines(bothasamendedfromtimetotime),includingdeclaringineligible,eitherindefinitelyorforastatedperiodoftime,toparticipateinADB-financedorADB-administeredactivitiesortobenefitfromanADB-financedorADB-administeredcontract,financiallyorotherwise,ifitatanytimedeterminesthatthefirmorindividualhas,directlyorthroughanagent,engagedincorrupt,fraudulent,collusive,orcoerciveorotherprohibitedpractices.
3.2Furthermore,BiddersshallbeawareoftheprovisionstatedinSub-Clause1.15and15.6oftheConditionsofContract.
4.EligibleBidders
4.1ABiddermaybeanaturalperson,privateentity,government-ownedentity—subjecttoITB4.5—oranycombinationofthemwithaformalintenttoenterintoanagreementorunderanexistingagreementintheformofaJointVenture(JV).InthecaseofaJV:
allpartnersshallbejointlyandseverallyliable,and
theJVshallnominateaRepresentativewhoshallhavetheauthoritytoconductallbusinessforandonbehalfofanyandallthepartiesoftheJVduringthebiddingprocessand,intheeventtheJVisawardedtheContract,duringcontractexecution.
4.2ABidder,andallpartiesconstitutingtheBidder,shallhavethenationalityofaneligiblecountry,inaccordancewithSection5(EligibleCountries).ABiddershallbedeemedtohavethenationalityofacountryiftheBidderisacitizenorisconstituted,orincorporated,andoperatesinconformitywiththeprovisionsofthelawsofthatcountry.ThiscriterionshallalsoapplytothedeterminationofthenationalityofproposedsubcontractorsorsuppliersforanypartoftheContractincludingrelatedservices.
4.3Biddersshallnothaveaconflictofinterest.AllBiddersfoundtohaveaconflictofinterestshallbedisqualified.Biddersmaybeconsideredtobeinaconflictofinterestwithoneormorepartiesinthebiddingprocessifincludingbutnotlimitedto:
(a)theyhavecontrollingshareholdersincommon;or
(b)theyreceiveorhavereceivedanydirectorindirectsubsidyfromanyofthem;or
(c)theyhavethesamelegalrepresentativeforpurposesofthisbid;or
(d)theyhavearelationshipwitheachother,directlyorthroughcommonthirdparties,thatputstheminapositiontohaveaccesstomaterialinformationaboutorimproperlyinfluencethebidofanotherBidder,orinfluencethedecisionsoftheEmployerregardingthisbiddingprocess;or
(e)aBidderparticipatesinmorethanonebidinthisbiddingprocess,eitherindividuallyorasapartnerinajointventure,exceptforalternativeofferspermittedunderITBClause13oftheBiddingDocument.ThiswillresultinthedisqualificationofallBidsinwhichitisinvolved.However,subjecttoanyfindingofaconflictofinterestintermsof4.3(a)-(d)above,thisdoesnotlimittheparticipationofaBidderasaSubcontractorinanotherbidorofafirmasaSubcontractorinmorethanonebid;or
aBidderoranyaffiliatedentity,participatedasaConsultantinthepreparationofthedesignortechnicalspecificationsoftheworksthatarethesubjectofthebid;or
aBidderwasaffiliatedwithafirmorentitythathasbeenhired(orisproposedtobehired)bytheEmployerorBorrowerasEngineerforthecontract.
4.4AfirmshallnotbeeligibletoparticipateinanyprocurementactivitiesunderanADB-financedorADB-supportedprojectwhileundersanctionbyADBpursuanttoitsAnticorruptionPolicy(seeITB3),whethersuchsanctionwasdirectlyimposedbyADB,orimposedbyADBpursuanttotheAgreementforMutualEnforcementofDebarmentDecisions.Abidfromasanctionedorcross-debarredfirmwillberejected.
4.5Government-ownedenterprisesintheEmployer’scountryshallbeeligibleonlyiftheycanestablishthatthey(i)arelegallyandfinanciallyautonomous,(ii)operateundercommerciallaw,andthatthey(iii)arenotadependentagencyoftheEmployer.
4.6BiddersshallprovidesuchevidenceoftheircontinuedeligibilitysatisfactorytotheEmployer,astheEmployershallreasonablyrequest.
4.7FirmsshallbeexcludedifbyanactofcompliancewithadecisionoftheUnitedNationsSecurityCounciltakenunderChapterVI
