租赁合同续租协议

鉴于：

Whereas

1.甲方与乙方于［］年［］月签署了一份有关乙方承租甲方所有的位于［］的房屋（“该物业”）的《租赁合同》（“该合同”，见附件1《租赁合同》），有效期自［］至［］。

2.现甲方与乙方就该合同的续租事宜达成了一致。

PartyAandPartyBhavereachedtermsontherenewalof“theAgreement”.

经协商，双方就该合同的续租事宜达成如下租赁合同续租协议（“续租协议”）：

Throughnegotiationsandcommunications,bothPartyAandBhaveagreedonthefollowingtermsontherenewaloftheAgreement（“RenewalAgreement”）:

一、该物业的续租期间为：

在非固定期内，乙方有权提前终止本续租协议且无违约责任，条件是必须提前壹个月书面通知甲方（即乙方有权自［］起向甲方发出提前终止的书面通知）。

在此情形下，乙方应根据实际租期结清相应的租金和退还房屋，甲方应在乙方退还房屋后的［］日内全额向乙方退还本续租协议下乙方已支付的租赁保证金。

三、乙方在此同意及确认乙方就该物业不享有优先购买权（包括在甲方出卖该物业或其任何部分时的优先购买权）或类似的权利；若任何法律或法规就该物业赋予乙方优先购买权（包括在甲方出卖该物业或其任何部分时的优先购买权）或类似的权利，则乙方在此明确放弃此等优先购买权和类似的权利。

  PartyBherebyagreesandacknowledgesthatPartyBshallnothavetherightto,firstrighttopurchase（includingfirstrighttopurchaseuponPartyA’ssaleofthePremisesoranypartthereof）orsimilarrightsinrespectofthePremises.IfanylaworregulationconfersonPartyBfirstrighttopurchase（includingfirstrighttopurchaseuponPartyA’ssaleofthePremisesoranypartthereof）orsimilarrightsinrespectofthePremises,PartyBherebyexpresslywaives,firstrighttopurchaseandsimilarrights.

四、 在续租期间，甲方保留出售本出租房屋的权利，但需提前60日向乙方发出书面通知，在此情况下乙方放弃对该物业的优先购买权，此时乙方有权选择

（1）终止本续租协议，甲方应把保证金全款退还以及退还乙方已向甲方支付但尚未使用的租金；或者

（2）选择要求继续履行本协议，甲方应确保新业主同意概括承受本续租协议项下剩余租赁期限内甲方的所有权利及义务，且甲方、乙方及新业主应当签署三方转让协议，明确本协议项下乙方已向甲方支付但尚未使用的租金以及其他任何乙方已付未用费用，以及租赁保证金应当由甲方直接转交至新业主，并由新业主向乙方开具新的租赁保证金收据。

若前述三方转让协议未能签署导致乙方无法继续承租该房屋的，则甲方应赔偿乙方由此遭受的全部损失，并双倍返还保证金，和返还所有已付未用的租金及其他费用给乙方。
