JOINTVENTUREFRAMEWORKAGREEMENT

ThisJointVentureFrameworkAgreement（“Agreement”）isenteredintoasofAugust 5,2011（the“EffectiveDate”）,byandbetweenBungeGlobalInnovation,LLC,aDelawarelimitedliabilitycompanywithaprincipalplaceofbusinessat50MainStreet,WhitePlains,NY10606（“Bunge”）andSolazyme,Inc.,aDelawarecompanywithaprincipalplaceofbusinessat225GatewayBoulevard,SouthSanFrancisco,CA94080（“Solazyme”）.

WITNESSETH:

WHEREAS,BungeanditsAffiliatesareaglobalprocessorofsoybeans,rapeseed,canola,sunflowerseeds,corn,wheat,sugarcaneandotheragriculturalcommoditiesusedtomakeproductsandingredientswithnumerousapplications;

WHEREAS,Solazymeisarenewableoilandbioproductscompanywithexpertiseandintellectualpropertyintheareaoftheuseofmicrobesasbiocatalystsforconvertingcarbonsourcesintolipidsinnon-photosyntheticprocesses;

WHEREAS,certainAffiliatesofBungehaveaccesstofeedstock,suchassugarcane,thatcouldbeusefulinconjunctionwithSolazyme’smicrobialbiotechnologytodevelopandcommercializeproductsintheField;

WHEREAS,thePartieshaveenteredintoaJointDevelopmentAgreementdatedMay 2,2011（the“JointDevelopmentAgreement”）,whereinthePartieshaveagreedtoengageinjointresearchanddevelopmenttoexplorethefeasibilityoftheproductionoflipidrichbiomassfromBraziliansugarcanefeedstockasfurthersetforthintheJointDevelopmentAgreement;

WHEREAS,basedontheanticipatedsuccessoftheJointDevelopmentAgreement,SolazymeandBungeareinterestedinforminganewjointventurecompany（the“Company”）toproducetriglycerideoilsinBrazilforuseintheField;and

WHEREAS,SolazymeandBungedesiretoenterintothisdefinitiveagreementtoregulatecertainaspectsoftherelationshipbetweenthePartiesbetweentheEffectiveDateandtheClosing,setforthcertainotherobligations,andsetforththeirexpectationsforfuturedefinitiveagreementsthatwillregulatetherelationshipamongthePartiesandtheirrespectiveAffiliatesrelatingtotheCompany.

NOW,THEREFORE,inconsiderationoftheagreementsandobligationssetforthhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,theParties,intendingtobelegallybound,doherebyagreeasfollows:

ARTICLE1

INTERPRETATION

1.1DefinedTerms.CapitalizedtermsusedinthisAgreementshallhavethemeaningsspecifiedhereinorinExhibit A.

1.2Interpretation.Wheneverthecontextrequires,anypronounshallincludethecorrespondingmasculine,feminineandneuterforms.Thewords“include,”“includes”and“including”shallbedeemedtobefollowedbythephrase“withoutlimitation.”Allreferencesto“Party”and“Parties”shallbedeemedreferencestoBungeandSolazyme.ExceptasspecificallyotherwiseprovidedinthisAgreement,areferencetoanArticle,SectionorExhibit isareferencetoanArticle,SectionorExhibit ofthisAgreement,andtheterms“hereof,”“herein,”andotherliketermsrefertothisAgreementasawhole,includingtheExhibits.Theterm“or”isusedinitsinclusivesense（“and/or”）.Theterms“Dollars”and“$”shallmeanUnitedStatesDollars.

1.3Headings.ThedivisionofthisAgreementintoArticlesandSections andtheinsertionofheadingsareforconvenienceofreferenceonlyandshallnotaffecttheconstructionorinterpretationofthisAgreement.

1.4RelationshiptoWarrant.ThisAgreementisa“JointVentureAgreement”asdefinedintheWarrantAgreementdatedMay 3,2011（asamendedasofthedatehereof）byandbetweenBungeLimitedandSolazyme（the“Warrant”）.

ARTICLE2

OVERSIGHTOFACTIVITIESUNTILCLOSING

2.1EstablishmentofSteeringCommittee.SolazymeandBungeshallestablishasteeringcommittee（the“SteeringCommittee”）tooverseetheconductofthePreliminaryActivities,monitorprogressunderthisAgreement,andfacilitatetheexchangeofinformationrelatingtotheformationoftheCompanyandtheClosing.

2.2MembershipofSteeringCommittee.TheSteeringCommitteeshallbecomprisedoftwo

（2） representativesfromBungeandtwo

（2） representativesfromSolazyme,orsuchotherequalnumberofrepresentativesassuchPartiesmayfromtimetotimeagreeinwriting,witheachParty’srepresentativesselectedbysuchParty.EachPartyshallhaveonevoteontheSteeringCommittee.EitherPartymayreplaceitsrespectiveSteeringCommitteemembersatanytime,uponwrittennoticetotheotherParty.

2.3Meetings.TheSteeringCommitteeshallmeetatleastquarterly,ormorefrequentlyasmutuallyagreedbytheParties,atlocationsagreedbytheParties.UponadvancewrittenconsentoftheotherParty,otherrepresentativesofaPartymayattendSteeringCommitteemeetingsasnon-votingobservers.
