兹证明WITNESSES

甲方在中国生产和销售xx产品；乙方生产和销售xx产品

（以下称“许可产品”），拥有许可产品的美国专利（以下称

“专利”）和X号注册商标；WHEREASPartyAisengagedinmanufacturingandsellinginChina；andWHEREAS

PartyBisengagedinmanufacturingandselling（hereinaftercalled“LicensedProduct”）andhas

AmericanpatentrightstoLicensedProduct

（hereinaftercalled“Patents”）andregisteredTrademarkNo.（hereinaftercalled

“Trademark”）；and

甲乙双方认为按照中华人民共和国的法律成立共同所有的

公司（以下称“合营公司”），在xx地从事生产、销售和开

发许可产品，对双方都是有利的；WHEREAStheParties

在本协议中，除非文中另有明确规定，下列短语具有以下

意思：

1.“合营企业”，系指根据本协议建立的公司。

第二条建立合营企业Article2FormationofJoint

Venture

1、甲方和乙方按照中华人民共和国的法律建立合营企业。

2、合营企业称为xx,地址为xx.3、合营企业的一切活动，必须遵守中华人民共和国的法律、法令和有关条例规定。

4、合营企业的组织形式为有限责任公司。

甲乙双方以各

自认缴的出资额对合营公司的债务承担责任。

第三条生产经营的目的、范围和规模Article3

Purpose，ScopeandSizeofBusiness

1、甲、乙双方合资经营的目的是：

本着加强经济合作和

扩大技术交流的愿望，采用先进而适用的技术和科学的经营管

理方法，提高产品质量，开发新产品，并在质量、价格等方面

具有国际市场上的竞争能力，提高经济效益，使投资各方获得

满意的经济利益。

2、合营企业生产xx（许可产品），生产能力为每年xx.

合营企业将努力改进许可产品，改善管理，以适应国际竞争。

3、合营企业尽可能开发许可产品的新品种，以满足国内

外市场的发展需要。

1.Inlinewiththespiritofstrengtheningeconomiccooperationandexpandingtechnicalexchange，JointVentureistousestate-of-the-artandappropriatetechnologyandequipment，withefficientmanagementsystems，toproduceLicensedProductwhichshallbeoftopqualityandcompetitiveintheworldmarkets，soastoachievesatisfactoryeconomicreturns.2.JointVentureistoproduct

（LicensedProduct）withaproductioncapacityofperyear.JointVentureshalldoitsbestto

improveLicensedProductandmanagementsoastobeabletomeetcompetitionworldwide.3.JointVentureshall，ifpossible，developnewvarietiesofLicensedProductinordertokeepupwithmarketdevelopmentsbothinthehostcountryandintheworld.

第四条资本结构Article4CapitalStructure

1、合营企业的注册资本为xx,其中甲、乙双方各由资

迟交必须交纳利息或赔偿因此而造成的损失。

5、甲乙双方中任何一方转让其出资额，须经另一方同意

和其政府批准，该方享有优先购买权。
