FREECARRIER（...namedplace）

"FreeCarrier"meansthatthesellerdeliversthegoods,clearedforexport,tothecarriernominated

bythebuyeratthenamedplace.Itshouldbenotedthatthechosenplaceofdeliveryhasanimpact

ontheobligationsofloadingandunloadingthegoodsatthatplace.Ifdeliveryoccursatthe

seller'spremises,thesellerisresponsibleforloading.Ifdeliveryoccursatanyotherplace,the

sellerisnotresponsibleforunloading.

Termmaybeusedirrespectiveofthemodeoftransport,includingmultimodaltransport.

"Carrier"meansanypersonwho,inacontractofcarriage,undertakestoperformortoprocurethe

performanceoftransportbyrail,road,air,sea,inlandwaterwayorbyacombinationofsuch

modes.

Ifthebuyernominatesapersonotherthanacarriertoreceivethegoods,thesellerisdeemedto

havefulfilledhisobligationtodeliverthegoodswhentheymedeliveredtothatperson.

A1Provisionofgoodsinconformitywiththecontract

Thesellermustprovidethegoodsandthecommercialinvoice,oritsequivalentelectronic

message,inconformitywiththecontractofsaleandanyotherevidenceofconformitywhichmay

berequiredbythecontract.

B1Paymentofprice

Thebuyermustpaythepriceasprovidedmthecontractofsale.

A2Licenses,authorizationsandformalities

Thesellermustobtainathisownriskandexpenseanyexportlicenseorotherofficial

authorizationandcarryout,whereapplicable,allcustomsformalitiesnecessaryfortheexportof

thegoods.

B2Licenses,authorizationsandformalities

Thebuyermustobtainathisownriskandexpenseanyimportlicenseorotherofficial

authorizationandcarryout,whereapplicable,allcustomsformalitiesfortheimportofthegoods

andfortheirtransitthroughanycountry.

A3Contractsofcarriageandinsurance

a）Contractofcarriage

Noobligation.However,ifrequestedbythebuyerorifitisCommercialpracticeandthebuyer

doesnotgiveaninstructiontothecontraryinduetime,thesellermaycontractforcarriageon

usualtermsatthebuyer'sriskandexpense.Ineithercase,thesellermaydeclinetomakethe

contractand,ifhedoes,shallpromptlynotifythebuyeraccordingly.

b）Contractofinsurance

Noobligation

B3Contractsofcarriageandinsurance

a）Contractofcarriage

Thebuyermustcontractathisownexpenseforthecarriageofthegoodsfromthenamedplace,

exceptwhenthecontractofcarriage,ismadebythesellerasprovidedforinA3a）.

b）Contractofinsurance

Noobligation.

A4Delivery

Thesellermustdeliverthegoodstothecarrieroranotherpersonnominatedbythebuyer,or

chosenbythesellerinaccordancewithA3a）,atthenamedplaceonthedateorwithintheperiod

agreedfordelivery.

Deliveryiscompleted,

a）Ifthenamedplaceistheseller'spremises,whenthegoodshavebeenloadedonthemeansof

transportprovidedbythecarriernominatedbythebuyeroranotherpersonactingonhisbehalf.

b）Ifthenamedplaceisanywhereotherthana）,whenthegoodsareplacedatthedisposalofthe

carrieroranotherpersonnominatedbythebuyer,orchosenbythesellerinaccordancewithA3a）

ontheseller'smeansoftransportnotunloaded.Ifnospecificpointhasbeenagreedwithinthe

namedplace,andifthereareseveralpointsavailable,thesellermayselectthepointattheplaceof

deliverywhichbestsuitshispurpose.

Failingpreciseinstructionsfromthebuyer,thesellermaydeliverthegoodsforcarriageinsucha

mannerasthetransportmodeand/orthequantityand/ornatureofthegoodsmayrequire.

B4Takingdelivery

ThebuyermusttakedeliveryofthegoodswhentheyhavebeendeliveredinaccordancewithA4.

A5Transferofrisks

Thesellermust,subjecttotheprovisionsofB5,bearallrisksoflossfordamagetothegoodsuntil

suchtimeastheyhavebeendeliveredinaccordancewithA4.

B5Transferofrisks

Thebuyermustbearallrisksoflossofordamagetothegoodsfromthetimetheyhavebeen

deliveredinaccordancewithA4;andfromtheagreeddateortheexpirydateofanyagreedperiod

fordeliverywhichariseeitherbecausehefailstonominatethecarrieroranotherpersonin

accordancewithA4,orbecausethecarrierorthepartynominatedbythebuyerfailstotakethe

goodsintohischargeattheagreedtime,orbecausethebuyerfailstogiveappropriatenoticein

accordancewithB7,provided,however,thatthegoodshavebeendulyappropriatedtothe

contract,thatistosay,clearlysetasideorotherwiseidentifiedasthecontractgoods.

A6Divisionofcosts

Thesellermust,subjecttotheprovisionsofB6,payallcostsrelatingtothegoodsuntilsuchtime

astheyhavebeendeliveredinaccordancewithA4;andwhereapplicable,thecostsofcustoms

formalitiesaswellasallduties,taxes,andotherchargespayableuponexport.

B6Divisionofcosts

Thebuyermustpayallcostsrelatingtothegoodsfromthetimetheyhavebeendeliveredin

accordancewithA4;andanyadditionalcostsincurred,eitherbecausehefailstonominatethe

carrieroranotherpersoninaccordancewithA4orbecausethepartynominatedbythebuyerfails

totakethegoodsintohischargeattheagreedtime,orbecausehehasfailedtogiveappropriate

noticeinaccordancewithB7,provided,however,thatthegoodshavebeendulyappropriatedto

thecontract,thatistosay,clearlysetasideorotherwiseidentifiedasthecontractgoods;and

whereapplicable,allduties,taxesandotherchargeswellasdiecostsofcarryingoutcustoms

formalitiespayableuponimportofdiegoodsandfortheirtransitthroughanycountry.

A7Noticetothebuyer

Thesellermustgivethebuyersufficientnoticethatthegoodshavebeendeliveredinaccordance

withA4,ShouldthecarrierfailtotakedeliveryinaccordancewithA4atthetimeagreed,the

sellermustnotifythebuyeraccordingly.

B7Noticetotheseller

ThebuyermustgivethesellersufficientnoticeofthenameofthepartydesignatedinA4mid,

wherenecessary,specifythemodeoftransport,aswellasthedateorperiodfordeliveringthe

goodstohimand,asthecasemaybe,thepointwithintheplacewherethegoodsshouldbe

deliveredtothatparty.

A8Proofofdelivery,transportdocumentorequivalentelectronicmessage

Thesellermustprovidethebuyerattheseller'sexpensewiththeusualproofofdeliveryofthe

goodsinaccordancewithA4.

Unlessthedocumentreferredtointheprecedingparagraphisthetransportdocument,theseller

mustrenderthebuyeratthelatter'srequest,riskandexpense,everyassistanceinobtaininga

transportdocumentforthecontractofcarriage（forexampleanegotiablebilloflading,a

non-negotiableseawaybill,aninlandwaterwaydocument,anairwaybill,arailwayconsignment

note,aroadconsignmentnote,oramultimodaltransportdocument）.

Whenthesellerandthebuyerhaveagreedtocommunicateelectronically,thedocumentreferred

tointheprecedingparagraphmaybereplacedbyanequivalentelectronicdatainterchange（ED1）

message.

B8Proofofdelivery,transportdocumentorequivalentelectronicmessage

ThebuyermustaccepttheproofofdeliveryinaccordancewithA8.

A9Checking-packing-marking

Thesellermustpaythecostsofthosecheckingoperations（suchascheckingquality,measuring,

weighing,counting）whicharenecessaryforthepurposeofdeliveringthegoodsinaccordance

withA4.

Thesellermustprovideathisownexpensepackaging（unlessitisusualfortheparticulartradeto

sendthegoodsofthecontractdescriptionunpacked）whichisrequiredforthetransportofthe

goods,totheextentthatthecircumstancesrelatingtothetransport（forexamplemodalities,

destination）aremadeknowntothesellerbeforethecontractofsaleisconcluded.Packagingisto

bemarkedappropriately.

B9Inspectionofgoods

Thebuyermustpaythecostsofanypre.shipmentinspectionexceptwhensuchinspectionis

mandatedbytheauthoritiesofthecountryofexport.

A10Otherobligations

Thesellermustrenderthebuyeratthelatter'srequest,riskandexpense,everyassistancein

obtaininganydocumentsorequivalentelectronicmessages（otherthanthosementionedinA8）

issuedortransmittedinthecountryofdeliveryand/oroforiginwhichthebuyermayrequirefor

theimportofthegoodsand,wherenecessary,fortheirtransitthroughanycountry.

Thesellermustprovidethebuyer,uponrequest,withthenecessaryinformationforprocuring

insurance.

B10otherobligations

Thebuyermust,payallcostsandchargesincurredinobtainingthedocumentsorequivalent

electronicmessagesmentionedinA10andreimbursethoseincurredbythesellerinrenderinghis

assistanceinaccordancetherewithandincontractingforcarriageinaccordancewithA3a）.

Thebuyermustgivethesellerappropriateinstructionswhenevertheseller’sassistancein

contractingforcarriageisrequiredinaccordancewithA3a）.

FREEALONGSIDESHIP（…namedportofshipment）

“FreeAlongsideShip”meansthatthesellerdeliverswhenthegoodsareplacedalongsidethe

vesselatthenamedportofshipment.Thismeansthatthebuyerhastobearallcostsandrisksof

lossofordamagetothegoodsfromthatmoment.
