EICC®AuditeePurchaseAgreement

Agreement#2010x00x-APA

ThisAgreement（“Agreement”） ismadebyandbetween______________________________________________________________（“Auditee”）,and ElectronicIndustryCitizenshipCoalition,Incorporated,aDelaware,U.S.A.nonstockcorporation（“EICC”）. ThisAgreementiseffectivefromMonth,Day,2010（“EffectiveDate”）andwillremainineffect,unlessearlierterminatedassetforthherein,untiltheValidatedAuditProcessiscompletedatallfacilitiescoveredbythisAgreement.

ThisAgreementrelatestobusinessactivitiesattheAuditee’sphysicallocationsasspecifiedineachAttachmentA1throughAx.AttachmentstothisAgreementareincorporatedbyreferenceandformapartofthisAgreement.

1.0Definitions

“AuditProgramManager”or“APM”meansacompanysubcontractedbyEICCthatinteractswiththeAuditeeinthemanagementoftheoverallVAPincludingtheforecastprocess,planning,pricedetermination,scheduling,evaluationandreviewoftheVAR,andfinalreleaseoftheVARtotheAuditee.Thismayextendtoincludecorrectiveactionmanagementasapplicable.

“AuditeeApprovedRecipients”meansrecipientsapprovedbyAuditeetoreceivetheValidatedAuditReport（VAR）,throughinclusionontheAuditeeApprovedRecipientDistributionList（seesection2.0AttachmentB）.

“AuditFirm”meansaprofessionalservicescompanysubcontractedbyEICCortheAPMtoperformaVA.

“EICC-GeSISelfAssessmentQuestionnaire”meansself-administeredsurveythatmeasuresperformanceofacompany’senvironmentalandsocialpractices,andmanagementsystems.

“Facility”meanstheAuditeephysicallocationthatisthesubjectofaVA.TheFacilityisdefinedbytheAuditeeandmaybeanentiresiteoraspecificportionofasite.Ataminimum,aFacilityincludesthebuildingsandoperationsthatsupportoneormorecustomers（AuditeeApprovedRecipients）oftheAuditee,andallcommonareas,suchasplantrooms,wastewatertreatment,chemicalandwastestorageareas,canteens,dormitories,administrativeareas,etc.TheFacilitywillbedefinedinAttachmentB.

"Observer”meansanemployeeofacompanyspecifiedontheAuditeeApprovedRecipientDistributionList.

"Personnel”meansthedirectors,officers,agents,contractors,volunteersand/oremployeesofEICC-GeSI.

“Prices"meanstheagreeduponpaymentandcurrencyfortheValidatedAudits,inclusiveofTaxesandincludingallapplicablefeesandpayments,asspecifiedinAttachmentA.

“Prioritynonconformance”meansthehighestseverityauditfindingrequiringescalationbytheAuditFirmandimmediateattentionbytheAuditee.Prioritynonconformitiesconsistoffindingswhichrepresent:

1）aseriousviolationoftheEICC-GeSIauditcriteriaorapplicablelegalrequirements,2）animmediatethreattolifeorhealth,or3）riskofseriousandimmediateharmtothecommunityorenvironment.

“Taxes”meansanyandallapplicabletaxes,charges,fees,leviesorotherassessmentsimposedorcollectedbyanygovernmentalentityworldwideoranypoliticalsubdivisionthereofandhoweverdesignatedorleviedonsalesofVAdeliverablesorservices,orsales,use,transfer,goodsandservicesorvalueaddedtaxoranyotherdutiesorfeesrelatedtoanypaymentmadebyAuditeetoEICCoritssubcontractorsforVAdeliverablesand/orservicesprovidedtoAuditeeunderorpursuanttothisAgreement;exclusive,however,ofanytaxesimposeduponthenetincomeorcapitalofEICC,anytaxesinlieuofsuchnetincometaxesandanyothertaxeswhicharetobebornebyEICCunderlaw.

“ValidatedAudit（orVA）”meansanEICC-GeSIapprovedthirdpartyaudit,resultingfromtheEICC-GeSIVAP.VAusestheEICC-GeSIAuditQuestionnaire（orchecklist）measuringconformancetotheEICCcodeofconduct.ValidatedAuditsincludeinitialauditswherethescopecoversthefullEICC-GeSIAuditQuestionnaireandValidatedRe-Audits（seethedefinition）.

“ValidatedRe-Audit”meansafollowupaudittoaValidatedAudit,reducedtoonlyassessconformancetoasubsetofitemsidentifiedinthemostrecentValidatedAuditReport.”

“ValidatedAuditProcess（orVAP）”meanstheEICC-GeSIauditprocessthatresultsinanapprovedthirdpartyValidatedAuditmanagedinaccordancetoapprovedqualityprocesses,overseenbytheAPM.

“ValidatedAuditReport（orVAR）”meansthereportofthefindingsofaValidatedAudit（VA）availabletoAuditeedesignatedrecipientsthroughmeansdeterminedbyEICC-GeSI.

2.0Attachments

“AuditeeFacilityProfileandAuditorAgreementSpecifics”documentusedtoprovidelocationinformationtoassistwithpreparationsforasuccessfulVA.AuditeewillcompleteStep1ofthisformandforwardtotheAPM;APMwillprovideStep2.AsampleofthisformisprovidedinAttachmentA.

“AuditeeApprovedRecipientDistributionList”documentusedtocommunicatethenamesofrecipientswhomaybeprovidedtheVAR.Thisdocument（oncefilledout）isconsideredAuditeeConfidentialandisonlytobeinterchangedbetweentheAuditeeandtheAPM.AsampleofthisformisprovidedinAttachmentB.

3.0DescriptionofDeliverablesandServices

AuditeeagreestohaveitsfacilitylistedinAttachmentA）undergoaValidatedAudit（VA）andaValidatedRe-audit,ifapplicable,usingtheValidatedAuditProcess（VAP）protocol.

IfmorethanoneAuditeefacilityistoundergoaVA,eachfacilitywillbelistedinaseparateattachment（AttachmentA1throughAttachmentAn）.

ThereisanAECI（asdefinedbelow）inplacebetweentheAUDITEEandtheEICC.InadditiontosuchAECIwiththeEICC,itistheobligationoftheAuditeetohaveappropriatenon-disclosureandprotectionofconfidentialinformationagreementsinplacewitheachrecipientnamedinAttachmentB.

AuditeeacknowledgesandagreesthatEICChastheunrestrictedrighttosubcontractfortheperformanceofallVAservicesanddeliverablesunderthisAgreement.TheVAwillbeconductedbyanAuditFirmselectedbytheEICCAPM.TheVAPismanagedbyAPMundercontractwiththeEICC.TheVAwillultimatelyresultinthegenerationofaValidatedAuditReport（VAR）,whichwillbeprovidedtotheAuditee.EICCwillusecommerciallyreasonableeffortstooverseetheVAPincludingbyselectingtheAPMandAuditFirmsinaccordancewiththe“VAP–ServiceLevelandQualityStatementforValidatedAuditProcess”,availableuponrequestfromEICC.

UponcompletionofAttachmentA（1toX）,steps1and2,andsignaturebybothparties,theAttachment（s）areconsideredtheAuditee’sconsenttostartofworkforthisAgreement.ExecutedAttachmentsareincorporatedbyreferenceandformapartofthisAgreement.

4.0Pricing

AuditeewillpayEICCthePricesasspecifiedinAttachmentsA（1toX）,andforanyapplicableTaxesandexpensesrelatedthereto.Prices,invoicesandpaymentwillbeinU.S.dollars.ForanycurrencyconversionrequiredunderthisAgreement,thepartiesagreetousetherateofexchangepublishedbyReutersFinancialServicesat1600hoursGreenwichMeanTimeonthedaysuchconversionisrequired.

5.0Payments

EICCwillinvoiceAuditeeuponsignatureofAttachmentA（1toX）forthefullamountoftheVAcostsassociatedwithsuchAttachment.Amountsnotpaidafter60daysofinvoicewillaccruelatefeesofthelesserof1.5%permonthorthemaximuminterestallowableunderapplicablelaw.Inaddition,theprevailingpartyinanylitigationoralternativedisputeresolutionproceedingshallbeentitledtorecoverfromthenonprevailingpartyallcostsandexpensesincurred（including,withoutlimitation,reasonableattorneys’fee）inenforcingthisAgreement.

Cancellationand/orReschedulingFees

NotwithstandinganythinginthisAgreementtothecontrary,intheeventofAuditee’sterminationofthisAgreementand/orterminationorreschedulingaVAand/orintheeventofEICC’sterminationofthisAgreementand/oraVAand/orreschedulingofaVAforCause,AuditeewillfullycompensateEICCforthecostsaccruedandexpensesincurredbyEICC（togetherwithallTaxes）forcompletedwork,workinprocessandcontractualcommitmentsmadeuptoandincludingthedateofterminationorrescheduling,asapplicable.

ForeachfacilitytoundergoaVA,afterreceivingthepriceestimatefortheValidatedAudit,theAuditeeandtheAuditFirmshallagreetothedate（s）theVAwilltakeplace.Whenthisdateordate（s）havebeenestablished,thefollowingCancellationand/orReschedulingFees（whichareinadditiontothefeessetforthintheimmediatelyprecedingparagraph）shallbedueandowingtoEICCintheeventofcancellationorreschedulingoftheVAbyAuditeeand/orintheeventofEICC’sterminationorreschedulingofaVAforCause.（Pleasenote:

thedayofcancellationandthedayofauditarenotincludedindeterminingthenumberofbusinessdaysremaining.）     

1.Cancellationupto10businessdayspriortothescheduledVAdate–20percentoftheagreedauditorlaborcostinadditiontoallincurredauditexpensesandadministrationcosts（including300USDforEICCadministration）

2.Cancellationwithin10businessdayspriortothescheduledVAdate-fullauditorlaborcostinadditiontoallincurredauditexpensesandadministrationcosts（including300USDforEICCadministration）

3.Rescheduledupto10businessdayspriortothescheduledVAdate–allincurredaudittravelexpensesandEICCadministrationcosts（including300USDforadministration）inadditionto20percentoftheagreedauditorlaborcost（inadditiontoallcostsandexpensesoftherescheduledauditexecution）

4.Rescheduledwithin10businessdayspriortothescheduledVAdate–allincurredaudittravelexpensesandEICCadministrationcosts（including300USDforadministration）
