甲方委托乙方进行塑胶模具制造以及注塑生产，甲乙双方本着诚实，守信，互惠，互利的原则经友好协商签订本合同。
1.甲方负责提供塑胶零件设计图纸，乙方负责落实塑胶零件模具加工和注塑加工．
2.乙方所加工的模具制造出来的零件必须达到甲方提供的塑胶零件设计图纸的要求并得到甲方的书面确认。
3.乙方要提供给甲方模具设计方案图纸并必须得到甲方的审查认可后才能开始模具加工。
4.本合同签订之制造模具明细附后。

6.本合同签订之塑胶零件货品单价为人民币：
￥元（包括胶料，人工，机器等成本）。
7.付款方式，本合同签订后7个工作日内甲方支付模具总价的30%（￥元）作为定金,乙方提交零件首次试模样品后7个工作日内甲方支付模具总价的40%（￥元），模具经甲方确认合格后7个工作日内支付模具总价30%（￥元）。
8.甲方连续试产5天或产量达到5000件以上，日产能力偏差不超过设计要求的5％，模具无异常，啤件合格率达到98%以上，甲方应确认模具合格并出具模具验收检验合格报告。
9.对模具验收不合格的，如又乙方原因造成，由乙方修正或重作，一切费用由乙方承担，交货期不变。
如由甲方原因造成的，乙方应根据要求予以修正或重做，费用由甲方承担，交货期顺延。
10.模具制造时间：
由收到定金付款起,天内交提交合格零件样品。
11.乙方提供货品并经甲方验收合格后，甲方按交货的实际数量7个工作日内支付货款（甲方另发出采购订单）。
12.在乙方未能按照本合同的期限内交模,如非因甲方原因造成的，超过5个工作日，甲方将收取乙方该模具总款的2%滞纳金。
13.模架采用标准合格模架，镶件材料采用德国738进口钢材。
14.模具生产使用寿命保证50万模/次。
15.乙方生产过程中负责该模具的维修。
16.乙方在未经甲方事先书面同意的前提下，不得将该模具订单或其中任何一部分转让或给任何第三方，乙方保证本合同下的一切信息（无论属于技术性质或是商业性质）都将被视为保密信息，乙方保证对上述的一切信息承担保密义务。
17.乙方只是提供模具及产品给予甲方，关于盗版或其它版权问题，乙方一律不负任何责任。
18.本合同一式两份，双方各持一份，具有相同的法律效率，本协议经双方签字盖章即可生效

I.Therightsandresponsibilitiesofthetwoparties:
Buyer’sresponsibilityandrightsareasfollows:
1.thebuyerisresponsibleforthedeliveryoftheRthebuyeronlyagreedtoalldataandinformationprovidedbythesellerbythebuyerthepurposeofthiscontractbasedonthe,

Seven.Liabilityforbreachofcontract
1.theSellershallbeliableforbreachofcontractifthesellerfailstocompletethemoldmakingandsampledeliveryaccordingtotheprogressofeachstagespecifiedinthe2.1.TheSellershallpaythebuyerafineof2%ofthetotalamountofthiscontractatatimeofonedayofdelay.Theamountofthepenaltyisnotmorethanthetotalamountofthecontract.
2.,iftheseller’scausecausestheseller’squalitytobesuppliedtothebuyercan’tmeetthebuyer’srequirements,andtheothermaterialswillbelostandscrappedduringtheassemblyprocess,thesellerwillfullycompensateforthelossandscrapmaterialsandtheresultingartificial/stoplinecosts.Thetwopartiesmaysignseparatelytherawmaterialforproduction.
3.thequalityandprogressoftheproductprovidedtothebuyerbythesellerfortheseller’scausecannotreachthebuyer.

3.whenthemoldiscertifiedbythebuyer,thesellerisresponsibleforthesealofthemold.Ifthebuyeragreesthatthesellerisresponsibleforthesubsequentprocessingandproductionoftheproducts,theSellershallberesponsiblefortherepairandmaintenanceofthemoulds,andtheSellershallmakethebatchproductionaccordingtotheorderofthethirdpartyauthorizedbythebuyerorthebuyer.
4.forallthemoldsproducedbythebuyer,theSellershallprovidethebuyerwithdetaileddesigndrawings.AlldrawingsmustbemadeinAutoCADorpro-eng（pro-el2）andmustbetransmittedtothebuyerinelectronicformbeforethemoldopeningforapproval.
Two.Technicalterms:
1.repairandmaintenanceofthemold:
thesellerisresponsiblefortherepairandmaintenanceofthemoldduringtheproductionprocess.
2.,afternodisputebetweenthetwosides,thebuyerwillprovidetheproductdesigndrawingsandrelatedtechnicalinformationtotheseller,andsendtheengineertotheseller’stechnicalexchangeorthesellersendtheengineertothebuyerfortechnicalcommunication.TheproductdrawingsandtechnicalrequirementslistisattachedtoAnnex1.
3.thesellerpromisedtousethequalityrequirementsofthemoldforthesystemtoproduceproductstothebuyer

5.thesellerpromisesthatallthemouldsinvolvedinthiscontractcanbereachedto400thousandtimes.
6.,withoutthebuyer’spermission,itisstrictlyprohibitedforthesellertocontractthewholepartofthecontractinvolvedinthecontracttoothercompaniesforprocessing.Otherwise,theSellershallbeliableforbreachofcontractinaccordancewiththebreachclauseofthecontractasabreachofcontract.
Three.Thetermsofbusiness:
1.moldprice:
1.1afternegotiationbetweenthetwoparties,thesellerwillprovidethefinalofferofthemouldapprovedbythebuyerandsignthepriceconfirmationasanindispensablepartofthecontract.
Thetotalamountof1.2contract（includingVATmold____%）rmb_______.
1.3thetotalcostofthepriceofthemoldcontainsthefollowingexpenses,andtheSellershallnotaskthebuyerforthefollowingreasons:
1.3.1thecostofallthefixturesandtoolsrequiredbythesellerforthemolding/twoprocessing/assemblyoftheproduct;
1.3.2theseller,accordingtothecontract,carriesoutthecostofmaterial,equipmentandmanpowerformoulddesign,testmould.
1.3.3thecostofthesample（800sets）providedbythesellertothebuyerforthecertificationofthemoldandproduct;
1.3.4theselleristhecostofthedievulnerablesparepartstoensurethenormalproductionofthemold;
1.3.5thecostoftherelatedtoolsandtoolsforotherprocessesthatarepreparedforthenormalproductionoftheproduct.
1.4whenthewrittenrequestofthebuyertheselleraccordingtothechangeoftheproductdesignforthemouldmodification,ifthemouldmodificationisrelativelysimple,includinglessmoldmaterialchangesandothersimplechangesfromthemold,thesellertothebuyerwithoutcharges;ifthemodificationiscomplex,greatinfluenceonthewholestructureofthemold,thentheselleraccordingtothemodifiedworkinghoursformoldtothebuyerbythebuyeroffer,thecorrespondingmoldmodificationcost.Thebuyershallnotbearanyresponsibilityfortherepairormodificationofthemoldduetotheseller’sreason,duetothefailureofthemoldtomeetthebuyer’srequirements.
1.5bythesellertothebuyer’smanualandcosttechnicalsupportfromthenormalcost,theSellershallgivethebuyerrecognizedthewaythecorrespondingcompensation.
2.theprogressofthemodel:
2.1afterthesellerhasreceivedtheproductdrawingfileafterthebuyer’sconfirmation,thatis,

3.ifthesellerhascausedthesellertothebuyeroftheproductqualityandscheduleisnotuptotherequirementsofthebuyer,thebuyerandcustomermissedthebesttimetomarket,orthebuyerwasforcedtocanceltheproject,sothatthebuyeranditscustomerssufferseriouslossesandlossofmaterialresearch,inadditiontothesellertorefundallpreviousthebuyertopaythepurchaseprice,dependingontheactualsituationoftheselleralsobearthebuyerdirectandindirecteconomiclosses.
4.,ifthesellerisunabletoresistforce,includingthewar,fire,strike,andotherforcemajeurecausedbyChineselaw,thebuyerwillallowthebuyertodismissit.TheSellershallnotifythebuyerinwrittenformwithin24hoursaftertheoccurrenceoftheforcemajeure,andthesellerisobligedtotakeallnecessarymeasurestodeliverthegoodsassoonaspossible.Iftheforcemajeurecontinuesformorethan2weeks,thebuyerhastherighttocancelthiscontract.
5.otherunfinishedmatters:

Eight.Disputesettlement
Anydisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlynegotiationfirst.Ifnonegotiationcanbereachedwithin30days,eitherpartycansubmitthedisputetothemunicipalcourt.
Thepartiestothiscontractshallbestrictlyenforced.Ifonepartyfailstoperformthecontractinthecauseofthecontract,thepartymustaskfortheconsentoftheotherpartytwoweeksinadvance,andthecontractshallbeterminated.
