ChapterIGeneralProvisions

Article1.TheConcernedPartiestothePresentContract:

InaccordancewithsuchlawsastheLawofLandAdministrationofthePeople’sRepublicofChina,theLawofthePeople’sRepublicofChinaonAdministrationoftheUrbanRealEstates,theContractLawofthePeople’sRepublicofChinaandrelevantadministrativeregulationsandlandsupplypolicies,thetwopartiesherebyenterintothepresentcontractonthebasisoftheprinciplesofequality,voluntariness,compensation,honestyandcredibility.

Article2.TheAssignorherebyassignthelanduserighttotheAssigneeinaccordancetheauthoritybylaws,notwithstandingtheownershipoftheassignedlandbelongstothePeoples’RepublicofChina.ThestateshallbeentitledtoexerciseitsjurisdictionandadministrationoverthelandauthorizedbytheconstitutionandlawandanyotherpowerwhichshallbeexercisedbythestateaccordingtothelegalregulationofPRC,andalsoenjoyanyrightsandinterestsnecessaryforthepublicbenefits.Theresourcesandobjectsburiedthereunderandmunicipalpublicfacilitiesshallnotfallintothescopeoflanduserightassignment.

ChapterIIDeliveryoftheAssignedLandandPaymentoftheAssignmentCharge

Article3.Theassignedlandislocatedingroup2,Yuaqivillage,Yongningtown,Pukoudistrict,withanareaeasttozhujiashunriverbank,westtothe104thnationalhighway,andnorthtowoodsofItalianpoplars,southtowoodsofItalianpoplars;theplotserialnumberthereofisNo.2008G38.Thetotallanduseareais72,398squaremeters,theplanninglandareaforpublicauxiliaryfacilitiesis4047.2squaremeters,andthepracticalassignedareais68350.8squaremeters.ThemetesandboundsandtheboundarymarksaspertheLandSurveyanddelimitationIllustration.

Article4.Theusingpurposefortheassignedlandis:

hotelindustryland.

Article5.AftertheAssigneepayofftheentirepriceamountaccordingtoarticle9ofthepresentcontract,theAssignorisresponsiveforhandingoveronMay1stof2009totheAssigneethepracticalassignedlandintheshapeofpureland,namelyhousesandconstructionshallberemovedtothefloorinthescopeofthelandparcel,withotherobjectskeepingunchanged,andtheelectricwiresandpolesshallberemovedbytheAssigneeitself.Externalconditions(road,water,electricity,gas)shallbemaintainedasthecurrentsituation.ThequestionofentranceroadofthesaidlandparcelshallbesolvedbytheAssignee.

Theancientorprecioustreesshallberemainedastheassignmentcondition,asforothertreestheAssigneeshallcarryoutrelevantprocedureaccordingtonationalregulations.

Article6.Theassignedlandusetermis40years,effectivefromthehandoveroflandbytheAssignortotheAssignee.

Article7.ThetotallandknockdownchargeisRMB30,000,000Yuan(sayRMBthirtymillionYuan).

Theabovesaidcompetingpurchasepriceincludescompensationandresettlementfeesofexpropriation,compensationforremovalofauxiliaryobjectsandgovernmentlandownershipearnings,notincludingtheremovalexpenseofsuchfacilitiesaselectricwiresandpolesandothertaxes.

Article8.Beforethesignatureofthepresentcontract,theAssigneeshallpayofftheentirepriceamounttotalingRMB30,000,000Yuan(sayRMBthirtymillionYuan).Withinwhich15%ofthetotalamountequaltoRMB4,500,000(sayRMBfourpointfivemillionYuan)shallberegardedasdepositoftheperformanceofthecontract.Thedepositshallbealsocountedinthelandpriceamount.

Article9.TheAssigneeagreestopayofftheremainderofthelandpriceamountaccordingtothesubarticle2ofthepresentarticle.

(1)Payingoffthelandpriceamountinalumpsumwithin/daysafterthesignatureofthecontract.

(2)Payingthelandpriceamountin3installmentsaccordingtothetimeandamountspecifiedhereunder:

Thefirstphase:

30%ofthepriceamount,namelyRMB9,000,000Yuan(sayRMBninemillionYuan),atthetimeofpayment:

Nov25thof2008.

Thesecondphase:

40%ofthepriceamount,namelyRMB12,000,000Yuan(sayRMBtwelvemillionYuan),atthetimeofpayment:

Dec26thof2008.

Thethirdphase:

40%ofthepriceamount,namelyRMB12,000,000Yuan(sayRMBtwelvemillionYuan),atthetimeofpayment:

Sep20thof2008.

ChapterIIIDevelopmentandUtilizationoftheLand

Article10.Thedevelopmentinthescopeoftheassignedlandshallbeimplementedinconformitywiththeconditionshereunder.

Otherrequirementsforthelanduse:

theConsigneeshalldevelopandconstructwithrespecttorelevantregulationsofthenation.

Article11.TheAssigneeagreesthattheconstructionprojectsontheassignedlandunderthiscontractshallcommencepriortoSep1stof2009.

Incasethecommencementofconstructionneedstobedeferred,theAssigneeshallsubmittheapplicationfordeferraltotheAssignor30daysinadvance.AfterthedeferralofcommencementisapprovedbytheAssignor,thetimeofcompletionshallbedeferredaccordingly.ButthedeferralshallnotexceedoneyearifthedeferralisowingtotheAssignee.

Article12.TheAssigneeshallberesponsiveforcompletingallconstructionprojectspriortoSep1stof2011andfulfillthecompletioninspectioncondition,incasetheconstructioncannotbecompletedinduetime,theAssigneeshallsubmitanapplicationforcompletionextensiontotheAssignor30daysinadvance.ButtheextensionshallnotexceedoneyearifthedeferralisowingtotheAssignee.Ifthereisadeferralofconstructioncommencement,thecompletiontimeofconstructionshallbecorrespondentlyextended.

Article13.Duringtheconstructionontheassignedlandunderthiscontract,wherewatersupply,gassupply,powersupplies,sewagedisposal,andotherfacilitiesneedtobeconnectedwiththemainpipelines,interfaceofelectricsubstationandinletprojectoutsidetheassignedland,theAssigneeagreestohandlethesematterswithrespecttorelevantrules.

TheAssigneeagreestheentering,passingandcrossingofanykindofpipelineslaidbythegovernmentforpublicpurposesinthelandparcel.TheAssigneealsoagreestoguaranteethewayleaveofadjoiningarea.

Article14.TheAssigneeshallapplytotheAssigneeaccordingtoregulationsforlandregistryin30daysafteracquisitionofthelandwithsuchmaterialsasthepresentcontract,receiptconfirmationoflandandpaymentcertificateoflandknockdownpriceamount.

Article15.TheAssigneeshallmakereasonableuseofthelandaccordingtolaw,anyactivitiesconductedintheassignedlandparcelshallnotdamageorruinthesurroundingenvironmentorfacilities,andtheAssigneeshallberesponsiveforrestitutionofanylossestothecountryorathirdpartythereby.

Article16.TheAssigneeshallutilizethelandaccordingtothiscontractinthetermofassignment.Anyalterationofland-usepurposeandplotratioisprohibited.IncasetheAssigneeneedstoalterthelandusepurposeoritsutilizationcondition,itshallcarryoutrelevantapprovalprocedure,andacquirethepermitoftheAssignorwhichwillsignasupplementaryagreementoflanduserightassignmentcontractorsignanewlanduserightassignmentcontract.Inthatcase,thelandknockdownpriceamountneedstoberenewedcorrespondently,andlandalternationregistryshallbecarriedout.

Within30daysaftercompletionofproject,theAssigneeshallapplytotheAssignorforreviewandinspectionoftheconstructionland,theAssignorwillsurveyandexamthecommencementtime,completiondate,conditionoflanddevelopmentandutilizationaccordingtostipulationsofthepresentcontract.Iftheinspectionresultiseligible,thecertificaterenewalprocedureofstate-ownedlanduserightwillbehandled.Incasetheinspectionresultisnoteligible,thestate-ownedlanduserightcertificateshallonlybeonlyrenewedaftertheconsummationofrelevantprocessaccordingtoregulations.

Article17.Withintheusetermoftheassignedlandunderthiscontract,thegovernmentreservesitsrighttoadjusttheplanningoftheassignedlandunderthiscontract.Incasetheoriginalplanningneedstobemodified,itshallnotaffecttheexistingbuildingsontheassignedlandparcel.Butinthecaseoftransformation,renovationandrebuildingofthebuildings,fixturesandtheiraffiliatedfacilitiesontheassignedlandwithinitsuseterm,orwhenapplyingforrenewalofthecontractatexpirationofuseterm,theeffectiveplanningatthattimeshallb
