TerminationAgreement合同终止协议-

ThisisanAgreementbetweenAAAU.S.A.,Inc.（theCompany）andBBB（theExecutive）.WHEREAS,theExecutiveintendstoresignfromtheCompany;and,WHEREAS,theCompanyandtheExecutiveintendthetermsandconditionsofthisAgreementtogovernallissuesrelatedtotheExecutivesemploymentandresignationfromtheCompany;and,WHEREAS,theExecutiveacknowledgesthathehasbeengivenareasonableperiodoftime,uptoandincludingtwenty-one（21）days,toconsiderthetermsofthisAgreement;and,WHEREAS,theCompanyadvisedtheExecutiveinwritingtoconsultwithalawyerbeforesigningthisAgreement;and,WHEREAS,theExecutivehasrepresentedandherebyreaffirmsthathehasdisclosedtotheCompanyanyinformationinhispossessionconcerninganyconductinvolvingtheCompanyoritsaffiliatesthathehasanyreasontobelieveinvolvesanyfalseclaimstotheUnitedStatesorisormaybeunlawfulorviolatesCompanypolicyinanymaterialrespect;and,WHEREAS,theExecutiveacknowledgesthattheconsiderationprovidedhimunderthisAgreementissufficienttosupportthereleasesprovidedbyhimunderthisAgreement;and,WHEREAS,theExecutiverepresentsthathehasnotfiledanycharges,claimsorlawsuitsagainsttheCompanyinvolvinganyaspectofhisemploymentwhichhavenotbeenterminatedasofthedateofthisAgreement;and,WHEREAS,theExecutiveunderstandsthattheCompanyregardstherepresentationsbyhimasmaterialandthattheCompanyisrelyingontheserepresentationsinenteringintothisAgreement,NOW,THEREFORE,theCompanyandtheExecutiveagreeasfollows:

1.EmploymentStatusandTerminationDate.TheExecutiveshallcontinueasanactiveemployeeoftheCompanythrough_________,_________,_________（M/D/Y）.ExecutiveshallthenbeplacedonapaidLeaveofAbsence（LOA）commencingon_________,_________,_________（M/D/Y）andextendingthroughtheearlierofeither（a）_________,_________,_________（M/D/Y）or（b）ExecutivesacceptanceofemploymentoutsidetheCompany.IfExecutiveacceptsotheremployment,thepaidLOAwillendimmediatelyandExecutivewillbeplacedonanunpaidLOA,withoutpayorbenefits,until_________,_________,_________（M/D/Y）.Executiveslastdayofemployment（TerminationDate）willbe_________,_________,_________（M/D/Y）,orasotherwiseprovidedinparagraph10below.ExecutivewillnotifytheCompany,inwriting,assoonashehasacceptedemploymentoutsidetheCompany.Executiveshallnotaccrueanyvacationdaysorcreditsubsequentto_________,_________,_________（M/D/Y）.2.AnnualSalary.ExecutiveshallcontinueathiscurrentsalarylevelduringthepaidLOA.3.AnnualBonus.ExecutiveshallbepaidabonusfortheCompanys_________（YEAR）fiscalyearendingin_________（YEAR）,equalto100%ofhiscurrentannualsalary,suchpaymenttobepaidatthesametimeastheCompanynormallypaysitsotherexecutiveofficerstheirbonuses.ThisbonuspaymentwillbecontingentuponExecutiveexecutinganadditionalrelease,thesameassetforthinparagraph7below,coveringtheperiodbetweentheEffectiveDateofthisAgreementthrough_________,_________,_________（M/D/Y）.ExecutiveshallnotbeentitledtoanybonusfortheCompanys_________（YEAR）fiscalyearendingin_________（YEAR）.4.Benefits.TheExecutivewillbeeligibletocontinuetoparticipateintheCompanysemployeebenefitplansandprogramsduringthepaidLOA.ProvidedthatExecutivedoesnotbreachanyofthetermsofthisAgreement,theCompanyagreesthatasof_________,_________,_________（M/D/Y）,the$_________oftheoriginaloutstandingprincipalbalanceandanyrelatedaccruedinterestthereonthatExecutiveowestheCompanyunderthePromissoryNotedated_________,_________,_________（M/D/Y）,shallbeforgivenandforeverdischarged.TheCompanyshallreimburseExecutiveforanyfederalandstatetaxespaidbyhimduetothecancellationofsuchindebtedness,onafullytaxgrossed-upbasis.5.StockOptions.AllofExecutivesoutstanding,non-vestedstockoptionswillvestinaccordancewiththetermsoftheoriginalgrantexceptthatnoneofsuchoptionsshallvestaftertheTerminationDate.AllofExecutivesvestedstockoptionsmustbeexercisedwithin_________daysoftheTerminationDate.Executiveshallnotbeeligibletoreceiveanystockoptiongrantssubsequentto_________,_________,_________（M/D/Y）.6.OutplacementServices.TheCompanyshallprovideoutplacementservicesfortheExecutiveduringthepaidLOA.SuchservicesshallbeprovidedthroughanagencyselectedbytheCompany.Servicesshallincludethereasonablecostsofofficespace,useofequipment,suchasapersonalcomputer,copier,phone,faxmachine,andadministrativesupport.7.ReleaseofClaims.TheExecutiveandhisheirs,assigns,andagentsrelease,waiveanddischargetheCompanyanditspastandpresentdirectors,officers,employees,subsidiaries,affiliates,andagentsfromeachandeveryclaim,actionorrightofanysort,knownorunknown,arisingonorbeforetheEffectiveDate.（a）Theforegoingreleaseincludes,butisnotlimitedto,anyclaimofdiscriminationonthebasisofrace,sex,religion,maritalstatus,sexualorientation,nationalorigin,handicapordisability,age,veteranstatus,specialdisabledveteranstatus,orcitizenshipstatus;anyotherclaimbasedonastatutoryprohibition;anyclaimarisingoutoforrelatedtoanexpressorimpliedemploymentcontract,anyothercontractaffectingtermsandconditionsofemployment,oracovenantofgoodfaithandfairdealing.（b）TheExecutiverepresentsthatheunderstandstheforegoingrelease,thatrightsandclaimsundertheAgeDiscriminationinEmploymentActof1967,asamended,areamongtherightsandclaimsagainsttheCompanyheisreleasing,andthatheunderstandsthatheisnotpresentlyreleasinganyrightsorclaimsarisingaftertheEffectiveDate.（c）TheExecutivefurtheragreesnevertosuetheCompanyorcausetheCompanytobesuedregardinganymatterwithinthescopeoftheaboverelease.IftheExecutiveviolatesthisreleasebysuingtheCompanyorcausingtheCompanytobesued,theCompanymayrecoveralldamagesasallowedbylaw,includingallcostsandexpensesofdefendingagainstthesuitincurredbytheCompanyandreasonableattorneysfees.TheCompanyreleases,waives,anddischargesExecutivefromeachandeveryclaim,actionorrightofanysort,arisingonorbeforetheEffectiveDateandbaseduponfactspresentlyknowntotheExecutiveVicePresident,HumanResources.8.ConfidentialInformation.TheExecutiveacknowledgesthat,inconnectionwithhisemploymentattheCompany,heobtainedknowledgeaboutconfidentialandproprietaryinformation,ortradesecretsoftheCompany,includingbutnotlimitedtolistsofcustomersandvendors,technicalinformationaboutCompanyproducts,strategicplansofcompanybusinessesandpriceinformation（hereinaftertheInformation）.Executiveagrees,eitherpriortoorfollowingtheEffectiveDate,nottouse,publishorotherwisediscloseanyInformationtoothers,includingbutnotlimitedtoasubsequentemployerorcompetitortotheCompany.IftheExecutivehasanyquestionregardingwhatdataorinformationwouldbeconsideredbytheCompanytobeinformationsubjecttothisprovision,theExecutiveagreestocontacttheExecutiveVicePresident,HumanResourcesforwrittenclarification.9.Non-CompetitionandNon-Solicitation.（a）TheExecutiveagreesthathewillnot,priorto_________（M,D,Y）,enterintoormaintainanemploymentorcontractualrelationship,eitherdirectlyorindirectly,toprovideservicestoanycompanyorentityengagedinanywayinabusinessthatcompetesdirectlyorindirectlywiththeCompanywithoutthepriorwrittenconsentoftheCompany.BusinessesthatcompetewiththeCompanyspecificallyinclude,butarenotlimitedto,thefollowingentitiesandeachoftheirsubsidiariesaffiliates,assigns,orsuccessorsininterest:

CCC,Inc.（including,butnotlimitedto,DDDandEEE）;FFF,Inc.（including,butnotlimitedto,GGG,HHH,andIII）;JJJ,Inc.;KKK;LLL（including,butnotlimitedto,MMMCompany）;NNN;OOO,Inc;andPPP,Inc.（b）Totheextentthatanyrelationshiporemploymentpriorto_________（M,D,Y）iscoveredbytheabovenon-competeprovision,ExecutiveagreestorequestpermissionfromtheExecutiveVicePresident,HumanResourcesoftheCompanypriortoenteringanysuchrelationshiporemployment.TheCompanymayapproveornotapproveoftherelationshiporemploymentatitsabsolutediscretion.（c）TheExecutiveagreesthatpriorto_________（M,D,Y）,hewillnotdirectlyorindirectlysolicitanypersonwhoisanemployeeoftheCompanytoterminatehisorherrelationshipwiththeCompanywithoutpriorwrittenapprovalfromtheExecutiveVicePresident,HumanResourcesoftheCompany.10.BreachbyExecutive.TheCompanysobligationstotheExecutiveunderthisAgreement,includingtheloanforgivenesssetforthinparagraph5above,arecontingentonExecutivesperformanceofhisobligationsunderthisAgreement.AnymaterialbreachbyExecutiveofthisAgreementwillresultintheimmediatecancellationofallExecutivesstockoptionsandtheimmediateterminationofExecutivesemployment,aswellasentitletheCompanytoallitsotherremediesinlaworequity.Intheeventofsuchbreach,Executivewouldalsoberequiredtorepaythe$_________principalbalanceofthePromissoryNotedated_________,_________,_________（M/D/Y）,plusinterestaccruedfrom_________,_________,_________（M/D/Y）,calculatedinaccordancewiththetermsofthePromissoryNote.11.ExecutiveAvailability.TheExecutiveagreestomakehimselfreasonablyavailabletothe
