鉴于甲方通过特许经营方式,赋予特许经营者依法投资建设、经营、管理本项目的权利,并在特许经营期满后向政府(甲方)或其指定机构移交本项目。
鉴于乙方同意以依法取得特许经营权的方式投资建设、经营、管理本项目,并在特许经营期满后向政府(甲方)或其指定机构移交本项目。
甲、乙双方经过友好协商,就本项目特许经营权投资建设、经营、管理、移交等有关事宜达成以下一致意见,并签订本合同,以兹双方共同遵守。
WHEREASpartyA,bythemodeoffranchisingoperation,grantthefranchiseewiththerightsofinvestment/construction,operationandmanagementthisprojectinaccordancewithlawandtransferthisprojectupontheexpirationoffranchisingtermtothegovernment(partyA)orthedesignedauthoritybygovernment.
WHEREASpartyBacknowledgeandagree,bythewayofacquirementoffranchisingrightsinaccordancewithlaw,tomakeinvestment/construction,operation,managementandofthisproject,andtransferthisprojectupontheexpirationoffranchisingtermtothegovernment(partyA)orthedesignedauthoritybygovernment.
NOWTHEREFORETHISCONTRACTWITNESSESthatpartieshereto,throughamicablenegotiationontheconcernedissuesofinvestment/construction,operationandmanagementthisproject’sfranchisingrights,havereachedthemutualagreementandenterintothiscontractforpartiesabideby.

本项目路线全长公里,设计速度为公里/小时,路基宽度米,双向六车道高速公路技术标准建设,路面采用沥青混凝土,桥涵设计荷载采用公路—Ⅰ级,其他技术指标应符合交通部颁发的《公路工程技术标准》(JTCB01-2003)中的规定。
建设期:
本项目建设期为个月。

Totalroutelengthofprojectiskilometers,thedesignspeedaskilometers/hour,thewidthofroadbedasmeters,theconstructionstandardoftwo-waysixlanesofexpressway,asphaltconcretepavement,bridgedesignloadbyhighway–I,othertechnicalindicatorsshouldbesubjecttothestipulationsofTechnicalStandardofHighwayEngineering(JTCB01-2003)issuedbytheMinistryofCommunications.

第二章投资资金ArticleFourInvestmentCapital
2.1本项目投资预计金额为:
万元(以政府交通行政主管部门批准的初步概算为准),本项目的资金来源应符合国家产业政策和资金管理的有关规定。
ThebudgetamountofthisprojectinvestmentismillionYuan,subjecttotheprimarybudgetapprovedbytheadministrationauthorityofcommunications.ThefundingsourcesofprojectshouldbeinconformitywiththerelevantprovisionsofState’sindustrialpolicyandfundmanagement.
2.2乙方应准备充足资金,确保本项目的资本金足额到位,以保证本项目工程建设的顺利实施。
PartyBshouldprepareadequateandenoughfundandensurefullfundinitsaccountforthesmoothimplementationofproject.
2.3甲方有权监督乙方资金的到位情况。
在建设期间,如果乙方由于资金不足的原因,导致未能按施工承包协议约定的支付期限支付工程款,经甲方同意延期个月后仍拖延支付工程款超过3个月以上的,甲方有权终止本合同,并追究因此造成的经济损失。
PartyAisentitletosupervisepartyB’sfundinitsbankaccount.ProvidedthatthefailureofeffectingWork’spaymentinstipulationofcontractduringconstruction,duetopartyB’sinadequacyoffund,andstilldelaythepaymentmorethanthreemonthsafterpartyA’sconsentofexpirationofmonths,partyAisentitletoeffectterminationofthiscontractandclaimthecompensationofeconomiclossconsequentthereonorincidentalthereto.
2.4本项目的资金投入应按工程建设进度的需要,分期、分批按计划注入。
在本项目全面竣工验收合格后,乙方根据批准的预算及实施过程中经审计认可的变更编制竣工结算,送甲方初审后,报审计机构审计。
Theinvestmentoffundtothisprojectshould,subjecttothenecessityofconstructionprogress,beeffectedinseparatetermsandbatches.PartyBshould,uponacceptanceoffullcompletionofthisproject,submitpartyAwiththefinalsettlementwhicharepreparedinaccordancewiththeapprovedbudgetandthealterationswhichareconfirmedbyauditduringtheimplementationofWorkforpartyA’spreliminaryreviewbeforeapplicationofAuditAgencyforauditing.
第三章特许经营权ArticleThreeFranchisingRights
3.1特许经营权内容:
本项目的投资建设、经营、管理。
Thecontentsoffranchisingrightsareinclusiveofinvestedconstruction,operationandmanagement/administration.
3.2特许经营权授予:
依照本合同的规定,甲方代表政府在此将本项目的特许经营权授予给乙方。
本合同签订后,乙方即获得对本项目进行投资建设、经营、管理的权利。
AwardofFranchisingRights:
PartyAwillhereby,pursuanttotheprovisionshereof,forandonbehalfofGovernment,grantpartyBwiththefranchisingrightsofthisprojectoperation.PartyBwill,uponthesignatureofthiscontract,enjoytherightsofinvestedconstruction,operationandmanagement/administration.
3.3本合同授予乙方的特许经营权是独占性的,专属于乙方;甲方保证不将特许经营权的任何部分或全部再授予任何第三方。
ThefranchisingrightsofoperationbeingawardedbythiscontractisexclusivetopartyBandpartyAguaranteesthatnoanypartoralloffranchisingrightswillbeawardedtoanyotherparty.
3.4特许经营期:
授予乙方特许经营权的期限,其中:
建设期4年,自本项目开工日起计算;收费经营期为30年,建设完成后,按政府批准的开始收费之日起计算。
如本项目提前进入运行,该提前时间不计算在30年收费经营期之内,该提前运行期间收益由项目公司为维护本项目自主使用。
FranchisingPeriod:
ThetermlimitedwhichisawardedtopartyB’soperation,includingfouryearsconstructionperiodcountingfromtheprojectcommencementdate;thetermofchargingoperationis30years,whichwillbecountedfromthechargingdateapprovedbyGovernmentsubsequenttothecompletionofproject.
Providedthattheprojectisintoadvanceoperationpriortoschedule,theadvanceperiodwillnotcalculatedintothe30year’soperationperiod,andtheproceedsthereofwillbeusedformaintenanceofprojectattheprojectcompanysolediscretion.
3.5特许经营期的延长:
在特许经营期内,由于不可抗力或非乙方的原因,致使乙方无法正常经营的,或出现本合同中约定的需延长特许经营期的其他情形,乙方有权要求延长特许经营期;具体延长期限由双方协商后确定,并报有权批准的政府及部门批准后执行。
在特许经营期内乙方享有国家给予高速公路投资建设、经营的各种优惠政策,上述政策包括现行的及经营期间新出台的各项优惠政策。
ExtensionofFranchisingTerm:
ProvidedthatpartyBfailtocarryoutnormaloperationduringfranchisingterm,duetoforcemajuereandnon-partyB’sreason,orothermatterswhicharestipulatedhereoftoneedextensionoffranchisingterm,partyBisentitletorequiretheextensionoffranchisingoperation,however,thespecificextensionlimitedtimeshouldbeconfirmedbyparties’negotiationandputintoexecutionsubjecttotheapproveofGovernmentandcompetentauthority.
PartyBwill,intheperiodoffranchising,enjoyvariouspreferentialpoliciesofStateonexpresswayinvestmentandoperation,whichareincludingthevariouspreferentialpoliciesincurrentandnewissuedduringtheoperationperiod.
第四章土地征用ArticleSixLandAcquisition
4.1由甲方协助乙方开展本项目征地拆迁、安置、补偿及地方协调等工作。
PartyAwillmakeavailabletopartyBassistanceofdemolition,resettlement,compensation,localcoordinationandotherworks,whicharerelatedonlandacquisition.
4.2项目永久性用地,包括但不仅限于下列建筑物用地:
高速公路、连接线、服务区、停车场、管理处、收费站、交警及路政基础设施等建设用地。
项目永久性征地、拆迁、安置和补偿的全部费用由乙方(项目公司)承担。
Permanentlandfortheprojectincludebutnotlimitedtothelandusedforfollowingbuildings:
Theconstructionlandofinfrastructuressuchashighway,connectingline,servicezone,parkinglot,managementoffice,tollstation,trafficpolice,roadadministrationandsoon.TheExpensesrelatingtothepermanentland,demolition,resettlementandcompensationshallbeontheaccountofpartyB(ProjectCompany).
4.3乙方(项目公司)负责与项目有关的拆迁、安置、补偿支付的有关费用;拆迁、补偿、安置工作由甲方协同有关各级政府完成;乙方及其为本项目成立项目公司对拆迁、安置、补偿费用的使用进行监督,确保该费用落实,以利于本项目的施工、运行正常进行。
Therelevantcostandexpenseofdemolition,resettlementandcompensation,whicharerelatedtotheprojectwillbepartyB(Projectcompany)‘sliabilities;theworksofdemolition,resettlementandcompensationwillbeaccomplishedbyvariousgovernmentswiththeassistanceofpartyA;PartyBandtheprojectcompanywhichisestablishedforthisprojectwillmakesupervisiononthefundusefordemolition,resettlementandcompensationandensurethatfundinaccountsoastofacilitatethenormalexecutionandoperationofthisproject.
4.4在特许经营期内永久性用地由乙方无偿使用。
双方应按照国家有关规定,及时向国土行政主管部门申请土地使用权登记,取得《国有土地使用权证》。
ThepermanentlandwillbeusedandoccupiedinchargefreebypartyBduringthefranchisingoperationterm.Partiesheretoshould,pursuanttoState’sprovisionsintime,makeapplicationofregistrationonlanduserightswiththecompetentadministrativeauthorityandacquireCertificateofStateLandUseRight.
