检验条款：

CommodityInspection

ItismutuallyagreedthatheCertificateofQualityandWeightissuedby

（eg:

ChinaEntry-ExitInspectionandQuarantineBureau）/surv

eyorattheportofshipmentshallbe（takenasthebasisofdelivery.）/

partofthedocumentstobepresentedfornegotiationundertherelevantweightofthe

cargo.There—inspectionfeeshallbebornebytheBuyer.Theclaimwiththecargo,ifany,shallbelodgedtotheSellerwithin

daysafterarrivalofthecargoattheportofdestination.

索赔条款：

DiscrepancyandClaim

AnyclaimbytheBuyersregardingthecargoshallbesupportedbysurveyreportissuedbyasurveyorapprovedbytheSellerandlodgedwithin45daysafterthearrivalofthecargoattheportofdestinaton.TheSellerwillnotconsiderclaimsinrespectofmatterswithinresponsibilityofinsurancecompanyorshippingcompany.

ShouldtheSellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditonthattheSelleragreesofpayapenaltywhichshallbe

deductedbythepayingbankatthetimeofpayment.Therateofpenaltyischargedat0.5%

ofthetotalvalueofthecargowhosedeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbe

countedasaweek.Butthetotalamountofpenaltyshallnotexceed5%ofthetotalvalueof

thecargoinvolvedinthelatedelivery.IncasetheSellerfailotmakedelivery10weekslater

thanthetimeofshipmentstipulatedonthecontract,theBuyershallhavbetherighttocancelthecontractandtheSellershallstillpaytheaforesaidpenaltytotheBuerwithoutdelay.

Quality/QuantityDiscrepancyandClaim:

Incasethequalityand/orquantity/weightarefoundtheBuyerstobenotinconformitywiththeContractafterarrivalofthegoodsattheportofdestination，theBuyersmaylodgeclaimwiththeSellerssupportedbysurveyreportissuedbyaninspection

organizaitonagreeduponbybothpartieswiththeexception，however，ofthoseclaimsforwhichtheinsurancecom

panyand/ortheshippingcompanyaretobeheldresponsible.Claimforqualitydiscrepancy

shouldbefiledbytheBuyerswithin30daysafterarrivalofthegoodsattheportofdestination

，whileforquantity/weightdiscrepa

ncyclaimshouldbefiledbytheBuyerswithin15daysafterarrivalofthegoodsatportofdestination.TheSellersshall，within30daysafterrece

iptofthenotificationoftheclaim，aendreplytotheBuyers.

TheBuyershavetherihgttolodgeclaimsforalllossessustainedwithin6

0daysafterdischargeofthegoodsattheportofdestination.

综合式不可抗力条款：

ForceMajure

TheSellershallnotbeheldresponsibleforlatedeliveryornon—deliveryofthegoodsdueto

flood，fire，earthquake，snowstorm，drought，hailstorm，hurricane，orothereventsthatarebeyondthecontroloftheSeller.ButtheSellershallnotifytheBuyerbycabelassoonaspossibleandgivetheBuyeracertificateby6registeredmailissueddbytheChinaCouncilforthePromotionofInternationalTradeorothercompetentauthorities.

Ifshipmentofthecontractedgoodsispreventedordelayedinwholeorin

ntorlateshipmentofthegoodsunderthisContract.However,theseller

shallnotifytheBuyersbyfaxortelexandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythecompetentauthoritiesattheplaceofoccurreneeattestingsucheventorevents.

仲裁条款：

Arbitration规定在我国仲裁的条款：

Alldisputesinconnectionwithorarisingfromthecontractshallbesettl

edamicablythroughnegotiation.Incasenosettlementcanbereachedbetwe

enthetwoparties,thecaseshallbesubmittedtotheChinaintermational

EconomicandTradeArbitrationCommission,Beijingforarbitraitoninaccordancewithits

RulesofArbitration.Thearbitralawardisfinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingpartyuniessotherwiseawardedbythearbitrationcourt.

规定在被诉方仲裁的条款：

定金条款：

Earnestmoney

TheBuyershallpay--%ofthetotalvalueofthecargobyT/TtotheSelle

rastheearnestmoney.InthecasethattheBuyerfulfilledtheobligation

sinthecontract,theearnestmoneyshallbedeductedbythepayingbank

atthetimeofpayment.Otherwisetheearnestmoneyshallnotbereturned.

InthecasethattheSellerfailedtofulfillanyobligationthethecontra

ct,theSellershallpaytwicetheearnestmoneytotheBuyer.
