ThisagreementcontainsthecompletetermsandconditionsthatapplytoallOOO.comaffiliates.Asusedinthisagreement,"we"meansOOO.com,Inc.,and"you"meanstheapplicant."Site"meansaWorldWideWebsiteanddependingonthecontext,referstoeitherhttp:

//www.OOO.comortothesiteidentifiedinyourAffiliateRegistrationform

Enrollment

YouareautomaticallyenrolledintoourprogramwhenyousubmitacompletedAffiliateRegistrationFormandcanbeginsellingimmediately.Wewillcontactyouafewdaysafteryouregistertoensureallisinplace.

LinkingtoOOO.com

YoucanlinkyourWebsiteand/ore-mailcorrespondencetoanylocationonoursite,youarenotrequiredtolinktoaspecifictitle.However,ifyouwish,youcancreateaOOO'productdescriptionandlinkittotheappropriatepageonoursite.RefertoourLinkingMethodspageforcompletelinkinginstructions.Websitesande-mailthatpromotehatred,racismorpornographywillbeinviolationofthisagreement.

IfyouhaveaWebsitelinkingtoours,youaresolelyresponsibleforensuring:

thedevelopment,operation,maintenanceandtechnicaloperationofyoursite

thedisplayofaccurateandappropriatematerialonyoursite

WegrantyouanonexclusiverevocablerighttouseOOO'graphicimagesandtextforthesolepurposeofidentifyingyourselfasaprogramparticipantandtoassistyouingeneratingsales.WereserveallrightstoOOO'graphicimages,text,tradenamesandtrademarks.Youmaynotmodifyanyofourimages.

Wedisclaimallliabilityfromthesematters.Further,youwillindemnifyandholdusharmlessfromallclaims,damages,andexpenses（including,withoutlimitation,attorneys?

fees）relatingtothedevelopment,operation,maintenanceandcontentsofyoursite.

RefferalIDandTracking

YourassignedReferralIDnumber（RID）isusedtoprovideaccuratetrackingofsales,reportingandreferralcommissionaccrual.YourRIDmustbeaddedtotheendofeachofyourlinksbeforepropercreditwillbeappliedtoyouraccount.IfyouchangeyourRIDwithoutnotifyingus,youwillnotbepaidcommissionsforsalesreferredwiththenewRID.Wewillnotbeliableifyoufailtolinkproperlytooursite.RefertoourLinkingMethodspageforcompletelinkinginstructions.

WewillprocesstheordersofthosecustomersthathavefollowedyourlinkstoourWebsite.WewillattendtotheirCustomerServiceneeds,Orderforms,Payments,Cancellations,andReturns.Wewilltrackallsalesmadebythosecustomers,andprovideyouwithasummarizedreport.AsecuredAffiliateActivityCenterwillpermityoutoviewactivitygeneratedtousthroughyourlinks.

Onceyouselectyourcombination,youwillalwaysreceivethesamereferralcommissionpercentage.Toearncommissionthroughaproductsale,thecustomermusthavefollowedoneofyourlinkstooursite,selectedandpurchasedtheproductusingourautomatedorderingsystem,accepteddeliveryoftheproduct,andremittedfullpaymenttous.Referralcommissionsarebasedonrevenuesderivedbyusthroughsaleofproduct.Weexcludecostsforshipping,handling,taxesandreturnedproduct.

Ouraffiliatepaymentstructureisorganizedintocalendarquarters.Oursaleperiodsare3monthsinduration.Asalesreportforaparticularperiodwillbefinalizedattheendofthemonththatfollowsthatperiod.

Approximately30daysfollowingtheendofeachquarter,ifyouraccumulatedrevenueis$25.00ormore（uptoandincludingsalesfortheendofthequarter）,wewillmailyouachecktotheaddresslistedinyouraffiliateinformation.Ifthereferralcommissionspayabletoyouislessthan$25.00,wewillwithholdpaymentuntilthenextcalendarquarterwhenthetotalamountdueisatleast$25.00,oruntilthisagreementisterminated.Ifaproductthatgeneratedareferralcommissionisreturnedbythecustomer,wewilldeductthecorrespondingreferralcommissionfromyournextquarterlypayment.Ifthereisnosubsequentpaymentwithin2monthsofthepayment,wewillsendyouabillforthereferralcommission.YoucanviewyourcommissionpaymentstodeterminewhatisowingandwhathasbeenpaidtoyouinourAffiliateActivityCenter.

Salesreportsareupdatedinrealtime.Assoonasasaleismade,ourdatabaserecognizesit,andtheappropriatesalesreportisupdated.

ApplyingCommissionPayments

CreditcommissionpaymentscanbeusedatanytimetowardanyproductpurchasedatOOO.com.PurchasecreditisredeemableagainstallmerchandiseatOOO.com.Creditcanbeappliedagainsttheproductportionofyourpurchasebutnottowardshipping,handlingandtax.

Inordertoapplyyourcredit,youmustfirstcreateacoupon.Byturningyourcreditintocoupons,itcanbesharedwithanyoneyouchoose.Theusermusthavethenumberandpasswordforthecoupon.

Incaseaproductisreturned,purchasecreditcanonlyberedeemedafter30daysofacustomerpurchasedate.

TermsofthisAgreement

Thetermsofthisagreementwillbeginuponouracceptanceofyourprogramapplication.Eitheryouorwemayterminateyourmembership,atanytime,withorwithoutcause,throughwrittennotice.Atthattimeyouwillimmediatelyremovefromyoursite,alllinkstooursite,alongwithanyOOO.comtrademarks,tradedressandlogos,andanyothermaterialsprovidedbyustoyoupursuantheretoorinconnectionwithourprogram.Youareonlyeligibletoearnreferralfeesonproductsalesoccurringwhileyouareanaffiliatemember.Referralfeesearnedonthedateofterminationwillremainpayableonlyiftherelatedordersarenotcancelledorreturned.Wemaywithholdyourfinalpaymentforareasonabletimetoensurethatthecorrectamountispaid.

ProductPurchases

YoumaynotpurchaseproductsfromOOO.comthroughthelinksonyourownsite,forresale,orcommercialuse.Thisincludesordersonbehalfofcustomersororderstobeusedbyyou,friends,orfamily.Suchpurchasesmayresultinthewithholdingofreferralfeesand/ortheterminationofthisagreement.

Modification

Wemaymodifytermsandconditionscontainedinthisagreement,atanytimeandatoursolediscretion.Anychangeswillbepostedonoursite.Modificationsmayincludeforexample,changesinreferralfees,referralfeeschedules,paymentprocedures,andprogramrules.Ifanymodificationisunacceptabletoyou,youronlyrecourseistoterminateyourmembership.Yourcontinuedparticipationintheprogramfollowinguspostingachangeinourprogram,willconstitutebindingacceptanceofthechange.

RelationshipofParties

Youandweareindependentcontractors,andnothinginthisagreementwillcreateanypartnership,jointventure,agency,franchise,salesrepresentative,oremploymentrelationshipbetweenthetwoparties.Youwillhavenoauthoritytomakeoracceptoffersorrepresentationsonourbehalf.

LimitationofLiability

Wewillnotbeliableforindirect,special,orconsequentialdamages（oranylossofrevenue,profits,ordata）arisinginconnectionwithouraffiliateprogram,evenifwehavebeenadvisedofthepossibilityofsuchdamages.Further,ouraggregateliabilityarisingwithrespecttoourprogramwillnotexceedthetotalreferralfeespaidorpayabletoyouunderthisagreement.

Disclaimers

Wemakenoexpressorimpliedwarrantiesorrepresentationswithrespecttotheprogramoranyproductssoldthroughtheprogram（including,withoutlimitation,warrantiesoffitness,merchantability,noninfringement,oranyimpliedwarrantiesarisingoutofacourseofperformance,dealing,ortradeusage）.Inaddition,wemakenorepresentationthattheoperationofoursitewillbeuninterruptedorerror-free,insuchanevent,wewillnotbeliablefortheconsequences.
