ThisCONTRACT（hereinafter,togetherwithallAppendicesattachedheretoandforminganintegralparthereof,called“Contract”）ismadebetweenFranshionPropertiesCo.Ltd.（hereinaftercalled“PartyA”）,IntegratedDesignAssociatesLimited（hereinaftercalled“PartyB”）andShanghaiInternationalTenderingCo.,Ltd.（hereinaftercalled“PartyC”），

本合同（与以下构成本合同不可分割部分的所有附件，统称为合同）于2010年9月日由置业有限公司（以下简称“甲方”），综汇建筑设计有限公司（以下称“乙方”）和上海国际招标有限公司（以下称“丙方”）共同签订。

WhereasPartyAinvitedPartyBtoparticipatetheDesignProjectofMasterplanningforProjectandagreedtopaycertainamountofprojectfeetoPartyB;PartyBagreedtoparticipatetheprojectaccordingtothetimescheduleandfeeproposalofPartyA;PartyCagreedtoactastheagentofPartyAtoundertaketheoverseas’

paymentunderthisContract,allpartiesagreedtoreachanagreementunderthetermsandconditionsasfollows:

鉴于甲方邀请乙方参加本项目总体规划设计，并向乙方支付相应的费用；乙方同意按照甲方的要求的进度和费用参加设计；丙方同意代理甲方完成本合同项下设计费的外汇支付工作，三方达成一致如下：

1.ScopeofWorks工作范围

PartyBshallcompletethedesignworkdefinedintheScopeofWorksasAppendix1totheContract.

乙方应根据合同附件一工作范围的规定完成设计工作。

2.WorkingSchedules工作进度

PartyBshallsubmitthedesigndocumentsbeforeSep.2010.

乙方应在2010年9月

日前递交设计成果文件。

3.ProjectFee设计费

PartyAshallpayUSD50,000.00toPartyBasthecompletionfeeafterPartyBsubmittedthedesigndocuments.

乙方递交设计成果文件后，甲方向乙方支付设计费伍万美元整。

4.TermsofPayment付款方式

（1）PartyAshallpaymenttheprojectfeewithin14daysafterPartyBhadsubmittedthedesigndocuments.PartyCwilldealwiththetaxesandoverseaspaymentprocedureasfollows:

甲方应在乙方递交设计成果文件后14天内向乙方支付设计费。

丙方负责处理税务和外汇付款事项，具体程序如下：

Afterreceiptandreviewingofthedesigndocuments,PartyAshallinformPartyBtoissuetheinvoiceofprojectfee.TheinvoiceshallbecopiedtoPartyC.

甲方收到设计成果文件审核无误后，通知乙方开具发票。

乙方的发票应拷贝给丙方。

乙方应向甲方提供发票，并且拷贝给丙方；

WithinoneworkingdaysafterreceiptthecopyofinvoicefromPartyB,PartyCshallissueanpaymentapplicationdocumenttoParty

A，therateisdecidedbythesellingprice（USD/RMB）onthedayPartyCissuethepaymentapplicationdocument.

丙方在收到乙方的发票拷贝件后1个工作日内向甲方开具收款收据，汇率按照丙方开具收款收据当日美元兑人民币的卖出价计算；

PartyAshalltransfertherelevantamountinRMBtoPartyCwithin3workingdaysafterreceiptPartyC’sapplicationdocument.

甲方应在收到乙方开具的收据后3个工作内向丙方支付相应的人民币款项，；

PartyCshallpaytaxesonbehalfofPartyBwithin3workingdaysuponreceiptpaymentfromPartyA.

丙方在收到甲方支付的款项后3个工作日内代乙方向税务局缴纳相关的税费。

PartyCshallmakepaymenttoPartyBwithin3workingdaysuponreceiptoftaxprepaidcertificatesfromthetaxauthority.

丙方在收到税务局开具的完税凭证后3个工作日内向乙方支付相应的外汇。

（2）PartyBauthorizesPartyCtodealwiththelocaltaxissuesonbehalfofhim.PartyBshallpaytoPartyCaservicefeeof1.7%oftheprojectfee.Theestimatedtaxesarearound5.8%oftheprojectfee.Thereforeatotalamountof7.5%oftheprojectfeeplusbankchargeswillbedeductedaccordingly.

乙方委托丙方代其办理在中国境内完税的手续。

为此丙方向乙方收取外汇支付总额的1.7%作为代办服务费，另外乙方需要缴纳的税金约为外汇支付总额的5.8%。

由此，在丙方向乙方支付外汇时，将扣除7.5%以及银行手续费。

（3）Thereceivingbankis:

5.LawGoverningContract本合同的适用法律

ThisContract,itsmeaningandinterpretation,andtherightandobligationbetweenthePartiesshallbegovernedbyrelevantlawsofthePeople’sRepublicofChina.

本合同适用中国人民共和国的相关法律，各方之间的权利和义务受中华人民共和国相关法律的管辖和保护。

6.Language语言

ThisContracthasbeenwritteninChineseandEnglishLanguage.IfthereisanydiscrepancybetweentheChineseversionandtheEnglishversion,Chineseversionshallprevail.

本合同以中英文书就。

如果中英文版出现矛盾，以中文版为准。

7.Copyright版权

ThecopyrightofthedesigndocumentsbelongstoPartyAandPartyBafterPartyApaidtheprojectfee.PartyAhastherighttouse,duplicateandmodifythedesigndocumentsdirectlyorbyitshiredordesignatedthirdparty.PartyBanditsPersonnelshallapplyforawrittenapprovalfromPartyApriortoquoting,usingorpublishingsuchdeliverables,exceptthatsuchquoting,usingorpublishingisfornon-profitpurposes.

甲方支付设计费后，设计成果的版权归甲乙双方共有。

甲方有权直接或通过其雇佣或指定的第三方使用、复制、修改上述文件。

乙方及其人员若要引用、使用或发表服务的成果需事先经甲方书面同意，但乙方有权将其运用在非赢利性的市场宣传及学术讨论之用途而无需征得甲方的同意。

8.LiabilityforBreachoftheContract违约责任

（1）IfPartyAdelaysthepaymentoftheprojectfeeover30dayswhilePartyBperformeditscontractualobligations,PartyBhastherighttoterminatetheContractandaskforPartyAtoPaytheprojectfeeandinterestduetothedelay.

在乙方按规定履约的前提下，如果甲方逾期支付设计费超过30天，乙方可终止合同，并有权要求甲方支付设计费和利息。

（2）IfPartyBfailstodeliverthedesigndocumentsaccordingtotheWorkingSchedulesspecifiedinaboveClause2,PartyAhastherighttoterminatetheContractandrefusetopaytheprojectfee.

如果乙方无法根据上述第2条规定的工作进度按时递交设计成果文件，甲方可终止合同，拒绝支付设计费。

9.SettlementofDisputes争议的解决

Allpartiesshallusehisbesteffortstosettledisputesthroughamicablenegotiations.HowevereitherpartyisentitledtosubmitanydisputethatcannotbesettledthroughnegotiationtotheShanghaiBranchofChinaInternationalEconomicandTradeArbitrationCommission（CIETAC）forarbitrationunderitsrulesandprocedures.ThecostofarbitrationshallbebornebythelosingParty,unlessotherwisespecifiedintheawardofarbitration.UnlessotherwiseagreedbytheParties,theofficiallanguageofthearbitrationshallbeChinese.

因本合同的订立、解释、履行引起的所有与本合同有关的争议，三方应及时友好协商解决。

若协商解决不成时，任何一方有权根据本条规定将争议提交中国国际经济贸易仲裁委员会上海分会按其仲裁规则进行仲裁。

除非裁决另有规定，仲裁费用由败诉方承担。

仲裁的语言应为中文。

10.Others其它

（1）ThisContractwillbecomeeffectiveafterithasbeendulysignedbyallparties’legalrepresentativeandremaininforceuntiltherightsandobligationsofallpartieshavebeenfulfilled.

本合同经各方法定代表人签字后生效，在合同各方的权利和义务执行完毕后失效。

（2）AllmatterslefttobecoveredintheContractshallbesettledbyallpartiesthroughconsultation.

本合同的未尽事宜由三方协商解决。

（3）ThisContracthas6originalcopies.Eachpartyholds2copies.本合同正本六份。

各方各执两份。

第二章

合同附件Appendixofthecontract

ScopeofWork工作范畴

StageOne:

ConceptDesign（DesignProject）

第一阶段:

概念设计

Basedontheprovidedinformation,IDAisgoingtoresearchandanalyzethegeographical,environmental,andfunctionalsituationofthesitelocatedin.Thisanalysiswillincludetheurbancontext,theexistinginfrastructure,thesiteconnection（majorcirculationroutes）aswellastheexistingcitygrid,itsurbantextureandthehistoryoftheprincipaldevelopmentof.

根据所提供的信息，IDA将会对设计场地在本的地理位置，环境以及功能进行研究和分析。

这分析将包括城市环境、现有的城市基础设施、设计场地的交通道路连结、城市肌理和本的主要发展历史。

Baseduponthedetailedanalysis,IDAwilldevelopconceptualideasforlanduse,includingthedistributionofdifferentfunctionalcomponentssuchasresidentialuse,commercialuse,andinstitutionaluse.IDAwillincorporateduringthisstagethedevelopmentofthenewtrafficlayoutandnetworkaswellasitsintegrationintotheexistingroad-network.AstheoveralldesignwillbebaseduponaEuropeanmodel,IDAwillalsoresearchcomparablecitiesinEuropesuchasBarcelona,Berlin,CopenhagenandParisandtheirspecialcharacteristicsinordertointroducesuitableelementsintothedesignconcept.Thisstudywillexaminetherelationshipoftheresidentialblocks,informalresidentialcourtyards,andgroundfloor,streetfacingretail,aswellasanoverallcommercialhubsurroundingtheexistingferrypier.

根据以上的分析，设计机构将会对设计场地的土地用途作出概念性的规划，其中包含划分不同功能的地块如住宅用地、商业用地和社区用地。

设计机构还将于本阶段整合现有的交通网和新的道路系统。

整个设计方针将会采用欧陆式风格，设计机构亦会对一些欧洲城市如巴塞罗那，柏林，哥本哈根和巴黎做研究分析，从中吸取设计特性，引进最富创意的原素。

这研习亦会探索社区、住区花园、街头地面商铺和围绕着码头的大型商业中心的相互关系。

Theconceptstudywillfocusondevelopingnew,localneighborhoodsthatwillcreateoasesprovidingresidentswillprivacyaswellaslocalidentity.Inthiscontext,IDAwillpreparedetailedstudiesofbothlinearandblockarrangementsforthenewresidentialareasandtherespectedconnectiontotheroadnetworkinordertoprovidemaximumsea-viewsaswellasprivacy,includingdaylightstudies.

整个概念研究将会集中于创立居住绿洲，在保护居民生活私密的同时建立地域特性。

因此设计机构将会作出对线型和围合型住宅区规划、路网连结和日照进行深入的考察和研究，以求将海景和私隐度最大化。

AdditionallyIDAwillstudyofhowtointegratecertainexistingbuildingswithinthesitecontextthatareworthbeingkeptintothenewdesign.IDAwillalsostudyofhowtointegratetheexistingferrypieroperationintothedesignandhowtoincludeadditionalneededpublictransportationelementssuchascoachstationsetc..

另外，设计机构会研究如何令新设计的建筑物与场地中现存并且具有保留价值的建筑物相互结合。

设计机构亦会研究如何融合设计与现有的渡轮码头并适当增加其他的公共交通运输元素如长途公共汽车站等。

IDAwillincludeinthestudyadetailedanalysisofhowtointegratethenewlocalneighborhoodswiththeexistingbuildingfabricandhowtocreatenew,excitingfeatures/plazaswithinandalongthenewdevelopmenttobestdrawattentionandtoattractpeopletovisitthenewcityquarter.

设计机构的研究还包括一份详细的分析研究如何将新的社区环境与现有的工业建筑物融合，以及如何在新建区域中加入令人兴奋的地标/广场，并且以此吸引人们光顾新建区域。

IDAwillalsoincludeintheconceptaproposalofhowtointegratetheexistingsewagetreatmentplantandhowtotransformtheareaintoanewpublicparkincludingnewfeaturessuchasalocalschoolaswellasanadjacentculturalhubwithmuseums,theatresandgalleries.

设计机构的概念设计还包括如何将原为污水处理厂的地方转化成新的人民公园、学校、文化区包括博物馆、剧院及画廊等。

ThestudywillalsoincludetheLowerPeninsulaandwilldemonstratetwooptionsofdifferentlandusewithdifferentdensitiesforthisareaofeitheranFARofaround3.5orofaround1.5.Additionallythestudywillfocusonhowtointegrateexistingstructuresonpartsofthesitethatmightnotbeincludedinthedetaileddesigniftheclien
