1.Definitions

Thefollowingtermsshallhavethefollowingmeanings（whetherusedinthesingularorplural）:

2.Preamble

WHEREAS

（1）SponsordesirestosponsoraresearchinaccordancewiththescopeofworkassetoutinSchedule1（StatementofWork）ofthisAgreement（“Research”）.

（2）Universityhasthefacilities,equipmentandemployeestoprovideresearchservices,andwiththeseresourcesUniversitywishestocarryoutResearchandprovidetheresultsoftheworktoSponsorascontainedinthisAgreement.

（3）TheContractPartieshavedecidedtoconcludethisAgreementunderwhichUniversitywillperformResearchasdescribedinSchedule1.

NOW,THEREFORE,inconsiderationofthemutualcovenantsexpressedinthisAgreement,theContractPartiesagreeasfollows:

3.TermandTermination

3.1ThisAgreementshallbeginon_______________________andisestimatedtobecompletedon_________________________.

3.2ThisAgreementshallterminateuponwrittennoticebyeitherContractPartytotheotherwithinsixty（60）daysofthedateonwhichanyofthefollowingeventsoccurs:

（i）theothershallbecomeinsolvent;

（ii）theothershallgointoliquidationwhethercompulsoryorvoluntaryexceptforthepurposeofamalgamationorreconstruction;

（iii）theothershallhaveareceiverappointedofanyofitsassetsorundertaking,oranydistress,execution,sequestrationorotherprocessshallbeissuedagainstanyofitsproperty.

3.3ThisAgreementmayalsobeterminated:

3.3.1ForthwithbyUniversityifSponsorfailstopayanysumdueasagreedwithinsixty（60）daysoftheduedatetherefor,andasdescribedinSchedule2（ProjectandPayment）;

3.3.2ForthwithbyeitherpartyiftheothercommitsanymaterialbreachofanytermofthisAgreementandwhich（inthecaseofabreachcapableofbeingremedied）shallnothavebeenremediedwithinsixty（60）daysofawrittenrequesttoremedythesame;

3.3.3AnyterminationofthisAgreementpursuanttothisclauseshallbewithoutprejudicetoanyotherrightsorremediesapartymaybeentitledtohereunderoralawandshallnotaffectanyaccruedrightsorliabilitiesofeitherpartynorthecomingintoorcontinuanceinforceofanyprovisionhereofwhichisexpresslyorbyimplicationintendedtocomeintoorcontinueinforceonoraftersuchtermination.

4.PaymentsandRecords

4.1InconsiderationoftheUniversity’scarryingouttheResearchdescribedinSchedule1（StatementofWork）,SponsorshallpayUniversitythesumofHK$________________________.ThesaidsumwillbepaidbySponsortoUniversityinthemannerasdescribedinSchedule2（ProjectandPayment）.

6.ReportingofResults

ThePrincipalInvestigator（s）ofUniversityshallprovideSponsorwithformalorinformalreportsatregularintervalsasspecifiedinSchedule2（ProjectandPayment）.AFinalReportshallbesubmittedbyUniversitytoSponsorwithin_______daysuponcompletionofResearch.

7.IntellectualPropertyOwnership

7.1Theterm“IntellectualProperty”shallinclude,butnotlimitedto,anyinvention,discovery,creation,design,improvement,development,know-how,knowledge,tradesecret,copyrightablework,ordataconceived,acquired,and/orreducedtopracticebyeitherpartyorbothpartiesintheperformanceofResearchunderthisAgreement,whetherornotpatentedorpatentable.

7.2IntellectualPropertiesconceived,acquired,and/orreducedtopracticesolelybyUniversityunderthisAgreement,andanyapplicationforpatentorpatentgrantedtherefore,shallbetheexclusivepropertyofUniversity.

7.3IntellectualPropertiesconceived,acquired,and/orreducedtopracticejointlybyUniversityandSponsorandanyapplicationforpatentorpatentgrantedthereforeshallbeownedbyUniversity.

8.FirstRightofRefusalandTechnologyLicencing

8.1InconsiderationofSponsor’sparticipationinResearch,UniversityherebygrantstoSponsorarightoffirstrefusalforanexclusivelicencewithrespecttotheIntellectualPropertiesconceived,acquired,and/orreducedtopracticebyUniversityorjointlybyemployeesofUniversityandSponsorunderthisResearch.

8.2InthecaseofpatentapplicationinitiatedbyUniversity,UniversityshallexpeditiouslyfurnishSponsorwithacopyofthepatentapplicationasfiled,alongwithnoticecontaininganoutlineofthetermsonthebasisofwhichUniversityiswillingtograntSponsoranexclusivelicenceunderanypatentwhichmayissueinrespectofsuchpatentapplication.SponsorandUniversityagreetonegotiateingoodfaithreasonabletermsandconditionsforsuchlicence.

8.3Sponsorshallhavetheright,foraperiodofninety（90）daysfollowingreceiptbySponsorofsuchnoticetotakealicenceuponthesuggestedtermsorsuchothertermsasUniversityandSponsormayagree.If,attheexpirationofsuchninety-dayperiodUniversityandSponsorhavefailedtoagree,Universityshallbefreetoofferalicencewithrespecttosuchpatentapplicationsorpatentstothirdparties,butwithin2yearsfollowingtheexpirationofthesaidninety-dayperiodUniversityshallnotoffermorefavourabletermstoanysuchthirdpartythanthoseofferedtoSponsorwithoutfirstre-offeringsuchmorefavourabletermstoSponsorandinsuchcaseSponsorshallwithinfifteen（15）daysfollowingreceiptbySponsorofsuchnoticetotakealicenceuponthesuggestedtermsorsuchothertermsasUniversityandSponsormayagree.If,attheexpirationofsuchfifteen-dayperiodUniversityandSponsorhavefailedtoagree,Universityshallbefreetoofferalicencewithrespecttosuchpatentapplicationsorpatentstothirdparties.

8.4WhereResearchresultsrelatetotechnologyorconfidentialinformationacquiredbyUniversityfromathirdpartytoenableUniversitytocarryoutResearch,thelicencinginIntellectualPropertyofResearchshallbesubjecttothetermsoftheagreementbetweenUniversityandthatthirdpartyrelatingsuchtechnologyorconfidentialinformation.

8.5NotwithstandinganyprovisiontothecontraryinthisAgreement,Universityshallretaintherighttopractiseanyinventionordiscoverydevelopedhereunderforitsownuse.

9.RightofCommercialization

Fortheavoidanceofdoubt,notwithstandingClause8inthisAgreement,theUniversitydoesnotbythisAgreementtransfertherighttoSponsorforanycommercialapplicationofanyresearchresultsarisingfromthisResearch.ThetermsandconditionsforlicensingtheresearchresultsarisingfromthisResearchshallbesubjectedtonegotiationbetweenSponsorandUniversityingoodfaith.

10.Publication

10.1UniversityshallbefreetousetheresultsofResearchforitsownteaching,research,educational,clinicalandpublicationpurposeswithoutfirstobtainingthewrittenapprovalofSponsor.

10.2UniversityshallhavetherighttopublishinformationithasgainedinthecourseofResearch.Sponsorshallhavetherighttoreviewacopyofanyproposedpublicationwithrespecttodisclosureofconfidentialmaterialatleastthirty（30）dayspriortoestimateddateofpublication.Sponsor’ssuggestionforamendmenttothepublicationwillbeprovidedforUniversity’sconsiderationwithinfifteen（15）daysofthedatesubmittedtoSponsor.IfnoresponseisreceivedfromSponsorwithinfifteen（15）daysofthedatesubmittedtoSponsor,itwillbeconclusivelypresumedthatthepublicationmayproceedwithoutdelay.

10.3WhenUniversitypersonnelareauthorsorco-authorsofatechnicalpublicationincorporatingresearchcoveredbythisAgreement,thefundingcitationshallread“HKUSTistherecipientofaSponsorSponsoredResearchProject”.

11Confidentiality

11.1NeitherUniversitynorSponsorshalldiscloseanyConfidentialInformationtoanyotherpersonororganizationwithoutexercisingthesamedegreeofcareaseachpartyexercisestoprotectitsowninformationofsimilartypeandimportance.

11.2TheobligationimposedonContractPartiesbyClause11.1shallnotapplytothefollowingwhichwasexcludedfromthedefinitionofconfidentialinformation.

（i）wasknowntothereceivingpartypriortoitsreceipthereunder;

（ii）isorbecomespubliclyavailablewithoutbreachofthisAgreement;

（iii）isreceivedfromthirdpartieswithoutanobligationofconfidentialitytothedisclosingpartyandwithoutbreachofthisAgreement;

（iv）isdisclosedbythedisclosingpartytoanot
