NoticeoftheInterimMeasuresfortheadministrationofthelegalaffairsoftheStateDevelopmentBank

Preparatorybranchofeachbranchofthenationaldevelopmentbank:

TheInterimMeasuresfortheadministrationofthelegalaffairsoftheNationalDevelopmentBankareherebyissuedtoyou,andpleaseearnestlyfollowthem.

ChapterIGeneralProvisions

Article1ThesemeasuresareformulatedinaccordancewiththestatelawsandregulationsandtherelevantregulationsoftheStateDevelopmentBankinordertoregulatetheadministrationoflegalaffairsoftheStateDevelopmentbank.

Thelegalaffairsreferredtointhesesecondmeasuresinclude:

（I）legalmattersinfinancingandissuingbonds;

（two）legalaffairsinprojectfinancing;

（three）legalaffairsinthereorganizationofassets;

（four）legalmattersindispositionofpledgedandpledgedgoods;

（five）applyforlegalmattersintheorderofpayment;

（six）legalproceedingsinproceedings;

（seven）toinitiatelegalproceedingsinarbitration;

（eight）legalmattersinresponding;

（nine）legalconsultation;

（ten）supervisionandinspectionoflegalmatters;

（eleven）externalcounsel.

ArticlethirdthelegalaffairsoftheStateDevelopmentBankshallabidebythefollowingprinciples:

（1）adheretotheprincipleofadministrationaccordingtolaw,strictlyabidebystatelawsandregulations,andsafeguardtheinterestsoftheStateDevelopmentbank;

（two）adheretotheprincipleofalegalpersonatthefirstlevel,andeachbranch（includingtheheadoffice,salesdepartment）shallbeauthorizedtohandlelegalaffairs,andtheLegalAffairsDepartmentoftheheadofficeshallhavethefinaldecisiononthelegalaffairsofthewholebank;

（three）adheretotheprincipleofunifiedadministrationandclassificationandresponsibility,andthegeneralandbranchofficesshallundertakelegalaffairsinaccordancewiththelawandbearlegalresponsibilities.

Thesecondchapter,legalaffairsmanagement

FourthheadofficeofLegalAffairsDepartmentoflegalaffairsforthecentralizedmanagementofeachbranchaccordingtothelegalaffairsdepartmentandheadofficeoflegalaffairsauthorizedshallperformtheduties,tocompletethelayoutoftheofficework,managementofthebank'slegalaffairs.

Articlefifthundertheunifiedleadershipoftheheadoffice,thelegalworkbetweenthebranchesshouldstrengthenexchangesandcooperation.TheStateDevelopmentBankhasmadeeconomicdisputesindifferentplaces,andthelegalaffairsdepartmentsofthelocaldevelopmentbankshouldbesupportedandcoordinatedtosafeguardtheoverallinterestsoftheStateDevelopmentBankandensurethehealthydevelopmentofthelegalaffairsofthewholebank.

Thesixthbranchofthelegalaffairsdepartmenttomeetimportantlegalaffairsbytheheadofficeofresearch,processingorassist,shouldconsultorreportinwrittenform,incaseofemergencycanbeverbalinstructionsorreporttoreportafterthewrittendocuments.

TheLegalAffairsDepartmentoftheseventhheadofficeshallreceivewrittenwritteninstructionsandreportsfromthebranchlegalaffairsdepartment,andshallmakeawrittenreplyinduecourse.

TheeighthLegalAffairsDepartmentoftheheadofficeisresponsibleforhandlingthefollowingcases:

（1）thecaseoflitigationisinthecaseofthirtymillionyuanormore;

（two）thefirstinstancecasesacceptedbythehighercourtsoftheprovinces,autonomousregionsandmunicipalitiesdirectlyunderthecentralgovernment;

（three）casesinvolvingcourtsatalllevelsinBeijing;

（four）thecaseinvolvingthetrialandretrialofthecourtinvolvedintheSupremeCourt;

（five）casesinvolvingtheheadquartersofotherfinancialinstitutionsinChina;

（six）casesinvolvingforeignlitigationandarbitration.

Ninthlegalaffairsdepartmentsoftheheadofficeguide,superviseandmanageallkindsofcasesdirectlyhandledbybranches.

Tenthlegalaffairsdepartmentsoftheheadofficecoordinateanddealwithlegaldisputesbetweenbranches.

TheLegalAffairsDepartmentoftheeleventhbranchisresponsiblefordirectlyhandlingallkindsofcasesotherthanthecase,andshallpromptlyreportthecasehandlingplan,theprogressofthecaseandtheimplementationoftherulingtotheLegalAffairsDepartmentoftheheadoffice.

ThetwelfthbranchofthelegalaffairsdepartmentshallbesubmittedtotheheadofficeofLegalAffairsDepartmentofcasestatisticsandanalysisreportquarterly,andsubmittotheheadofficeoflegalaffairs,legalaffairsdepartmentinDecember1stofeachyearbeforetheannualworkreport.

Thethirteenthbranchoflegalaffairsdepartmentsshouldreporttothegeneralofficeoflegalaffairsintimetotheimportantmattersandproblemsfoundintheirdailywork.

Fourteenthgeneralandbranchlegalaffairsdepartmentsshallestablishaledgersystemoflitigationcases.

Fifteenthgeneralandbranchlegalaffairsdepartmentsshouldestablishacasefilemanagementsystem:

（1）beforethecaseenterstheproceedings,allnonlitigiouslegaldocumentsshallbekeptbytherelevantbusinessdepartments;

（two）inthecourseoftheproceedings,thelegaldocumentsandrelatedinformationshallbekeptbythelegalaffairsdepartment;

（three）afterthecasehasbeencompleted,theprocedurallegaldocumentsandrelatedmaterialsshallbesubmittedtothearchivesdepartmentbythelegalaffairsdepartmentforarchivalfiling.

Thesixteenthbranchesandbranchesshouldestablishaprincipal-agentsystem:

（1）onbehalfoftheNationalDevelopmentBank,thepersonwhohashandledallthelegalaffairshastoobtaintheletterofauthorizationfromthelegalrepresentativeoftheStateDevelopmentBankandworkwithinthescopeofhisauthorization;

（two）thelegalrepresentativeoftheNationalDevelopmentBankletterofattorneycompletedbytheheadofficeofLegalAffairsBureau,theofficeoftheNationalDevelopmentBankstampedwiththesealandthelegalrepresentativeofzhang;

（three）branchauthorizationtobecompletedbythelegalaffairsdepartmentbranch,branchofficewiththeNationalDevelopmentBankbranchandbranchnamechapter.

Thethirdchapter,legalaffairs,businessdivisionandcooperation

Seventeenthfinancing,issuebonds

（1）theLegalAffairsDepartmentoftheheadofficeshall,inaccordancewiththeproposalofthebusinessdepartment,participateinthenegotiation,draftingandexaminationofthetextofthefundraisingandissuanceagreement;

（two）thebusinessdepartmentshallsigntheLegalAffairsDepartmentoftheheadofficebeforesigningtherelevantlegaldocumentsforraisingfundsandissuingbonds.

Eighteenthitemfinancing

（1）theLegalAffairsDepartmentoftheheadofficeshallparticipateinthenegotiation,draftingandexaminationofthetextoftheprojectfinancingagreementinaccordancewiththeproposalofthebusinessdepartment;

（two）thetextoftheprojectfinancingagreementdrawnupbythebusinessdepartmentshallbecountersignedbytheLegalAffairsDepartmentoftheheadoffice.

Nineteenthassetrestructuring

（1）theLegalAffairsDepartmentoftheheadofficeshall,inaccordancewiththeproposalofthebusinessdepartment,participateinthedesignoftheassetsreorganizationplan,thenegotiation,draftingandexaminationoftheagreementtext,etc.;

（two）theassetrestructuringplanproposedbythebusinessdepartmentshallbecountersignedbytheLegalAffairsDepartmentoftheheadoffice.

Disposaloftwentiethpledgedgoodsandpledgedgoods

（a）forcreditandguaranteetheproject,iftheborrowerfailstocontractdebtservicing,projectbranchbusinessdepartmentshouldtheborrowerdefaultwithinthreemonthsafterthebank'slegalaffairsdepartment,proposedexerciseoffsetandpledgeproposalandreporttobranch;

（two）aftertheapprovalofthebranchgovernor,itshallbeorganizedandimplementedbythelegalaffairsdepartment.

Twenty-first,litigation（includingapplicationforpaymentorder）,arbitration

（a）iftheborrowerhasthefollowingBreachofcontract,projectbranchbusinessdepartmentshouldtimelyconsultationwiththeborrower,theborrowerdefaultsasinwithin12monthsafterthestillunresolved,branchbusinessdepartmentshallwithin30daysthereafter,takingthelegalaffairsdepartment,proposestheproceedings（includingforanorderofpayment）orarbitration.Thelegalmeasuresproposalandreporttoheadofficeoflegalaffairsdepartment:

1.theborrowerfailstopaytheprincipalandinterestonthecontract（includingtheborrowernotpayinginterestasstipulatedinthecontractandtheborrower'srepaymentoftheprincipalundertheinstallmentplan）;

2.borrowersmisappropriateormisappropriateloans;

3.,theborrowerortheguarantorwithouttheconsentoftheStateDevelopmentBank,changesinoperatingmethodsorchangesinpropertyrights;

4.,theborrowerunauthorizeddisposalofloansformedassets;

5.,thecollateral,unauthorizeddisposalofcollateral.

（two）thecaseshandledbythebranchshallbeorganizedandimplementedbythebranchoflegalaffairsofthebranchaftertheexaminationandapprovalbytheLegalAffairsDepartmentoftheheadoffice;

（three）thecasesdirectlyhandledbytheheadofficeshallbesubmittedbytheLegalAffairsDepartmentoftheheadofficeforapprovalandsubmittedtotheheadofficeoftheheadofficeforapproval,andshallbeorganizedandimplementedbytheLegalAffairsDepartmentoftheheadoffice.
