甲、乙双方在平等、自愿基础上，经友好协商就甲方委托乙方，乙方接受甲方委托，为甲方提供常年法律服务的有关问题达成以下协议（以下简称“本协议”）：

Afterfriendlynegotiationsandinthefaithoffairnessandkindness,PartyAauthorizesPartyBasPartyA’slong-termlegalserviceproviderandPartyBhasacceptedtheauthorization.Bothpartieshaveagreedonthecontentbelowandwouldliketosignalong-termlegalserviceagreement（hereinafter‘theAgreement’）.

第一条：

服务范围

ChapterOneContentoftheService

根据本协议，甲方委托乙方，乙方接受甲方的委托，为甲方提供如下法律服务：

AccordingtotheAgreement,PartyAauthorizesPartyBandPartyBhaveagreedtoprovidethefollowingservices:

1．起草、修改或审查甲方对外签署的法律文件；

1.Drafting,modifyingorreviewingalllegalorrelateddocumentssignedbyPartyA;

2．提供甲方所需的法律咨询；

2.ProvidinglegalconsultationaccordingtoPartyA’srequirements;

3．办理甲方委托的一般非讼法律事务；

3.DealingwithPartyA’snon-litigationproblems;

4．代理甲方委托的诉讼和仲裁案件；

4.ActingasPartyA’sagencyifPartyAgetinvolvedinlitigationsorarbitrations;

5．办理甲方委托的大型融资项目（包括但不限于上市、发债、基金、增发、配股）及大型改制重组项目法律服务；

5.FinancingProjectsconsignedbyPartyA,（includebutnotlimitedtoIPOs,BondsIssuing,Fundings,AdditionalSharesIssuing,Allotmentsandsoforth）andCorporatesystemreform&reunionsolutionservices;

6．根据相关事务的要求，为甲方出具法律意见书（依据法定及国家有关部门规定出具）；

6.IssuinglegalopiniondocumentsaccordingtoPartyA’srequirements（basedonlawsandotherregulations）;

7．协助甲方进行工作人员的法律培训；

7.AssistingPartyAtocarryonemployee’strainings;

8．办理甲方委托的其他事项。

第二条：

服务的时间与场所

ChapterTwoTimeandPlacesoftheService

1．乙方同意指派律师到甲方的办公场所或乙方的办公场所或双方约定的市内其它场所提供本协议第一条所规定的各项法律服务。

双方可根据需要对前述人员安排、服务时间及服务方式进行确认或调整；

Detailedworkingtimeandplacescouldbesetdependingoneachcase’ssituation.

2．如果甲方需要乙方在前款所指地点之外提供第一条所规定的各项法律服务，原则上甲方应提前三个工作日通知乙方，并向乙方提供相应的资料和便利。

2.IncasePartyAneedsPartyBtoworkatotherplacesratherthanabove,PartyAshouldinformPartyB3daysinadvanceandprovidePartyBnecessaryworkingconditions.

第三条：

服务费用

ChapterThreeFees

1．服务费用的组成。

服务费用由律师费和律师活动费组成。

1.Feesconsistsofa）paymentsforlawyersandb）activityfees

1．1律师费

1.1Paymentsforlawyers

律师费是对律师办理委托事宜所支付的劳动报酬。

本协议项下的律师费由常年律师费和专项律师费构成，其计费的方式如下：

‘Paymentsforlawyers’isthefeethatwouldbepaidaccordingtolawyers’work.Withinthisrange,itisdividedintoannualfeeandspecificfees.

1.1.1甲方按照本协议的规定应向乙方交纳常年律师费共计/万元/年，乙方根据本协议向甲方提供本协议第一条第1、2、3、7、8项服务时将不再另取收取律师费；

如果甲方服务需求量很大，以致乙方实际发生的工作量很大，超出本常年法律服务预估的工作量（以300个工作小时计），则甲乙双方应本着互谅互惠的原则，甲方需相应增加常年法律服务付费。

超出工作小时部分按每工作小时元计算付费。

为此，乙方应置备为甲方提供本协议项下常年法律服务的工作清单。

1.1.1AccordingtothisAgreement,PartyAwouldpayPartyB/asanannualfee.PartyBwillnotchargeextrafeesifPartyBprovidesservicesasdescribedbyChapterOne,item1,2,3,7and8；

IfPartyAhasanextremelybigrequirementanditmakesPartyBprovidemuchmoreworkthanexpectation（i.e.300workinghoursperyear）,PartyAshallpayextrafeesratherthanannualfeeforthesakeoffairnessandkindness.Chargecriterionfortheextrapartwillbe/perhour,andPartyBwillprepareaclearlistofdetailedworkinghoursasaproof.

1.1.2乙方为甲方提供本协议第一条第4、5、6项服务时，甲方与乙方应另行签订专项服务协议，并按天津市律师服务收费有关规定的收费标准确定具体的收费金额。

乙方可在其收费标准的基础上给予甲方一定的优惠。

1.1.2WhenPartyBworksonChapterOneItem4,5and6,PartyAandPartyBneedtosignextracontractonthespecificproject.ThosefeeswouldbechargebasedonrelatedguidancefromTianjinMunicipalGovernment,andPartyBwillgivePartyAanextradiscount.

1．2律师活动费

1.2ActivityFees

律师活动费是指律师因办理委托事宜而实际发生的必要交通费、餐费、住宿费、及其他费用（该类费用事先征得甲方认可）。

律师活动费应由甲方完全负担。

ActivityfeesincludeallpossiblefeescauseddirectlybyactivitiesduringthecourseofPartyB’sservice.Usuallyactivityfeescovernecessarytrafficfees,meals,lodgingsandotherpossiblefees.PartyAshallbearallactivityfeesbutPartyBwillaskforPartyA’sapprovalbeforeeachfeeoccurs.

2．费用的交付

2.Thepayment

2.1甲方在本协议签订并收到乙方的合规发票后30个工作日内以转账支票形式向乙方支付常年律师费的50%。

甲方在下一个半年度开始并收到乙方的合规发票后30个工作日内以转账支票形式向乙方支付剩余的50%常年律师费。

如有应追加付费的部分，则甲方在收到乙方发出的付费通知及合规发票并经甲方审核无误后30个工作日内向乙方付清。

2.1TheAnnualFee

PartyAwillpay50%annualservicefeebycheckwithin30workingdaysaftertheAgreementissignedandPartyAreceivedthepropertaxinvoice.PartyAshallpaytheother50%annualservicefeeforthenext6-monthperiodservicebycheckwithin30workingdaysafterPartyAreceivedthepropertaxinvoice.Ifextrafeesoccur,PartyAshallmakeapaymentwithin30workingdaysafterverifyingthepaymentrequestnoticeandpropertaxinvoicethatareprovidedbyPartyB

2.2对于乙方为甲方提供本协议第一条第4、5、6项服务时，乙方应根据该专

项服务协议的规定支付该专项律师费。

2.2SpecificFees

SpecificfeesshallbepaidaccordingtoeachcontractifPartyB’sserviceisChapterOneItem4,5and6.

2．3律师活动费采取随时发生随时支付的方式付费。

2.3ActivityFees

Activityfeesshallbepaidwhentheyhaveoccurred.

第四条：

甲乙双方的权利与义务

ChapterFourRightsandLiabilities

1．甲方的权利与义务

1．1．1根据本协议获得乙方提供的法律服务；

1.1.1PartyAhastherighttohaveallPartyB’sservicebasedontheAgreement.

1．1．2本协议规定的其他权利。

1．2甲方的义务

1.2PartyA’sliabilities

1．2．1按时足额支付服务费用；

1.2.1PartyAshallpayfullamountsofallpossiblefeespunctually.

1．2．2根据本协议，乙方需要到甲方办公场所或其他非乙方办公场所提供法律服务时，甲方应尽力向乙方提供一间固定和独立使用的办公用房和必要的办公设备；

1.2.2PartyAshallPartyBpossibleworkingconditions（aseparateroomandotherofficeappliances）whenPartyB’slawyerworkatPartyA’splacesorothernon-PartyB’splaces.

1．2．3甲方对乙方的工作应予以充分的配合，包括但不限于甲方主动或应乙方的要求为乙方提供尽可能充分的与乙方所承办法律事务相关的资料和证据；

1.2.3PartyAshallgivePartyButmostcooperation,includingbutnotlimitedtoprovidePartyBallrelateddocuments,certificatesandallpossiblematerialswhichcouldbeappliedasevidence.

1．2．4甲方应保证其向乙方提供的与乙方涉及的案件或项目的全部资料和所做一切陈述的真实性、准确性及完整性，并对因甲方提供资料或陈述失实所导致的任何后果承担法律责任。

如因甲方的虚假陈述或重大遗漏给乙方造成损失的，甲方应承担相应的赔偿责任；

1.2.4PartyAshallpromisethatallmaterials’authenticity,accuracy,andintegralitywhenPartyAprovidestoPartyB.PartyAshallbearalllegalliabilitiesforanyfalsestatementsorfatalomissions.IfPartyA’sfalsestatementsorfatalomissioncausesPartyB’sloss,PartyAshallcompensateforthoseloss.

1．2．5本协议规定的其他义务。

2．乙方的权利与义务

2．1乙方的权利

2.1PartyB’srights

2．1．1收取服务费用；

2.1.1Chargealloccurredfees.

2．1．2获得甲方提供有关委托事宜的真实、详尽、最新的资料；

2.1.2Obtainrelatedtrue,completeandlatestmaterialsfromPartyA.

2．1．3获得甲方提供与乙方服务有关的合理配合和必要协助；

2.1.3ObtainPartyA’sreasonablecooperationandnecessaryassistance.

2．1．4在甲方有下列行为之一时，可以拒绝接受或随时终止委托：

2.1.4Terminateserviceif:

（a）甲方委托的事项属于违法活动；

（a）PartyA’sactivitieshavebrokenlaws.

（b）甲方利用或欲利用乙方提供的服务从事违法活动；

（b）PartyAhasthebehaviororintentiontotaketheadvantageofPartyB’sservicetodoillegalconducts.

（c）甲方提供虚假材料或对乙方隐瞒事实；

（c）PartyAprovidesfalsematerialsoromitsimportantfacts.

（d）甲方拒绝向乙方提供合理的配合和协助，致使乙方无法提供本协议项下

的法律服务；

（d）PartyArefusestoprovidePartyBnecessaryassistanceanditcausesPartyBunabletoproceedtheservices.

（e）甲方未按期支付本协议项下的服务费用，经乙方催告后，在五日内仍未支付该笔费用。

（e）PartyAfailstopayallpossiblefees,and,doesnotmakepayments5daysafterPartyB’snoticeorreminder.

2．1．5本协议规定的其他权利。

2．2乙方的义务

2.2PartyB’sliabilities

2．2．1忠于职守。

乙方接受委托后应委派一至两名有经验的律师担任甲方的常年法律顾问。

乙方应保证该律师根据甲方的要求，对甲方委托的事务认真负责的办理，为甲方提供优质高效的法律服务；

2.2.1PartyBshalldevotetothedutyasalegalconsultantprovider.PartyBwillarrange1to2experiencedlawyerstoworkwithPartyAasyear-longserviceproviders;andPartyBhastheresponsibilitytoensurethatlawyersofferbest-qualityservicewithhighefficiency.

2．2．2不得中途拒绝委托。

乙方接受甲方的委托后，无正当理由，不得中途拒绝继续为甲方服务，除非：

2.2.2PartyBshallnotrefusePartyA’sauthorizationduringtheAgreement’seffectiveperiod,unless:

（a）甲方委托的事项属于违法活动；

（a）PartyA’sactivitieshavebrokenlaws.

（b）甲方利用或欲利用乙方提供的服务从事违法活动；

（b）PartyAhasthebehaviororintentiontotaketheadvantageofPartyB’sservicetodoillegalconducts

（c）甲方提供虚假材料或对乙方隐瞒事实；

（c）PartyAprovidesfalsematerialsoromitsimportantfacts.

（d）甲方拒绝向乙方提供合理的配合和协助，致使乙方无法提供本协议项下

的法律服务；

（d）PartyArefusestoprovidePartyBnecessaryassistanceanditcausesPartyBunabletoproceedtheservices.

（e）甲方未按期支付本协议项下的服务费用，经乙方催告后，在五日内仍未支付该笔费用。

（e）PartyAfailstopayallpossiblefees,and,doesn’tmakepayments5daysafterPartyB’snoticeorreminder.

2．2．3保密义务。

乙方对在完成甲方委托事宜过程中所知悉的国家秘密、甲方的商业秘密和个人隐私、及甲方声明要求乙方为其保密的其他事宜，应当予以保密；

2.2.3Confidentiality.PartyBshallkeepallmaterialsorinformationconfidentialifPartyBlearnsanyofficialsecrets,PartyA’sbusinesssecretsoremployee’sprivacy.

2．2．4亲自完成。

乙方接受甲方的委托后，应亲自完成该项工作，除非甲方同意，不得擅自转委托他人；

2.2.4PartyB’slawyersshallfinishallworksinperson.WithoutPartyA’sconsent,PartyBshallnottransferanyoranypartofPartyA’sworks.

2．2．5避免利益冲突。

乙方所委派的律师在接受甲方的委托后于同一案件中，不得再接受相对立的对方当事人的委托；乙方所指派的律师在担任甲方的常年法律顾问过程中，甲方要求该律师提供的服务涉及第三方利益，而该第三方也已委托该律师为法律顾问的，该律师应向甲方说明情况，由乙方再指派其他律师针对该事项为甲方提供服务；

2.2.5PartyBshallavoidunnecessaryconflictsorinterests.PartyB’slawyershallnotacceptPartyA’scounterpart’slegalserviceauthorization.IfthecircumstancethatPartyB’slawyeralsobearsanylegalserviceworkofacounterpartorotherrelativepartiesoccurs,PartyBwillinformPartyAinadvanceandwillreplacealawyertoensurePart
