PublicLiabilityInsuranceClauses

GeneralProvisions

ProvisionIThisInsuranceContract（hereinafterreferredtoas“Contract”）consistsofInsuranceClauses,InsuranceApplication,InsurancePolicyorotherCertificatesofInsuranceaswellassuchotherinsuranceapplicationdocuments,statements,comments,affixedendorsementsorotherwrittendocuments asrelatedhereto.Anyandallsucharrangementsasinvolvedhereundershallbemadeinwriting.

ProvisionIIAnyandallgovernmentalagencies,enterpriseandpublicinstitutions,socialgroups,individualeconomicorganizationsandotherlegallyestablishedorganizationswithintheterritoryofthePeople’sRepublicofChina（exclusiveofHKSAR,MacaoSARandTaiwan,thesameappliesbelow）aredeemedtobequalifiedenoughtobetheInsuredhereunder.

Insurancecoverage

ProvisionIIIDuringtheinsuranceperiodandwithinsuchscopeofareasasspecifiedherein,incaseofanyincidentasaresultoftheInsured’snegligenceduringthecourseofitsrunninganybusinessactivitiesoritsownbusiness,whichincidenthascausedthird-partypersonalinjuriesand/orpropertydamagesandthesufferer（s）raises/raiseclaimsthefirsttimeeverduringtheinsuranceperiod,theInsurershallundertaketopaytheindemnificationshereunderagainstanysuchindemnificationliabilityastobebornebytheInsuredinaccordancewiththelawsofthePeople’sRepublicofChina（exclusivethelawsofHKSAR,MacaoSARandTaiwan,thesameappliesbelow）.

ProvisionIVIntheeventofanyinsuredaccident,asaresultofwhicheitherarbitrationorlitigationhasbeenraisedagainsttheInsured,theInsurershallalsotakesuchliabilityastomakeindemnificationshereunderagainstanysucharbitrationorlitigationexpensesasimposedontheInsuredaswellasthoseothernecessaryandreasonablefees（hereinafterreferredtoas“LegalFees”）,whichshallbepaidbytheInsurerasperthepriorwrittenconsent.

Exclusions

ProvisionVInthecaseofanyofthefollowingcircumstances,theInsurershallnotundertaketopayanyindemnification:

（I）Suchanimals,bicycles,cars,locomotives,vesselsofanykind,aircrafts,lifts,elevators,escalators,cranes,hoistsorotherliftingmachinerywhichbelongtoorareinthepossessionof  theInsuredorusedinitsname,butnotspecifiedintheScheduleofthisInsurancePolicy.

（II）Suchproducts,goodsandcommoditiesassold,marketedand/orgrantedforfreebyeithertheInsuredoranyofitsemployeesandrepresentatives;

（III）Defectivesanitaryinstallationsorpoisoningofanykindoranyuncleanorharmfulfoodordrink;

（IV）AnyclaimsarisingfromtheengagementoftheInsuredoranyofitsemployeesinsuchperformancesasadoctor,attorney-at-laworaccountantetc.,whicharecategorizedasofthespecialprofessionsbynature.

（V）TheengagementoftheInsuredinanyconstruction,installationand/ordecorationprojects.

ProvisionVITheInsurershallnotundertaketopayanyindemnificationforanyclaimsagainstsuchlossesanddamagesasaresultof:

（I）Anysuchwillfulorgravemisconducts,criminalactivitiesorgrossnegligenceascommittedbytheInsuredoranyofitsemployeesand/orrepresentatives;

（II）Wars,hostileactions,militaryactions,armedconflicts,terrorismactivities,strikes,riotsand/orcivildisturbances;

（III）Administrativeand/orjudicialacts;

（IV）Naturaldisasters;

（V）Fire,explosion,fumes;

（VI）Nuclearreaction,nuclearradiation,nuclearexplosionand/orotherradioactivecontaminations;

（VII）Air/land/waterpollutionsandothernon-radioactivecontaminations;

（VIII）AnyengagementoftheInsured,anyofitsemployeesoranyotherpersonintheInsured’snameinsuchrelevantworkasappearingtobeoutsidetheacknowledgedbusinessand/orobligatoryscopes.

（IX）Anyaccesstoand/oruseoftheasbestos,asbestosproductsand/orothersubstancescontainingasbestos.

ProvisionVIITheInsurershallnotundertaketopayanyindemnificationforanyclaimsagainstsuchlossesanddamagesasaresultof:

（I）ThepersonalinjuriesoftheInsuredoranyofitsemployeesand/orrepresentatives;

（II）Damage/lossofthepropertywhichbelongtoorareinthechargeoforunderthecontroloftheInsuredoranyofitsemployeesand/orrepresentatives;

（III）Damage/lossofanyarticlesorlandorpremises orotherbuildingswhichhavebeenusingoroccupyingbytheInsuredoranyofitsemployeesand/orrepresentativesupontherequirementsofbusinessoperationorperformanceofobligations;

（IV）Thepersonalinjuriesandpropertydamages ofanypersonwhoprovideservicetotheInsured.

（V）AnysuchpersonalinjuriesandpropertydamagesassufferedbytheclientasaresultofanyengagementoftheInsuredoranyofitsemployeesand/orrepresentativesinsuchassignmentsasprocessing,repairing,modificationsoralternativelyasacontractor;

（VI）Fines,penaltiesorpunitivedamages;

（VII）AnysuchindemnificationliabilitythatshouldbebornebytheInsuredinaccordancewiththecontractoragreement（exclusiveoftheindemnificationliabilitythatshouldbebornebytheInsuredevenwithoutsuchcontractoragreement）;

（VIII）ThedeductiblesstipulatedintheInsurancePolicytobebornebytheInsured.

ProvisionVIIITheInsurershallnotundertaketopayanyindemnificationincaseofanyandallsuchotherlosses,damages,costsandexpensesasuncoveredbytheinsuranceliability.

PeriodofInsurance

ProvisionIXTheinsuranceperiodofthiscontractisoneyearfrom0:

00ofthestartingdateofinsuranceliabilityto24:

00oftheexpirydateofinsuranceliabilityasspecifiedintheInsurancePolicy.

LimitsofIndemnityandDeductibles

ProvisionXTheLimitsofIndemnityhereunderincludeLimitofIndemnityforAnyOneAccidentandAccumulatedLimitofIndemnityoftheInsurancePolicy.Inaddition,theLimitsofIndemnitycanbecalculatedaccordingtootherspecificmethodasagreed.EachLimitofIndemnityshallbedecideduponagreementbetweentheApplicantandtheInsurerandspecified intheInsurancePolicy.

ProvisionXIDeductibleforAnyOneAccident shallbedecideduponagreementbetweentheInsuredandtheInsurerandspecified intheInsurancePolicy.

ObligationsoftheInsurer

ProvisionXIITheInsurershallissueinsurancepolicyorothercertificatesofinsurancetotheInsuredinatimelymannerupontheexecutionofthiscontract.

ProvisionXIIITheInsurershallmakeverificationsinatimelymanneruponreceiptoftheInsured’sclaims.FurtherverificationsmaybetakenbytheInsurerasreasonablynecessarytodealwiththecomplicatedsituations.AndsuchvariouswaysofmakingcompensationsassetforthwhenapplyingfortheinsuranceshallbeperformedbytheInsurerseriously.

TheInsurershallkeeptheInsuredinformedoftheverificationresult,withthecompensationobligationtobefulfilledwithineithertendaysfollowingtheconclusionofaninsurancecompensationagreementwiththeinsuredorsuchanalternativecompensationperiodassetforthintheContract.

ProvisionXIVTheInsurershallhavetheApplicantandtheInsurednotifiedcollectivelyandinatimelymannerasofanymissingand/orincompleteclaimevidencesandmaterials,whichshouldhavebeensubmittedbytheInsuredhereunder.

ProvisionXVTheInsurershallpayinadvancetheamountthatcanbedeterminedbytheexistingevidencesormaterialsifthecompensationamountcannotbedeterminedwithin60daysuponthedateofreceivingthenoticeofclaimandrelatedevidencesandmaterials.ThedifferencesshallbemadeupforaftertheInsurerfinallydeterminesthecompensationamount.

ObligationsoftheApplicantandtheInsured

ProvisionXVIUponestablishmenthereof,theApplicantshallbeobligedtoprovidingthefaithfuldatawhencompletingtheInsuranceApplicationandclarifyingsuchrelevantinquiriesasraisedbytheInsurer.

IftheApplicantconcealsfactsdeliberatelyorfailstoperformthedutyofdisclosure duetogrossnegligencethatwouldbeenoughtoaffecttheInsurerfrommakingthedecisionofwhetherornottoagreetoaccepttheinsuranceortoraisethepremiumrate,theInsurerhastherighttoterminatethecontract.

IftheApplicantdeliberatelyrefusestoperformthedutyofdisclosure,theInsurershallnotundertaketopayindemnityorinsurancemoneyforinsuredaccidentthatoccursbeforethecontractisterminatedandshallnotreturntheinsurancepremium.

IftheApplicantfailstoperformthedutyofdisclosureduetogrossnegligence,therebyseriouslyaffectingtheoccurrenceofinsuredaccident,theInsurershallnotundertaketopayindemnityorinsurancemoneyfortheinsuredaccidentthatoccursbeforethecontractisterminatedbutshallreturntheinsurancepremium.

TheInsurershallnotcancelthisContractifit’sbeenaware,uponestablishmenthereof,ofanysuchconditionsasnothavingbeenfaithfullydisclosedbytheApplicant;intheeventofanyinsuredaccident,theInsurershallundertaketopayeitherindemnityorinsurancemoney.

ProvisionXVIITheApplicantshallpaytheinsurancepremiumaccordingtothecontract.TheApplicantshallpayinalumpsumbeforethecontracttakeseffectifthecontractprovidesforlump-sumpremiumorthereisnostipulationaboutthemethodandtimeofpayment,andshallpaythefirstinstallmentintimeifthecontractprovidesforregularpremium.TheInsurershallnotbeliableforanyinsuranceliabilityuntilthepremiumismadeasrequiredbythisparagraph.

InfailureoftheApplicanttoeitherpaythepremiumintimeorinfull,orpaythesecondinstallmentofpremiumsoranyinstallmentthereafter,theInsurershall,startingfromthedateofsuc
