SCOPEOFAPPLICATION第一节：
适用范围
1.4MERIAL,E.P.C.M.andSUPPLIER 梅里亚，美滋威尔和供应商

InconstruingtheOrderthefollowingwordsandexpressionsshallhavethefollowingmeaningsherebyassignedtothem.在发布命令的过程中，以下的文字和表达在签署时将表示以下的意思。
‘E.P.C.M.’meansM+WZANDER（Shanghai）Co.,LTD.,whoisresponsibletoMERIALforprovisionoftheengineering,procurementandconstructionmanagementservicesinaccordancewiththeCCAGandCCAPforOrderofEngineeringService;andshallprovideengineering,oversightandmanagementservicestotheWorks,andtestandexamineanyofthefacilities,equipment,machinery,tools,apparatusesorworkmanshipusedandadoptedinconnectiontherewith.ＥＰＣＭ表示美滋威尔（上海）有限公司，他将对梅里亚负责，根据专门管理条款和总管理条款条件的关于工程服务命令的管理规定提供工程，采购和施工管理服务，同时需要提供工程建造，检查和管理服务，测试和检查所有的设施，设备，机械，工具，仪器和在连接工作中需要的使用的工作间。
1.4.1MERIALshallcarryoutsuchdutiesinissuingcertificates,decisions,instructionsandordersasarespecifiedintheOrder.梅里亚需要执行在决议中规定的下列工作，发布证书，决定，说明和决议。
Whenevertheabove-mentionedcertificates,decisions,instructionsandordersaretobeissuedtotheSUPPLIER,MERIALshalladdressthesametotheSUPPLIER,copyingtheE.P.C.M.以上所提及的任何证书，决定，说明和决议需要签署发布给供应商时，梅里亚应该致函相同的内容给供应商，并且将复印版给美滋威尔。
1.4.2TheE.P.C.M.shallberesponsibletoMERIALforprovisionoftheengineering,procurementandconstructionmanagementstipulatedintheCCAGandCCAPforOrderofEngineeringServicesenteredintobyandbetweenMERIALandtheE.P.C.M.andshallprovideengineering,oversightandmanagementservicestotheWorks,testandexamineanyofthefacilities,equipment,machinery,tools,apparatusesorworkmanshipusedandadoptedinconnectiontherewith. 美滋威尔将对梅里亚负责，根据专门管理条款和总管理条款条件的由美滋威尔和梅里亚双方之间的关于工程服务命令的管理规定提供工程，采购和施工管理服务，同时应该提供工程建造，检查和管理服务，测试和检查所有的设施，设备，机械，工具，仪器以及在连接工作中需要使用的工作车间。
Inthisregard,theE.P.C.M.canissuecertificates,decisions,instructionsandordersasarespecifiedintheOrdertobeissuedbyMERIAL,onMERIAL’sbehalfperMERIAL’srequestandsuchcertificates,decisions,instructionsandordersshallbecopiedtoMERIALandshallhavethesameeffectasbeinggivenby
MERIALexceptforthoseconcerningmattersofincreasinganddecreasinginthecoststotheOrder.Inanycase,suchcertificates,decisions,instructionsandordersconcerningmattersofincreasinganddecreasinginthecoststotheOrdershallbeapprovedbyMERIALinwritinginadvancewithMERIAL’sauthorizedsignatureofapproval.在这点上，根据梅里亚的要求，美滋威尔能够代表美滋威尔签署发布证书,决定，说明和在决议中规定的决议。
除了在增加和减少有关决议的费用外，美滋威尔签署的上述文件和美滋威尔签署的具有同等的作用。

1.4.3MERIALmayfromtimetotimedelegatetotheE.P.C.M.anyofhisdutiesandMERIALmayalsorevokesuchdelegationatanytime.梅里亚可能不时的授权委派给美滋威尔职责，同时梅里亚也可能随时撤回这些授权。
Anydelegationorrevocationshallbemadeinwriting.MERIALshallfurnishtotheSUPPLIERacopyofanysuchwrittendelegationorrevocation.Anywrittendecision,instruction,orderorapprovalgivenbytheE.P.C.M.totheSUPPLIERinaccordancewithsuchdelegationshallhavethesameeffectasthoughithadbeengivenbyMERIAL.任何授权和撤销都必须是书面的文件。
梅里亚应该供应给供应商一份复印的授权和撤销的文件。
任何的书面的决定，说明，决议和美滋威尔提供给供应商的批准如果已经提交给梅里亚，那么包括这些内容的授权将和梅里亚具有同等的效用。
IftheSUPPLIERdisputesorquestionsanycertificate,decision,instructionororderissuedbytheE.P.C.M.,theSUPPLIERmayreferthesametoMERIALwhoshallconfirm,reverseormodifysuchcertificate,decision,instructionororderinaccordancewithArticle1.4.6.如果供应商对美滋威尔发布签署的任何证书，决定，说明和予以有争议和怀疑，供应商可以向梅里亚回报，并且梅里亚应该根据第１·４·６条款进行证实，推翻和修改这些证书，决定，说明和决议。
1.4.4TheSUPPLIERshallproceedwiththeOrderinaccordancewithanydecisions,instructionsandordersgivenbyMERIALwhichareissuedtotheSUPPLIER,copyingtheE.P.C.M.andthedecisions,instructionsandordersgivenbytheE.P.C.M.inaccordancewiththeCCAG, 供应商应该根据梅里亚签署给承包商的任何决定，说明和决议着手进行工作，根据总管理条款和条件，对美滋威尔和美滋威尔给予的决定，说明和决议进行复制备份。
1.4.5TheSUPPLIERmayrequestMERIALortheE.P.C.M.toconfirminwritinganydecision,instructionororderfromMERIALortheE.P.C.M.whichisnotissuedinwriting.TheSUPPLIERshallmakesuchrequestinwritingwithoutunduedelay.Inanycase,suchrequestshallbesubmittedtoMERIAL,copyingtheE.P.C.Mwithin14daysfromthedateofreceivingsuchdecision,instructionororder.Suchdecision,instructionorordershallnotbecomeeffectiveuntilwrittenconfirmationfromMERIALhasbeenreceivedbytheSUPPLIER.供应商可以要求梅里亚和美滋威尔对那些来自梅里亚和美滋威尔的没有进行书面签署的任何决定，说明和决议进行书面的证实。
供应商提出这些要求应该提出书面要求，并且不能进行过度延误和推迟。
在任何情况下，这些要求应该提交给梅里亚，并且在接到这些决定，说明和决议的十四天内复制给美滋威尔。
这些决定，说明和决议只有在梅里亚收到供应商的要求后作出书面的证实以后才能生效。
1.4.6IftheSUPPLIERdisputesorquestionsanydecision,instructionororderfromtheE.P.C.M.inwritingorwrittenconfirmationissuedbyMERIALunderArticle1.4.5（ConfirmationinWriting）,theSUPPLIERshallgiveawrittennoticetoMEIRAL,copyingtheE.P.C.M.,providingthereasonswithin14daysafterreceivingsuchdecision,instruction,ororderfromtheE.P.C.M.orwrittenconfirmationfromMERIAL.MERIALshallwithin14daysafterreceiptofwrittennoticefromtheSUPPLIER,reverttotheSUPPLIER,copyingtheE.P.C.M.toconfirm,reverseorchangesuchdecision,instructionororder.ThewrittenrepliesfromMERIALmentionedaboveshallbefinalandbindingontheSUPPLIERandtheE.P.C.M.andtheSUPPLERshallactbaseduponsuchrepliesfromMERIAL,otherwise,theSUPPLERshalltakealltherelevantresponsibilities.如果供应商对美滋威尔的书面的或者是梅里亚根据条款１·４·５（书面确认）签署的书面确认书的任何决定，说明和决议存在争议和疑问，供应商应该提供给梅里亚一个书面的通知，并且复制给美滋威尔，在收到这些来自美滋威尔和梅里亚书面确认的决定，说明和决议的是四天内提供理由。
梅里亚在接到来自供应商的书面通知的十四天内，，应该给予供应商答复，并且复制给美滋威尔进行证实，推翻或者是改变这些决定，说明和决议。
这些来自梅里亚的上面提到的书面回复应该是最终的并且对供应商有约束力的。
美滋威尔和供应商应该根据来自梅里亚的回复开展工作，另外，供应商应该承担所有的相关责任。
1.4.7AllcorrespondencesbetweentheE.P.C.M.andtheSUPPLIERshallbecopiedtoMERIALsimultaneously.AllcorrespondencesbetweentheSUPPLIERandMERIALshallbecopiedtotheE.P.C.M.aswell.所有的美滋威尔和供应商的信件都应该同时复制给梅里亚。
所有的梅里亚和供应商的信件也相应的要复制给美滋威尔。
1.4.8WhenevertheSUPPLIERisrequiredtoissuecertainnotice,submitforapprovalsorconfirmation,orreplyundertheCCAG,theSUPPLERshallsenditscorrespondencesdirectlytoMERIAL,copyingtheE.P.C.M.任何时候，当供应商被要求签署发布相应的通知，提交批准和认证，或者是总管理条款和条件下的回复，这些供应商都应该将这些信函直接交给梅里亚，复制给美滋威尔。
1.4.9WhereverundertheCCAG,theE.P.C.M.asMERIAL’srepresentative,isrequiredtoexercisehisdiscretion:
在总管理条款和条件的约束管理下的任何时候，美滋威尔作为梅里亚的代表，被要求实行他的自我判断力：
（a）bygivinghisdecision,opinionorconsent; 给予他的决定，意见和承诺时

（c）byexpressinghissatisfactionorapproval;表达他的满意和批准时

（g）orotherwisebytakingactionwhichmayaffecttherightsandobligationsofeitheroftheparties,insuchcase,theE.P.C.M.shallexercisesuchdiscretionfairlywithinthetermsoftheOrderandtakeallthefactorsandcircumstancesintoconsideration.在开始那些影响双方权利和义务的行动时，在这样的情况下，美滋威尔应该根据相关的条款公平公正的进行判断，并且要考虑所有的方面和情况。

1.4.10NothingasdescribedaboveshallbeconstruedtoconcludeanorderbyandbetweentheE.P.C.M.andtheSUPPLIER.以上没有提到的事项将由美滋威尔和供应商双方共同构成一个决议。
ARTICLE2:
TheORDER’sCONDITIONS决议条件
ThefollowingdocumentsshallbedeemedtoformandbereadandconstruedaspartoftheOrderbetweentheparties.Incaseofdiscrepancies,thepriorityofthefollowingdocumentsshallbeinaccordancewiththefollowingsequence:
以下的文件应该构成双方决议的一部分。
当有任何矛盾时，以下文件的优先权应该按照以下的顺序
1.theSpecificAdministrativeTermsandConditions（CCAP）;专门管理条款条件
2.
3.theSpecificTechnicalTermsandConditions（CCTP）;专门技术条款条件
4.
5.theGeneralTechnicalTermsandConditions（CCTG）applicabletotheOrder;and适用于决议的通用技术条款条件
6.
7.theGeneralAdministrativeTermsandConditions（CCAG）.通用行政管理条款条件
8.
AllthegeneraltermsandconditionsinrespectofbuildingworkorinfrastructureissuedbytheSUPPLIERshallnotapplicabletotheOrder.所有的关于供应商签署的房屋工程和基础设施的通用条款条件不适用于决议。
TheSUPPLIERshallbedeemedtohaveinspectedandexaminedtheSiteanditssurroundingandtohavebeensatisfiedasfarastheWorkscanreasonablybecarriedoutundertheconditionofandallcircumstancesaffectingtheSite（includinganysafetyregulationsofMERIALapplicablethereto）,andtohaveexaminedtheOrderdocuments,specifications,drawings,schedules,plansandinformationasmaybeannexedtheretoorreferredtothereinbeforesubmittingtheTender.供应商应该监督和检查现场和周围的情况，满意的标准是至少确保工程能够在这样的条件和与现场（包括梅里亚适用于那里的安全规章制度）的环境下顺利实施。
应该在提交标书前检查决议文件，规范说明书，图纸，日程表，计划表和所有附录和与此有关的信息。
TheSUPPLIERshallbedeemedtohaveobtainedandprudentlyreviewedsuchdataonclimatic,hydrological,soilandgeneralconditionsoftheSiteandfortheoperationoftheWorksas
