TheCorporation"

shallhavethegovernment,careandmanagementoftheCollege...andmakesuchreasonablelaws...astheythinkfitandproperfortheinstructionandeducationofthestudents."
TheCorporationcomprises19members:

thePresidentoftheUniversityandtheGovernorandtheLieutenantGovernoroftheStateofConnecticut.

SuccessorstotheoriginalTrustees"
whoelecttheirownsuccessors.TheirtermsontheCorporationarelimitedbytheirownvotetotwosix-yearterms,exceptthatuponrecommendationofthePresidentinspecialcircumstancesaSuccessorTrusteemaybeelectedtoanadditionaltermofuptothreeyears.SuccessorTrusteesmustretireontheJune30followingtheirattainmentoftheageof72.
SixAlumniFellows*electedbythealumniasprovidedintheMiscellaneousRegulations.AlumniFellowsareelectedoneeachyearforasix-yearterm.AlumniFellowsmustretireontheJune30followingtheirattainmentoftheageof72.
InadditiontothePresident,theofficersoftheUniversityare:
aProvost,aSecretary,aVicePresidentforFinanceandBusinessOperations,aGeneralCounsel,aVicePresidentforGlobalandStrategicInitiatives,aVicePresidentforNewHavenandStateAffairsandCampusDevelopment,aVicePresidentforDevelopmentandaVicePresidentforHumanResourcesandAdministration.

sixseniorassistantsintheCouncilofthisState."
In1819thesixseniorassistantswerereplacedbythesixseniorStateSenators.TheattendanceoftheSenatorsatCorporationmeetingswas,however,perfunctoryandunreliable.In1871,therefore,theLegislatureagreedtodivestthemoftheirmembershipandgrantedtheYalealumnitherighttoelect,instead,sixoftheirownnumber.
THEPRESIDENTANDFELLOWS
1.RegularmeetingsofthePresidentandFellows(Corporation),unlessotherwiseordered,shallbeheldatleastfivetimesduringeachyearasscheduledbytheCorporationonrecommendationofthePresident.SpecialmeetingsoftheCorporationmaybecalledbythePresidentor,intheabsenceofthePresident,bytheSecretary,orotherwiseinaccordancewiththeprovisionsoftheCharter.AwrittennoticeofeachmeetingshallbesenttoeachmemberbytheSecretarybymail,telefacsimileorotherelectronicmeansatleastfivedayspriortothedatesetforsuchmeetings,andthenoticeofanyspecialmeetingshallcontainastatementofthechiefsubjectsofbusinessproposed.Amembermaybepresentatanymeetingbyanymeansofcommunicationwhichpermitsallmemberstosimultaneouslyhearoneanother.AnyactionrequiredorpermittedtobetakenatameetingoftheCorporationoranycommitteeoftheCorporationmaybetakenwithoutameetingifallthemembersentitledtovoteonsuchactionconsenttheretoinwritingandthewrittenconsentsarefiledwithrecordsoftheCorporation.MeetingsoftheCorporationshallbeopenedwithprayer.
2.NominationsofProfessorsonpermanentappointmentandofDeansshallbemailedtotheFellowsatleasttendaysbeforethemeetingatwhichactiononsuchnominationshallbetaken.SuchnoticemaybewaivedifallthemembersoftheCorporationpresentconsent.
PRESIDENT
3.ThePresidentisthechiefexecutiveofficeroftheUniversityandassuchisresponsibleforthegeneraldirectionofallitsaffairs.ThePresidentisexofficioamemberofeveryfacultyandgoverningboard,andofeverycommitteeofthefaculty,administration,andCorporation,exceptAudit,Compensation,andTrusteeship.ThePresidentwillmakehimselfavailabletothesecommitteesandmayattendattheinvitationoftherespectiveChairman.ThePresidentmaydischargethedutiesandexercisethepowersofanyofficeroftheteachingoradministrativestaffwhomaybeabsentorunabletoact,orappointtemporaryofficialstodischargesuchdutiesandexercisesuchpowers.ThePresidentshallpresenttotheCorporationrecommendationsfromthefacultiesandotherunitsoftheUniversitywhichrequiretheapprovaloftheCorporation.ThePresidentshallprepareandsubmitforapprovaltotheCorporationatitsJunemeetingaproposedoperatingbudgetandaproposedcapitalbudgetfortheensuingfiscalyear.ThefinalbudgetsshallbeadoptedbytheCorporationpriortoJune30.ThePresidentshallappointaChiefInvestmentOfficer,whoshallberesponsibleforrecommendingandcarryingoutinvestmentsofUniversityassetsinaccordancewiththepoliciesoftheInvestmentsCommittee.
PROVOST
4.TheProvostisthechiefeducationalandadministrativeofficeroftheUniversityafterthePresident.TheProvostshallbeelectedbytheCorporationonnominationbythePresident.Intheeventofthedeath,disability,orprolongedabsenceofthePresident,orattherequestofthePresident,theProvostshallperformthefunctionsofthePresidentuntilsomeotherappointmentorarrangementismadebytheCorporation.
SubjecttotheauthorityofthePresident,theProvostshalldirecteducationalpoliciesandactivitiesthroughouttheUniversity.TheProvostshallpreparetheoperatingandcapitalbudgetsoftheUniversityonthebasisoftheestimatedoperatingincomeandcapitalreceiptsfurnishedbytheVicePresidentforFinanceandBusinessOperationsandshallpresentsuchbudgetstothePresident.TheProvostshallserveasthesecretaryoftheCommitteesonFinance,EducationalPolicyandtheSchoolofMedicine.TheProvostshallbeexofficioamemberofeveryfacultyandgoverningboard,andofallcommitteesorotherbodiesconcernedwitheducationalpolicyorwithappointmentsorpromotionsintheteachingstaff.AllDeans,committeechairmen,andothereducationalofficials,otherthanthePresident,shallreporttotheProvost.TheProvostshallattendthemeetingsoftheCorporationandofitsPrudentialCommittee.OneormoreDeputy,Associate,orAssistantProvostsmaybeappointedbytheCorporationonnominationbythePresidenttoassisttheProvostinspecialareas.
SECRETARY
5.TheSecretaryisanadministrativeofficerelectedbytheCorporationonnominationbythePresident.TheSecretaryshallattendmeetingsoftheCorporationandthePrudentialCommitteeandshallprepareandkeeptherecordsoftheCorporation.TheSecretaryshallberesponsibleforthesafekeepingofthesealandotherofficialinsigniaoftheUniversity.TheSecretaryshallserveasthesecretaryofthePrudentialCommittee,theTrusteeshipCommittee,andtheCommitteeonHonoraryDegrees.TheSecretaryshallsupervisetheelectionofAlumniFellows.TheSecretaryshallprepareand,togetherwiththePresident,signalldiplomas.TheSecretaryshallarrangefortheregistrationofstudentsinYaleUniversity.TheSecretaryshallberesponsibleforUniversity-widecoordinationofpoliciesonstudentsupport.
TheSecretaryisresponsiblefortheconductofofficialUniversityfunctions,andforsuchothermattersasareassignedbythePresidentortheCorporation.AppointmentsforUniversitylectures,concerts,andmeetingsshallbemadethroughtheSecretary'
sOffice.TheCorporationmaydesignatetheSecretaryasVicePresident.TheremaybeoneormoreDeputy,AssociateorAssistantSecretaries,appointedbytheCorporationonnominationbythePresident,whoshallhaveresponsibilityfortheoversightofcertainnon-academicareasoftheUniversity.
VICEPRESIDENTFORFINANCEANDBUSINESSOPERATIONS
6.TheVicePresidentforFinanceandBusinessOperationsisanadministrativeofficerelectedbytheCorporationonnominationbythePresidentandresponsibletothePresidentforfinancialandcertainnon-academicadministrativeaffairs.TheVicePresidentforFinanceandBusinessOperationsshallalsobetheTreasureroftheUniversity,exofficio,exercisingallpowersandresponsibilitiesincidentthereto,includingthoseconferredbyappropriateactionorreferencebeforeJuly1,1978.TheresponsibilitiesoftheVicePresidentforFinanceandBusinessOperationsshallinclude:
financialplanningandauditing,andsuchnon-academicsupportservicesandotheradministrativeworkasmaybeassignedtotheVicePresidentforFinanceandBusinessOperationsfromtimetotimebytheCorporationorthePresident.Wheneverfinancialoradministrativeaffairsaffectactivitiesofteachingorresearch,theVicePresidentforFinanceandBusinessOperationsshallconsultwiththeProvost.TheVicePresidentforFinanceandBusinessOperationsshallattendthemeetingsofthePrudentialCommitteeandoftheCorporation,andshallserveasthesecretaryoftheAuditCommittee.TheVicePresidentforFinanceandBusinessOperationsshallbebondedtosuchanamountastheCorporationmayrequire.TheremaybeaComptrollerandoneormoreotherofficialswhoassisttheVicePresidentforFinanceandBusinessOperations,appointedbytheCorporationonnominationbythePresident.
7.TheVicePresidentforFinanceandBusinessOperationsshallhavechargeoftheaccountsoftheCorporation.TheVicePresidentforFinanceandBusinessOperationsshallkeepallnegotiablesecuritiesinaplaceofdepositapprovedbytheCommitteeonFinance,towhichaccessshallbehadonlyasauthorizedbytheCorporation.TheVicePresidentforFinanceandBusinessOperationsshallcollectandaccountforthetuition,fees,andotherchargestostudentsoftheUniversity;
