sRepublicofChinaonChinese-ForeignEquityJointVentures（hereinafterreferredtoastheLawonChinese-ForeignEquityJointVentures）.

Article2Chinese-foreignequityjointventures（hereinafterreferredtoasjointventures）establishedwithinChina'

sterritoryinaccordancewiththeLawonChinese-foreignEquityJointVenturesarelegalpersonsinChinaandaresubjecttothejurisdictionofChineselawsandenjoyprotectionthereof.

Article3JointventuresestablishedwithinChina'

sterritoryshallbeabletopromotethedevelopmentofChina'

seconomyandtheraisingofscientificandtechnologicallevelsforthebenefitofsocialistmodernization.Jointventurespermittedtobeestablishedaremainlyinthefollowingindustries:

（1）Energydevelopment,thebuildingmaterial,chemicalandmetallurgicalindustries;

（2）Machinemanufacturing,instrumentandmeterindustriesandoffshoreoilexploitationequipmentmanufacturing;

（3）Electronicsandcomputerindustries,andcommunicationequipmentmanufacturing;

（4）Light,textile,foodstuffs,medicine,medicalapparatusandpackagingindustries;

（5）Agriculture,animalhusbandryandaquiculture;

（6）Tourismandservicetrades.

Article4Jointventurestobeappliedfortheirestablishmentshalllaystressoneconomicresultsandshallcomplywithoneorseveralofthefollowingrequirements:

（1）Theyshalladoptadvancedtechnicalequipmentandscientificmanagerialmethodswhichhelpincreasethevariety,improvethequalityandraisetheoutputofproductsandsaveenergyandmaterials;

（2）Theyshallprovetobeconducivetotechnicalrenovationofenterprisesand

beabletobringaboutquickerreturnsandbiggerprofitswithlessinvestment;

（3）Theyshallhelpexpandexportsandtherebyincreaseforeigncurrencyreceipts;

（4）Theyshallhelptraintechnicalandmanagerialpersonnel.

Article5Applicationforestablishingjointventuresshallnotbeapprovediftheyinvolveanyofthefollowingcircumstances:

（1）DetrimenttoChina'

ssovereignty;

（2）ViolationofChineseLaw;

（3）NonconformitywiththerequirementsofthedevelopmentofChina’snationaleconomy;

（4）Environmentalpollution;

（5）Obviousinequityintheagreements,contractsandarticlesofassociationsigned,impairingtherightsandinterestsofoneoftheparties.

Article6unlessotherwisestipulated,thegovernmentdepartmentinchargeoftheChinesejointventurerinajointventureshallbethedepartmentinchargeofthejointventure（hereinafterreferredtoasthedepartmentincharge）.IfajointventurehastwoormoreChinesejointventurerswhichareunderdifferentdepartmentsorfromdifferentregions,thedepartmentsandregionsconcernedshall,throughconsultation,designateadepartmentincharge.Departmentsinchargeareresponsibleforprovidingguidanceandassistanceandexercisingsupervisionoverthejointventures.

Article7AjointventurehastherighttoindependentlyconductbusinessoperationsandmanagementwithinthescopeasprescribedbyChineselawsandregulations,andbytheagreement,contractandarticlesofassociationofthejointventure.Thedepartmentsconcernedshallprovidesupportandassistance.

ChapterIIEstablishmentandRegistration

Article8TheestablishmentofajointventureinChinaissubjecttoexamination

andapprovalbytheMinistryofForeignEconomicRelationsandTradeofthePeople'

sRepublicofChina（hereinafterreferredtoastheMOFERT）.Uponapproval,anApprovalCertificateshallbeissuedbytheMOFERT.TheMOFERTmayentrustthepeople'

sgovernmentsintherelatedprovinces,autonomousregions,andmunicipalitiesdirectlyundertheCentralGovernmentorrelevantministriesorbureausundertheStateCouncil（hereinafterreferredtoastheentrustedoffice）withthepowertoexamineandapprovetheestablishmentofjointventuresthatcomplywiththefollowingconditions:

（1）ThetotalamountofinvestmentiswithinthelimitsetbytheStateCouncilandthesourceofcapitaloftheChineseventurershasbeenascertained;

（2）NoadditionalallocationofrawmaterialsbytheStateisrequiredandthenationalbalanceastofuel,powertransportationandforeigntradeexportquotasisnotaffected.Theentrustedoffice,afterapprovingtheestablishmentofajointventure,

shallreportthesametotheMOFERTfortherecord.AnApprovalCertificateshallbeissuedbytheMOFERT.（TheMOFERTandtheentrustedofficewillhereinafterbegenerallyreferredtoastheexaminingandapprovingauthorities.）

Article9Thefollowingproceduresshallbefollowedintheestablishmentofajointventure:

（1）ItistheChinesejointventurerinajointventurethatshallsubmittoitsdepartmentinchargeaprojectproposalandapreliminaryfeasibilitystudyreportofthejointventuretobeestablishedwithforeignjointventurer.Theproposalandthepreliminaryfeasibilitystudyreport,uponexaminationandapprovalbythedepartmentincharge,shallbesubmittedtotheexaminingandapprovingauthoritiesforfinalapproval.Thepartiestotheventureshallthenconductworkcenteringaroundthefeasibilitystudy,andthenproceedonthisbasis,tonegotiateandsignjointventureagreement,contractandarticlesofassociation;

（2）Whenapplyingfortheestablishmentofajointventure,theChinesejointventurerisresponsibleforthesubmissionofthefollowingdocumentstotheexaminingandapprovingauthorities:

（a）Awrittenapplicationfortheestablishmentofthejointventure;

（b）Thefeasibilitystudyreportjointlypreparedbythepartiestotheventure;

（c）Jointventureagreement,contractandarticlesofassociationsignedbyrepresentativesauthorizedbythepartiestotheventure;

（d）Listofcandidatesforchairmanandvice-chairmanofboardofdirectorsanddirectorsnominatedbythepartiestotheventure;

（e）Writtenopinionsconcerningtheestablishmentofthesaidventureofthedepartmentinchargeandthepeople'

sgovernmentoftheprovince,autonomousregionormunicipalitydirectlyundertheCentralGovernmentwherethejointventureislocated.TheaforesaiddocumentsshallbewritteninChinese.Documents（b）,（c）and（d）maybewrittensimultaneouslyinaforeignlanguageagreeduponbythepartiestothejointventure.Bothversionsareequallyauthentic.

Article10UponreceiptofthedocumentsstipulatedinArticle9

（2）,theexaminingandapprovingauthoritiesshall,within3months,decidewhethertoapproveordisapprovethem.Shouldanythinginappropriatebefoundinanyoftheaforementioneddocuments,theexaminingandapprovingauthoritiesshalldemandanamendmentwithinalimitedtime?

Otherwise,noapprovalshallbegranted.

Article11Theapplicantshall,withinonemonthasofthereceiptoftheApprovalCertificate,registerwiththeadministrativedepartmentforindustryandcommerceoftheprovince,autonomousregionormunicipalitydirectlyundertheCentralGovernmentinaccordancewiththeprovisionsoftheMeasuresofthePeople'

sRepublicofChinafortheAdministrationoftheRegistrationofChinese-ForeignEquityJointVentures（hereinafterreferredtoasregistrationadministrationoffice）.Thedateoftheissuanceofitsbusinesslicenseisthedateoftheformalestablishmentofthejointventure.

Article12AnyforeigninvestorwhointendstoestablishajointventureinChinabutisunabletofindaspecificco-operatorinChinamaysubmitapreliminaryplanforthejointventureprojectandentrusttheChinaInternationalTrustandInvestmentCorporation（CITIC）oratrustandinvestmentcorporationofatrustandinvestmentcorporationofaprovince,autonomousregionormunicipalitydirectlyundertheCentralGovernment,orarelevantgovernmentdepartmentoranon-governmentalorganization,torecommendChineseco-operators.

mentionedinthisChapterreferstothedocumentagreeduponbythepartiestothejointventureonsomemajorpointsandprinciplesgoverningtheestablishmentofthejointventure."

Jointventurecontract"

referstothedocumentagreeduponandconcludedbythepartiestothejointventureontheirmutualrightsandobligations."

Articlesofassociation"

referstothedocumentagreeduponbythepartiestothejointventurespecifyingthepurpose,organizationalprinciplesandmethodofmanagementofthejointventureincompliancewiththeprinciplesofthejointventurecontract.Wherethejointventureagreementcomesintoconflictwiththecontract,thelattershallprevail.Thepartiestothejointventuremayagreetosignthecontractandarticlesofassociationonly,withoutsigninganagreement.

Article14Ajointventurecontractshallincludethefollowingmainitems:

（1）Thenames,thecountriesofregistration,thelegaladdressesofpartiestothejointventure,andthenames,positionsandnationalitiesofthelegalrepresentativesthereof;

（2）Nameofthejointventure,itslegaladdress,purposeandthescopeandscaleofbusiness;

（3）totalamountofinvestmentandregisteredcapitalofthejointventure,amount,proportionandformsofinvestmenttobecontributedbyeachpartytothejointventure,thetimelimitforcontributinginvestment,stipulationsconcerningincompletecontributions,andassignmentsofinvestments;

（4）Theproportionofprofittobesharedandlossestobebornebyeachparty;

（5）Thecompositionoftheboardofdirectors,thedi
