Article8.ForceMajeure.

Intheeventthatoneofthefollowinghappens:

1）Theexportcreditinsurancehasnotbeenobtainedortheinsuranceoftheexportcreditceasestobeeffective.

2）Duetoeconomiccrisisortheabruptchangeinthefinancialmarket,thecorrespondingloanfundscannotberaisedorthecostoftheForeignLendingBankhasincreased.

3）Duetointernationalordomesticpoliticallegalandtaxationreasons,theForeignLendingBankcannotfulfilltheobligationsoflendingsetforthintheForeignFinancingAgreement.

4）Duetoadjustmentandchangeinstatepolicies,theLender`scontinuanceofgrantingloanstotheBorrowerorofrefrainingfromrecoveringtheloanswillbeillegalorabreachofstatepolicy.

5）Duetotheoccurrenceofothereventsofforcemajeure,theLenderisentitledtothefollowing:

（1）InaccordancewiththerequirementoftheBorrower,andundertheconditionssetforthinthestipulationsoftheForeignFinancingAgreement,theLenderwillnegotiatewiththeForeignLendingBankandhandleitinaccordancewiththeresultofthenegotiations.

（2）Declaringtheterminationoftheon-lendingloan.

（3）RequiretheBorrowertorepaypromptlytheprincipalwiththerelevantinterestandfees.

Article9:

Insurance

9.1.UpontheeffectivenessoftheCommercialContract,theBorrowershalldirectlymakeorcausethecontractorfortransportation,installationorconstructiontocoverinsurancefordomestictransportationofimportedgoods,installationproject,constructionprojectandpropertyallrisksinaChineseinsuranceinstitutionacknowledgedbytheLenderwithrespecttoequipmentundersuchcontractinthedelivery,constructionandrepaymentperiods.TheLendershallbeconsideredasthefirstbeneficiary,alltheinsurancecoverageshallbelinkedwitheachotherandallowofnosuspensioninthedurationofinsurance.

9.2.TheBorrowershalltransferalltheinterestsundertheinsurancepolicytotheLenderpursuanttothestipulationofArticle9.1.,theinsurancebenefitsshallfirstbeusedtorepaytheprincipalwithinterestandexpensesoftheloan.WiththewrittenconsentoftheLender,suchinsurancebenefitscanbecontinuouslyusedintheprojectconstructionunderthisAgreement.

9.3.TheBorrowershallberesponsibleforrenewingtheinsuranceontimebeforetheexpirationoftheinsurancepolicyandtheBorrowershallnotsuspendtheinsuranceforwhateverreasonwithinthevalidityofthisAgreement.

9.4.IftheBorrowerfailstofulfilltheabovementionedrequirements,theBorrowershallundertakethatincaseofanylosstotheassets,theBorrowershallnotrefrainfromundertakinganyofitsobligationstotheLenderforwhateverreason.

9.5.TheBorrowershallbeartheinsurancepremiumincurredbyinsurancecoverage.

Article10.Taxation.

ThetaxpayablebytheLenderundertheForeignFinancingAgreementshallbebornebytheBorrower.TheLendershallonbehalfoftheBorrower,submitapplicationtorelevanttaxauthorityforexemptionoftaxinconnectionwiththewithholdingtaxonforeigninterestincomeundertheForeignFinancingAgreement.ThetaxpayableunderthisOn-lendingAgreementshallbecarriedoutinaccordancewithChinesetaxlawandrelevantstipulations.

Article11.Guarantee

TheBorrowerherebyguarantees:

11.1.UpontheeffectivenessofthisOn-lendingAgreement,theBorrowershalltimely,unconditionallyandconsecutivelyfulfilltheresponsibilityandobligationofrepaymentofprincipalwithinterestaswellasotherobligationssetforthinthisAgreementwithoutanyimpactwhateverbecauseofgainorlossorrepaymentability.

11.2.TheBorrowerisalegalpersonwhichisestablishedinaccordancewithChineselaw,existing,andengaginginlegalbusinessactivities,andisentitledtoexecuteandperformthisOn-lendingAgreement.TheBorrowerhascompletedallnecessarylegalandadministrativeformalitiesfortheexecutionandperformanceofthisOn-lendingAgreement.

11.3.ThedocumentsthattheBorrowerhasprovidedandwillprovidearetrue,accurate,validandup-to-dateinaccordancewiththerequirements.

11.4.TheBorrower’sexecutionandperformanceofthisOn-lendingAgreementdonotviolateanyofthecurrentChineselaws,rulesandregulations,nordotheyviolateanycontractoragreementtowhichtheBorrowerisaparty.

11.5.AnycontractoragreementwhichtheBorrowerexecuteswithathirdpartyatpresentandinthefutureshallnotaffectanddamagealltheinterestsoftheLenderunderthisOn-lendingAgreement.

11.6.TheBorrowerisnotinvolvedinorwillnotbeinvolvedinanysignificantarbitrationorlegalprocess,norisitsubjecttoanycompulsoryadministrativemeasurestakenbyanygovernmentdepartment.（Thesearbitrationorlegalprocessoradministrativemeasureswillhavesignificantlyadverseimpactonitsfinance,operationandmanagement）.

11.7.AlltheassetsincurredbytheloanunderthisAgreementshallnotbeusedasanyotherformofmortgageoranyformofguarantyduringthetermofperformanceofthisAgreementwithoutthewrittenconsentoftheLender.

11.8.Ateachwithdrawalandrepayment,theBorrowerreiteratesthattheabovestatementandguaranteeremaintrue,validandaccurate.

Article12:

AgreedMatters

12.1.Thedistributionprincipleofrepayingloanfirstandsharingprofitsecondshallbecarriedoutinaccordancewiththeplanforrepaymentofprincipalwithinterest.

12.2.AnymaterialamendmenttotheprocurementlistbetweentheBorrowerandtheExportershallobtainwrittenconsentfromtheLenderinadvance.

12.3.AnyamendmenttotheCommercialContractconcerningtheamount,time,changeofpurposeoftheequipmentorothermaterialamendmentconfirmedbytheLender,oranytransferofrightandobligationundertheCommercialContractshallobtainwrittenconsentfromtheForeignLendingBankandtheLenderinadvance.

12.4.WithoutthewrittenconsentoftheLender,theBorrowershallnotsell,rentortransferanyequipmentundertheCommercialContractorusetheseequipmentaboard.

12.5.InenlargingitsscopeofbusinessstipulatedinthebusinesslicensebeforetheexecutionofthisAgreement,orinenlargingthescopeofoperationandmanagementapprovedbyrelevantgovernmentauthority,orinselling,rentingandassigningassetsunderthisAgreementorinchangingitsbusiness,theBorrowershallsolicitwrittenconsentfromtheLenderbeforesubmittingittotheadministrativedepartmentforindustryandcommerceorrelevantgovernmentauthorityforapproval.

12.6.IftheBorrowerengagesinanyformofmortgage,pledge,orguarantyforitsassetsandinterestsorengagesinotheractionsthatmayhavesignificantlyadverseimpactonitsassetsandinterests,itshallnotifytheLenderintimeandobtainwrittenconsentfromtheLenderinadvance.

12.7.TheBorrowershall,attherequestoftheLender,providetheLenderallrelevantinformationconcerningitsoperationandfinanceintime,acceptthesupervisionfromtheLenderandprovideconvenientconditionstotheLenderforexaminingtheuseandrepaymentoftheloanaswellastheproductionandoperationstatusoftheBorrower.

12.8.TheBorrowershallpromptlynotifytheLenderofanyadversechangeintherepaymentofloanandoperationandfinancialconditionsoftheBorrower,andputforthitsproposalormeasureforsettlementorhandling.

12.9.IfitisnecessaryfortheBorrowertotakeanysignificantactionssuchasrestructuring,reorganization,merger,acquisition,equitytransfer,equitymortgageorcontracting,itshallnotifytheLenderinadvanceandseekwrittenconsentfromtheLenderinadvance.

12.10.TheBorrowershallwithin_________daysattheendofeachquarterprovidetheLenderthebalancesheet,theprofitandlossstatementandotherfinancialstatementfortheprecedingquarter,andshallprovidetheLenderwithin3monthsattheendofeachfiscalyearthebalancesheet,theprofitandlossstatementandotherfinancialstatementaswellasotherrelevantinformationoftheprecedingfiscalyearwhichhavebeenauditedbyanaccountingfirm.

12.11.TheBorrowershallprovidetheprojectschedulereportandoperationstatusreporttotheLenderintimeatrequest.

12.12.TheBorrowershallrunitsbusinesssteadilyandmaintaingoodfinancialstatus.

12.13.TheBorrowershallpromptlyinformthefollowingtotheLender,if:

1）AnyarbitrationorlegalactioninvolvingtheBorrowerandthisproject;

2）MandatorymeasureshavebeentakenbyanyrelevantgovernmentalauthorityagainstanypropertyoftheBorrower;

3）AnyeventthatseriouslyhindersandendangersthenormalperformanceoftheForeignFinancingAgreementandtheCommercialContract;

4）OtherinformationwithrespecttotheprojectwhichisrequiredbytheLender.

12.14.AnyactiontakenbytheImportAgentshallbeconsideredashavingbeenconsentedandauthorizedbytheLenderinaccordancewiththeCommercialContractorthisAgreementandrelevantamendmentsandappendicesandshallconstitutetheresponsibilitiesandobligationsoftheBorrower.IftheImportAgentorExporterfailstoperformtheCommercialContractorthisAgreementanditscorrespondingamendmentsaswellasthesti
