Article2TheLoan

Section2.1.TheCommitment

Uponthetermsandsubjecttotheconditionshereinsetforth,andrelyingupon

therepresentationsandwarrantiesoftheBorrower,theBankagrees,acting

throughitsLendingoffice;

onthedatehereoftolendtotheborrower,andthe

Borroweragreestoborrow,theprincipalamountofOneMillionDollars（$1,

000,000）.

Section2.2.Disbursement

Onthedatehereof,uponfulfillmentoftheconditionssetforthinArticleⅥ,

theBankshallmaketheamountoftheLoanavailabletotheBorrowerby

remittingtheamountoftheLoantoanaccountinNewYorkdesignatedbythe

Borrower,IftheBorrowerfailstosatisfytheconditionsprecedentsetforthin

ArticleⅥ1,theBankshallbeobligatedtomaketheLoan.

Section2.3.Repayment;

PaymentofInterest;

DesignationofInterestPeriod

TheBorroweragreestorepaytheprincipalamountoftheLoanontheinstallment

PaymentDatesineightequalinstallmentsandtopayinterestoneachinterest

PaymentDateontheoutstandingprincipalbalanceoftheLoanattheInterest

Rate.TheBorrowershallgivenoticetotheBanknotlessthatfiveBusiness

DayspriortothecommencementofeachinterestPeriod（otherthanthefirst

InterestPeriod）whetherithaselectedanInterestPeriodofthreemonthsor

sixmonths.IfnosuchnoticeisreceivedbytheBank,therelevantinterest

PeriodshallbethesamelengthasthepreviousInterestPeriod;

provided,

however,thataninterestPeriodcommencingbeforeandwhichwouldotherwiseand

afteraninstallmentPaymentDatashallendnotsuchinstallmentPaymentDate.

Section2.4.DeterminationofinterestRate

TheinterestRateforeachinterestPeriodwithrespecttotheLoanshallbeone

andone-halfpercent（1-1/2%）abovetherateatwhichDollardepositsinan

amountequaltotheprincipalamountoftheLoantobemadeormaintainedare

offeredbytheBankforsuchInterestPeriodtoprimebanksintheLondon

interbankmarketasof11:

00A.M.（Londontime）twoBusinessDayspriortothe

commencementofsuchInterestPeriod.

Section2.5.TheNote

TheBorrower'

sobligationtorepaytheprincipalamountoftheLoanmadebythe

BankhereundershallbeevidencedbyanoteoftheBorrowerintheformof

ExhibitAtothisAgreementwithappropriateinspectionspursuanttothis

Section2.5.TheNoteshall（I）bedatedthedatehereof,（II）bepayableto

theorderoftheBankintheprincipalamountoftheLoan,（III）matureineight

equalinstallments,payableontheinstallmentPaymentDatesand（IV）bear

interestattheinterestRateontheoutstandingprincipalbalancethereoffrom

timetotime,computedforeachInterestPeriodandpayableontheInterest

PaymentDates.

Section2.6.SubstituteBasis.Intheeventthatonanydateonwhichan

InterestRateistobedeterminedpursuanttoSection2.4,（I）theBankshall

determinethatDollardepositsintheprincipalamountoftheNotetobe

outstandingfortheinterestPeriodforwhichsuchinterestRateistobe

determinedarenotavailabletotheBankintheLondoninterbankmarket,or（II）

theBankshalldeterminethattheofferedratequotationsatwhichDollar

depositsareofferedintheLondoninterbankmarketdonotaccuratelyreflect

thecostoftheBankofmakingmaintainingtheLoanforsuchinterestperiod,

theBankshallforthwithgivenoticeofsuchdeterminationtotheBorrower,by

telex,telegramorcableatleastoneBusinessDaypriortothefirstdayofany

interestPeriodsoaffected.Duringthethirty（30）daysnextsucceedingthe

dateofanysuchnotice,theBankandtheBorrowershallenterintonegotiations

ingoodfaithinordertoarriveatamutuallyacceptablealternativebasis

（suchalternativebasisbeinghereinafterreferredtoasthe"

SubstituteBasis"

）

forfundingtheLoan.Ifwithinthethirty（30）daysfollowingthedateofany

suchnoticetheBankandtheBorrowershallagreeuponaSubstituteBasis,such

SubstituteBasisshallberetroactivetoandeffectivefromthefirstdayofthe

thencurrentInterestPeriod.Ifafterthirty（30）daysfromthedateofsuch

noticetheBankandtheBorrowerhavefailedtoagreeuponaSubstituteBasis,

thentheBankshallcertifyinwritingtotheBorrowertheinterestrateor

ratesatwhichtheBankispreparedtomakeormaintaintheLoanforsuch

interestPeriod,itbeingunderstoodthattheBank'

sinterestrateshallbea

rateperannumequaltooneandone-halfpercent（1-1/2%）,abovearatewhich

adequatelyandfairlyreflectsthecosttotheBankofobtainingthefunds

necessarytomaintaintheLoanforthethencurrentInterestPeriod,such

interestrateorratestoberetroactivetoandeffectivefromthefirstdayof

suchinterestPeriod.TheBankshallfurnishtotheBorrowerappropriate

evidenceestablishingthemannerinwhichtheBankobtainedsuchfundsandthe

costtotheBankofobtainingsuchfunds.Uponreceiptofnoticeoftheinterest

rateorratesatwhichtheBankwillmakeormaintaintheLoan,theBorrower

shallhavetherighttoprepayinfull（butnotinpart）,pursuanttothe

provisionsofSection4.7,thethenoutstandingprincipalamountoftheLoan

andtheNote,togetherwithinterestaccruedthereintothedateofsuch

prepayment.

Section2.7.InterestRateonOverduePrincipal

IntheeventoffailurebytheBorrowertopaywhendue（whetheruponstated

maturity,byaccelerationorotherwise）anypaymentsdueundertheLoanorthe
