NOWTHISAGREEMENTWITNESSETHASFOLLOWS
1.InthisAgreementwordsandexpressionsshallhavethesamemeaningsasarerespectivelyassignedtothemintheConditionsoftheClient/ConsultantModelServicesAgreementhereinafterreferredto.
2.ThefollowingdocumentsshallbedeemedtoformandbereadandconstruedaspartoftheAgreement,namely:
（a）TheLetterofAcceptance
（b）TheConditonsoftheClient/ConsultantModelServicesAgreement（GeneralConditionsandParticularConditions）;
（c）TheAppendices,namely:
AppendixA–ScopeofServices
AppendixB–Personnel,Equipment,Facilities&
ServicesofOtherstobeprovidedbytheClient
AppendixC—RemunerationandPayment
3.InconsiderationofthepaymentstobemadebytheClienttotheConsultantashereinaftermentionedtheConsultantherebyagreeswiththeClienttoperformtheServicesinconformitywiththeprovisionsoftheAgreement.
4.TheClientherebyagreestopaytheConsultantinconsiderationoftheperformanceoftheServicessuchamountsasmaybecomepayableundertheprovisionsoftheAgreementatthetimesandinthemannerprescribedbytheAgreement.
InWitnesswhereofthepartiesheretohavecausedthisAgreementtobeexecutedthedayandyearfirstbeforewritteninaccordancewiththeirrespectivelaws.

CONDITIONSOFTHECLIENT/CONSULTANTMODELSERVICESAGREEMENT
GENERALCONDITIONS
DEFINITIONSANDINTERPRETATION
1.DEFINITIONS
1.
Thefollowingwordsandexpressionsshallhavethemeaningsassignedtothemexceptwherethecontextotherwiserequires:
（i）“Project”meanstheprojectnamedintheParticularConditionsforwhichtheWorksaretobeprovided.
（ii）“Services”meanstheservicestobeperformedbytheConsultantinaccordancewiththeAgreementandcompriseNormalServices,AdditionalServicesandExceptionalServices.
（iii）“work”meansthepermanentworkstobeexecuted（includingthegoodsandequipmenttobesuppliedtotheClient）fortheachievementoftheProject.
（iv）“Client”meansthepartynamedintheAgreement,whoemploystheConsultant,andlegalsuccessorstotheClientandpermittedassignees.
（v）“Consultant”meansthepartynamedintheAgreement,whoisemployedasanindependentprofessionalfirmbytheClienttoperformtheServices,andlegalsuccessorstotheConsultantandpermittedassignees.
（vi）“Party”and“Parties”meanstheClientandtheConsultantand“thirdparty”meansanyotherpersonorentityasthecontextrequires.
（vii）“Agreement”meanstheconditionscomprisingtheConditionsoftheClient/ConsultantModelServicesAgreement（GeneralConditionsandParticularConditions）togetherwithAppendixA（ScopeofServices）,AppendixB（personnel,Equipment,FacilitiesandServicesofOtherstobeprovidedbytheClient）,AppendixC（RemunerationandPayment）,LetterofAcceptanceandFormalAgreementifcompleted,orotherwiseasspecifiedintheParticularConditions.
（viii）“day”meanstheperiodbetweenanyonemidnightandthenext.
（ix）“month”meansaperiodofonemonthaccordingtotheGregoriancalendarcommencingwithanydayofthemonth.
（x）“LocalCurrency”（LC）meansthecurrencyofthecountywheretheProjectislocatedand“ForeignCurrency”（FC）meansanyothercurrency.
（xi）“AgreedCompensation”meansadditionalsumsasdefinedintheParticularConditionswhicharepayableundertheAgreement.
2.INTERPRETATION

（i）TheheadingsintheAgreementshallnotbeusedinitsinterpretation.
（ii）Thesingularincludestheplural,themasculineincludesthefeminine,andvice-versawherethecontextrequires.
（iii）IfthereisconflictbetweenprovisionsoftheAgreement,thelasttobewrittenchronologicallyshallprevail,unlessotherwisespecifiedintheParticularConditions.
OBLIGATIONSOFTHECONSULTANT
3.SCOPEOFSERBICES

TheConsultantshallperformServicesrelatingtotheProject.ThescopeoftheServicesisstatedinAppendixA.
4.NORMAL,ADDITIONALANDEXCEOTIONALSERVOCES

（i）NormalServicesarethosedescribedassuchinAppendixA.
（ii）AdditionalServicesarethosedescribedassuchinAppendixAorwhichbywrittenagreementofthepartiesareotherwiseadditionaltoNormalServices.
（iii）ExceptionalservicesarethosewhicharenotNormalorAdditionalServicesbutwhicharenecessarilyperformedbytheConsultantinaccordancewithClause28.
5.DUTYOFCAREANDEXERCISEOFAUTHORITY

（i）Theconsultantshallexercisereasonableskill,careanddiligenceintheperformanceofhisobligationsundertheAgreement.
（ii）WheretheServicesincludetheexerciseofpowersorperformanceofdutiesauthorizedorrequiredbythetermsofacontractbetweentheClientandanythirdparty,theConsultantshall:
（a）actinaccordancewiththecontractprovidedthatthedetailsofsuchpowersanddutiesareacceptabletohimwheretheyarenotdescribedinAppendixA.
（b）ifauthorizedtocertify,decideorexercisediscretion,dosofairlybetweentheClientandanythirdpartynotasanarbitratorbutasanindependentprofessionalactsbyhisskillandjudgment.
（c）ifsoauthorizedvarytheobligationsofanythirdparty,subjecttoobtainingthepriorapprovaloftheClienttoanyvariationwhichcanhaveanimportanteffectoncostsorqualityortime（exceptinanyemergencywhentheConsultantshallinformtheClientassoonaspracticable）.
6.CLIENT’SPROPERTY

AnythingsuppliedbyorpaidforbytheClientfortheuseoftheConsultantshallbethepropertyoftheClientandwherepracticalshallbesomarked.WhentheServicesarecompletedorterminatedtheConsultantshallfurnishinventoriestotheClientofwhathasnotbeenconsumedintheperformanceoftheServicesandshalldeliveritasdirectedbytheClient.SuchdeliveryshallberegardedshallberegardedasanAdditionalservices.
OBLIGATIONOFTHECLIENT
7.INFORMATION

TheClientshallsoasnottodelaytheservicesandwithinareasonabletimegivetotheConsultantfreetocostallinformationinhispowertoobtainwhichmaypertaintotheServices.
8.DECISIONS

OnallmattersproperlyreferredtohiminwritingbytheConsultanttheClientshallgivehisdecisioninwritingsoasnottodelaytheServicesandwithinareasonabletime.
9.ASSISTANCE
9.
InthecountryoftheProjectandinrespectoftheConsultant,hispersonnelanddependants,asthecasemaybe,theClientshalldoallinhispowertoassistin:
（i）theprovisionofdocumentsnecessaryforentry,residence,workandexit;
（ii）providingunobstructedaccesswhereveritisrequiredfortheServices;
（iii）import,exportandcustomsclearanceofpersonaleffectsandofgoodsrequiredfortheServices;
（iv）theirrepatriationinemergencies;
（v）theprovisionofth
