　　ForthepurposeofthisContract，thefollowingtermshavethefollowingmeanings;

　　1.1.‘PatentedTechnology’meansthoseletterspatent，andapplicationstherefor

presentlyownedorhereafteracquiredbyPartyBand/orwhichPartyBhasormayhavethe

rigttocontrolorgrantlicensethereofduringthetermhereofinanyorallcountries

oftheworldandwhichareapplicabletoormaybeusedinthemanufactureofCotract

Products.

　　1.2.‘ContractProducts’mianstheproductsdescribedinAppendis2annexedhereto，

to-getherwithallimprovementsandmodificationsthereofordevelopmentswithrespect

there-to.

　　1.3.‘PattyA’means____________.orhislegalrepresentative，agentandinhetitor

tothepropertyoftheCompany.

　　1.4.‘PartyB’means___________，orhislegalrepresentative，agentandinheritor，

tothepropertyoftheCompany.

　　1.5.‘TheContraetFactory’meanstheplacewhichPartyPartyAmanufacturesthe

　　1.7.‘Components’meansthosecomponentsandpartsofContructProduetswhichPar-ty

　　1.8.‘TechnicalDocuments’meaneengineering，manufacturingandoriginating

inforna-tionrelatiogtothemanufactureandservicingofContractProducts，including

drawings，blueprints，designsheets，materialspecifications，

　　photographs，photostatsandgeneralda-ta，anddesignsandpecificationsrelating

tomanufacturingContractProducdts，toolsandfix-tures，butincludes，however，only

suchinformationasisavailabletoPartyBandapplicabletotheoperationsofPartyA

underthisContractwhichdetaileasperAppendis1totheCon-tract.

　　1.9‘NetSellingPrice’menansremainingamountofinvoicevalueofthe

ContractProd-ucts，afterdeductionofpackahing，installationandfreightcharges，

tradeanddiscount，commission，insuranceandtaxesandduties.ifany，directly

applicabletothePrdduct.

　　1.l0‘TheDateofComingintoEffectoftheContract’meansthedateofraification

oftheContractbythemanagingconstructureofthepartiesorbythecompetent

authoritiesofbothparties，whichevercomeslater.

　　Article2ScopeoftheContract

　　2.1.PartyAagreestoacquirefromPartyBandPartyBagreestotransfertoPartyA

thepatentedTechnologyforContractProducts.SuchPatentedTechnologyshallbeinexact

accordancewiththetechnologyofPartyB’slatestproducts.

　　2.2PartyBgrantsPartyAthenon-exclusiverighttodesignandmanufacture

ContractProductsinChinaandtomarkdtthesaidProductsinChinaandabroad.

　　2.3PartyBshallberesponsibletoprovidePartyAwithdocumentsrelevanttothe

saidPaptentsandwithspecialfittingsofthesamplemachinetheirconcretedetailsand

scheduleofdelivarybeingsetoutinAppendix2totheContract.

　　2.4TheContractdoesnotcoverthePatentedtechnologyforthepartsfromother

coun-tres.

ButPartyBshallprovidePartyAwiththespecimensandthetecincalspecificationsand

thenameofthemanufacturersoftheparts.

　　2.5partyBshallberesponsibleforthetrainingofPartyA’stechniclpersonnel

inPartyB’srelevantfacilitiesandalsodoitsbesttoenablePartyA’stechnical

personneltomasterthePatentedTechnplogyoftheaforesaidContractProduct（detailsas

perAppendix5totheContract）.

　　2.6PartyBisobligedtosendatitsownexpensetechnicalpersonneltoPartyA’s

facto-ryfortechnicalservice（detailsasperAppendix6totheContract）.

　　2.7IfitisrequiredbyPartyA.PafrtyBshallbeunderanobligationtoprovide

PartyAatthemostfavourablepricewityparts，accessories，rawmaterials，fittings，

etc.forCOn-trademarkthetwoParties.

　　2.8PartyBgrantsPartyAtherignttousePartyB’strademark，andusethe

combinedtrade，markofbothpartiesormarkthewouding’productionaccordingto

Licensor’sLicence’ontheContractProduets.

　　Article3PriceoftheContract

　　3.1priceoftheContractshallbecalculatedonRoyaltyinaccordancewiththe

contentandscopesipulatedinArtice2totheContractandshallbepaidin___________.

　　3.2RoyaltyundertheContractshallbepaidfrom__________monthsafterthethedate

ofcomingintoeffectoftheContractintermsofCalendarYear.Thedateofsettling

accountsshallbe31，Decemberofeachyear.

　　3.3Royaltyattherateof__________%（___________percent）shallbeCalcuatedin

termsofnetSellingPriceaftertheContractProductsaresoldinthisyear，theContract

Productswhichnotsoldshallnotbeincluded.

　　3.4Thereportofthesellingquantity，netsellingamountofthecontractProducts

andRoyaltywhichshouldbepaidinlastyearshallbesubmittedtoPartyBinwritten

formbyPartyAwithin10（ten）daysafterthedateofsettlingaccountstoRoyalty.The

specificmethodswhichcalculatenetsellingamountandRoyaltyaredetailedinAppendix3

totheContract.

　　3.5TheContractProductssoldbyPartyApursuanttothepatentlicenseherein

grantedshallbedeemedtohavebeensoldwhenpaidfor.

　　3.6IftheContractProductsarereturnedorallowancesmadethereonaftertheroyalty

thereonhasbeenpaidPartyAshallbeentitledtotakeppropriateerditforsuch

overPay-mentagainstroyaltiesthereafteraccruing.

　　3.7IfPartyBdemandtoaudittheaccountsofPartyA，itshallnoticePartyAwithin

l0（ten）daysafterreceivingthewrittennoticeofPartyAinaccordancewithArticle

　　3.4oftheContract.Thespeeificcontentandprocedureofauditingaccountsare

detailedinAppendix4totheContract.

　　Article4CouditionsofPayment

　　4.1RoyaltystipulatedinSection3totheContractshallbeeffectedbyPartyAto

artyBthroughtheBank____________（hereitisthebusinessBankofPartyA，andtheBank

_________（hereitisthebusinesBankofPartyB），payrnentshallbesettledin________.

　　4.2PartyBshallimmediatelyissuetherelateddocumentsofterreceivingthewritten

notieesubmittedbyPartyAinaccordancewithArtiele3.4oftheContract，theRoyalty

shallbepaidbyPartyAtoPartyBwithin30（thirty）daysafterPartyAhasreceivedthe

fol-lowingdocumentswhichareprovidedbyPartyBandfoundtheminconfoumitywiththe

stipulationsofthContract.

　　A.Fourcopiesofthestatementoncalculationoftheroyalty;

　　B.Fourcopiesofthecommercialinvoice;

　　C.Twocopiesofthesightdraft.

　　4.3PartyAshallhavetherighttodeductfromanyoftheabovementionedpaymentthe

ppenaltiesand/orcompensationswhichpartyBshallpayinaccordancewiththe

stipulationsoftheContract.

　　ArticIe5TechnicalserviceandTraining

　　5.1TechnicglService

　　5.1.lDuringthevalidityperiodoftheContract，PartyBshallsendaspecialistto

PartyA`sfactorytoexplainthedrawingsandtechnicaldocumentsandtoprovideteehnical

serviseindesigning.manufacturing，adjustment，inspectionandmaintenanceofthe

ContractedPro-duetsotoeheblePartyAtouse，asfastaspossible，homematerials

andrawcomponentswithoutaffeetingthepropertiesoftheProductssomanufactured.

　　5.1.2PartyBshalltwicesendit’sspecialiststoPartyA’sfactorytoprovlde

technicalserviceforatotalof30workingdaysman.

　　5.l.3Thefirsttechnicalservicesha1lstartinthesixthmonthaftertheContrayt

comesintoeffect.PartyBshallsendaspecialisttoPartyA’sfactorytoprovide

technicalservicefor12workingdays/man.

　　5.1.4Thesecondtechnicalserviceshallstartduringtheverificationofthe

CortractedProduets.ParthBshallsendaspecialisttoPartyA’sfactorytoprovide

technicalservicefor18workingdays/man.

　　5.1.5PartyBshall，foritsspecialists，beartheirtravellingexpensee.ParthA

shallberesponsibleforBoardingandlodgingandaffording
