WHEREAS,thePledgorhasbeengrantedcertainoptionstopurchasesharesofthePledgeescommonstock;

and

WHEREAS,ItisaconditionprecedenttotheeffectivenessoftheLoanAgreementthatthePledgorshallgrantthesecurityinterestcontemplatedbythisAgreement.

NOW,THEREFORE,inconsiderationofthepremisesandinordertoinducethePledgeetomaketheloancontemplatedbytheLoanAgreement,thePledgorherebyagreeswiththePledgeeasfollows:

Section1GrantofSecurity.ThePledgorherebyassigns,transfersandpledgestothePledgee,andherebygrantstothePledgeeasecurityinterestin,allofthePledgorsright,titleandinterestin,toandunderthefollowing,ineachcase,astoeachtypeofpropertydescribedbelow,whethernowownedorhereafteracquired,whereverlocatedandwhethernoworhereafterexisting（theCollateral）:

（a）ThatcertainoptiongrantedtoPledgorbyPledgeedescribedonScheduleIhereto（theOption）topurchase_________sharesofBBB,Inc.commonstock,parvalue$,_________pershare（CommonStock）,andallsharesofCommonStockacquireduponexerciseoftheOption（collectively,SecurityCollateral）,andalldividends,cash,instrumentsandotherpropertyfromtimetotimereceiveduponthesaleof,orreceivableorotherwisedistributedinrespectoforinexchangefor,anyorallofsuchSecurityCollateral;

（b）ThatcertainStockOptionAgreement,totheextentthatitevidencestheOption,insubstantiallytheformsetforthonScheduleIIhereto（theAssignedAgreement）,includingwithoutlimitationallrightsofthePledgorunderorwithrespecttotheAssignedAgreement（allsuchCollateralbeingtheAgreementCollateral）;

（c）AllproceedsofanyandalloftheforegoingCollateral（including,withoutlimitation,anypropertyorcash）and,totheextentnototherwiseincluded,allpaymentsunderinsurance（whetherornotthePledgeeisthelosspayeethereof）,oranyindemnity,warrantyorguaranty,payablebyreasonoflossordamagetoorotherwisewithrespecttoanyoftheforegoingCollateral;

（d）AnyotherpropertyorrightconstitutinganypartofthePledgedSecurity.

Section2SecurityforObligations.ThisAgreementsecuresthepaymentofallobligationsofthePledgornoworhereafterexistingundertheLoanDocuments（allsuchobligationsofthePledgorbeingtheObligations）.Withoutlimitingthegeneralityoftheforegoing,thisAgreementsecuresthepaymentofallamountsthatconstitutepartoftheObligationsandwouldbeowedbythePledgortothePledgeeunderanyoftheLoanDocumentsbutforthefactthattheyareunenforceableornotallowableduetotheexistenceofabankruptcy,reorganizationorsimilarproceedinginvolvingthePledgor.

Section3ReleaseofSecurity

（a）AsofthedateoftherepaymentofanyLoanprincipalundertheLoanAgreement,thesecurityinterestgrantedherebyshallterminateandallrightstotheCollateralshallreverttothePledgorwithrespecttothatnumberofsharesofCommonStocksubjecttotheOption（oracquireduponexerciseoftheOption）equaltotheproductof（a）_________and（b）theratioof（i）theamountofLoanprincipalrepaidasofsuchdateto（ii）$,_________.

（b）AsofthedateofeachrepaymentofLoanprincipal,theterminationofthesecurityinterestasdescribedinSection3（a）shallapplyfirstwithrespecttoanysharesofCommonStockpurchasedbyPledgoruponexerciseoftheOptionpriortosuchrepaymentdate（oranyotherpropertyreceivedwithrespecttosuchshares）andthenwithrespecttosharesofCommonStocksubjecttotheOptionasofthedateofsuchrepayment.

Section4PledgorRemainsLiable.Anythinghereintothecontrarynotwithstanding,（a）thePledgorshallremainliableunderthecontractsandagreementsincludedintheCollateraltotheextentsetforththereintoperformallofitsdutiesandobligationsthereundertothesameextentasifthisAgreementhadnotbeenexecuted,（b）theexercisebythePledgeeofanyoftherightshereundershallnotreleasethePledgorfromanyofitsdutiesorobligationsunderthecontractsandagreementsincludedintheCollateral,and（c）thePledgeeshallhavenoobligationorliabilityunderthecontractsandagreementsincludedintheCollateralbyreasonofthisAgreement,norshallthePledgeebeobligatedtoperformanyoftheobligationsordutiesofthePledgorthereunderortotakeanyactiontocollectorenforceanyclaimforpaymentassignedhereunder.

Section5DeliveryofCollateral.AllcertificatesorinstrumentsrepresentingorevidencingtheCollateralshallbedeliveredtoandshallbeheldbyoronbehalfofthePledgeepursuantheretoandshallbeinsuitableformfortransferbydelivery,orshallbeaccompaniedbydulyexecutedinstrumentsoftransferorassignmentinblank,allinformandsubstancesatisfactorytothePledgee.ThePledgeeshallhavetheright,atanytimeinitsdiscretionandwithoutnoticetothePledgor,totransfertoortoregisterinthenameofthePledgee（aspledgeehereunder）oranyofitsnomineesanyoralloftheCollateral.Inaddition,thePledgeeshallhavetherightatanytimetoexchangecertificatesorinstrumentsrepresentingorevidencingtheCollateralforcertificatesorinstrumentsofsmallerorlargerdenominations.

Section6RepresentationsandWarranties.ThePledgorrepresentsandwarrantsasfollows:

（a）AfullyexecutedoriginalcounterpartoftheAssignedAgreementhasbeendeliveredtothePledgee.

（b）ThePledgoristhelegalandbeneficialowneroftheCollateralfreeandclearofanylien,securityinterest,optionorotherchargeorencumbrance,exceptforthesecurityinterestscreatedbythisAgreement.NoeffectivefinancingstatementorotherdocumentsimilarineffectcoveringalloranypartoftheCollateralisonfileinanyrecordingoffice,exceptsuchasmayhavebeenfiledinfavorofthePledgeerelatingtothisAgreement.

（c）ThisAgreementhasbeendulyexecutedanddeliveredbythePledgorandisavalidandbindingobligationofthePledgor,enforceableagainstthePledgorinaccordancewithitsterms.

（d）TheexecutionanddeliverybythePledgorofthisAgreementandtheperformanceofitsobligationsthereunderarewithinthePledgorsauthorityandcapacityanddonotcontraveneanylaw,regulation,orderorcontractualrestrictionbindingonoraffectingthePledgor.

（e）ThePledgeandgrantoftheCollateralpursuanttothisPledgeAgreementcreatesavalidandperfectedfirstprioritysecurityinterestintheCollateralinfavorofthePledgee,securingthepaymentofalloftheObligations.

Section7FurtherAssurances

（a）ThePledgoragreesthatfromtimetotimethePledgorwillpromptlyexecuteanddeliverallfurtherinstrumentsanddocuments,andtakeallfurtheraction,thatmaybenecessaryordesirable,orthatthePledgeemayreasonablyrequest,inordertoperfectandprotectanypledge,assignmentorsecurityinterestgrantedorpurportedtobegrantedherebyortoenablethePledgeetoexerciseandenforceitsrightsandremedieshereunderwithrespecttoanyCollateral.Withoutlimitingthegeneralityoftheforegoing,thePledgorwill:

（i）deliverandpledgetothePledgeepromptlyuponreceiptthereofallinstrumentsorcertificatesrepresentingorevidencinganyoftheCollateraldulyendorsedandaccompaniedbydulyexecutedinstrumentsoftransferorassignment,allinformandsubstancesatisfactorytothePledgee;

and（ii）executeandfilesuchfinancingorcontinuationstatements,oramendmentsthereto,andsuchotherinstrumentsornotices,asmaybenecessaryordesirable,orasthePledgeemayrequest,inordertoperfectandpreservethepledge,assignmentandsecurityinterestgrantedorpurportedtobegrantedhereby.

（b）ThePledgorherebyauthorizesthePledgeetofileoneormorefinancingorcontinuationstatements,andamendmentsthereto,relatingtoalloranypartoftheCollateralwithoutthesignatureofthePledgorwherepermittedbylaw.AphotocopyorotherreproductionofthisAgreementoranyfinancingstatementcoveringtheCollateraloranypartthereofshallbesufficientasafinancingstatementwherepermittedbylaw.

（c）ThePledgorwillfurnishtothePledgeefromtimetotimestatementsandschedulesfurtheridentifyinganddescribingtheCollateralandsuchotherreportsinconnectionwiththeCollateralasthePledgeemayreasonablyrequest,allinreasonabledetail.

（d）ThePledgoragreestodefendthetitleoftheCollateralandthelienthereonofthePledgeeagainsttheclaimofanyotherpersonandtomaintainandpreservesuchlienuntilpaymentinfullofalloftheObligations.

Section8AssignedAgreement.ThePledgorshallatitsexpense（a）performandobserveallthetermsandprovisions,inallmaterialrespects,oftheAssignedAgreementtobeperformedorobservedbyit,enforcetheAssignedAgreementinaccordancewiththeirrespectiveterms,andtakeallsuchactiontosuchendasmaybefromtimetotimereasonablyrequestedbythePledgee,（b）furnishtothePledgeesuchinformationandreportsregardingtheCollateralasthePledgeemayreasonablyrequestand（c）uponrequestofthePledgeemaketoanyotherpartytotheAssignedAgreementsuchdemandsandrequestsforinformationandreportsorforactionasthePledg
