AbankguaranteeisusedasaninstrumentforsecuringperformanceorpaymentespeciallyinInt’lbusiness.Abankguaranteeisawritingpromiseissuedbyabankattherequestofitscustomer,undertakingtomakepaymenttothebeneficiarywithinthelimitsofastatedsumofmoneyintheeventofdefaultbytheprincipal.

Abankguaranteemayalsobedefinedasanindependentobligationwheretheguarantor（abank/financialinstruction/surety）hastomakeaspecialagreementwithitscustomer,ensuringthatitwillberefundedbyhimforanypaymenttobeeffectedunderthecontractofguarantee.

（3）Functionsofguarantee

a.Guaranteedoesnotconsistinassumingthedebtor’sliability（bytheguarantor）inthelatter’sinterest,butinrecoupingthebeneficiaryforanydamagecausedbyfaultyperformance

b.Guaranteeisusedassecuremechanismforpaymentofthecontractamount.

c.Acontractorusesaguaranteeasdefaultinstrumentthatcoverstheriskofnon-performanceordefectiveperformancebythecontractor

d.GuaranteesareusedwidelyandflexibilityespeciallyinInt’lbusiness,complicatedtransactions,noncreditavailabletransactions,etc.

a.Beneficiary:

Thepartyinwhosefavortheguaranteeisissued.Heissecuredagainsttheriskoftheprincipal’snotfulfillinghisobligationstowardsthebeneficiaryinrespectoftheunderlyingtransactionforwhichthedemandguaranteeisgiven.Hewillnotobtainasumofmoneyiftheobligationsarenotfulfilled.

b.Principal:

Thepartyatwhoserequesttheguaranteeisissued.Theprincipalwillbeclaimedifheisinbreachofhisobligations.

c.Guarantor:

Thepartyissuesaguaranteeundertakingtomakepaymenttothebeneficiaryintheeventofdefaultoftheprincipalagainstthepresentationofawrittendemandandotherspecifieddocuments.Heisnotrequiredtodecidewhetherthebeneficiaryandtheprincipalhaveorhavenotfulfilledtheirobligationsundertheunderlyingtransactionwithwhichtheguarantorisnotconcerned.Theguarantoriswillingtomeetitscommitmentintermsofguarantee,withoutbecominginvolvedinpossibledisputesbetweenbeneficiaryandprincipalregardingtocorrectperformancebytheprincipalofhisobligations.

Abankorafinancialinstitutionoranyotherbodyactingasaninstructingpartyissuesacounterguaranteeactingontheinstructionofaprincipalinfavorofabankorafinancialinstitutionlocatedinthebeneficiary’scountry.

第二条支付备付金

---Thisisawrittenundertakingissuedbytheguarantortotheemployerorbuyerattherequestofthecontractororsupplier,guaranteeingthatthelatterwillstrictlyperformhiscontractualobligations.

---Applicabletoprovidingguaranteefortheperformanceofcontractualobligationsbytheprincipal;

commoncasesincludingprojectsinvolvingconstructioncontractingormaterialprocurement.

---Insuchconstructionorprocurementprojects,theemployerorbuyer,toavoidlossesincurredbythefailureofthecontractororsuppliertoperformcontractualobligations,oftenasksthecontractororsuppliertosubmitperformancesecuritytobindthelatter.Performanceguaranteeisasubstituteofcashsecurity.。

---Thisisawrittenundertakingissuedbytheguarantortotheemployerorbuyerattherequestofthecontractororsupplier,guaranteeingthatthelatterwillperformhiscontractualobligationsaftertheemployerorbuyerhaseffectedtheadvancepayment.

---Thisisawrittenundertakingissuedbytheguarantortotheemployerorbuyerat
