企业社会责任的定义

企业社会责任信息的内涵与企业社会责任的内涵有十分直接的联系;

如前所述，企业社会责任信息披露就是把企业所从事的社会责任活动进行披露。

因此，企业社会责任信息的内涵就是指与企业社会责任的内涵直接相关的信息。

关于企业社会责任内涵的争论的焦点集中在以下两点:

企业目标之争;

企业社会责任与企业责任的区分。

第一，企业目标之争，即企业的目标究竟是股东利益最大化还是利益相关者利益最大化。

股东利益最大化的代表人物Friedman（1989）

提出就是在遵守法律和相应的道德标准的前提下赚尽可能多的钱。

也就是，企业除了吸收就业、维护股东利益之外，无需承担额外的社会责任。

而利益相关者理论的支持者则认为，企业是一个社会组织，要对包括股东在内的所有要求者负责。

Freeman&

Gilbert（1987）认为利益相关者就是可以影响或者正在影响企业达成目标的任何企业和个人，包括股东、债权人、政府机构、雇员、消费者、供应商、公益组织（环保组织、慈善基金组织）等。

多年来，利益相关者理论的支持者与

股东利益最大化理论的支持者争论不休，争论的最终结果是股东利益最大化仍然是企业的目标，但是却做出了一定的修正。

卢代富（2001）认为，“企业社会责任是指企业在谋求股东利润最大化之外所负有的维护和增进社会公益的义务。

企业社会责任是对股东利润最大化这一传统原则的修正和补充,且这一修正与补充并不否认股东利润最大化原则”。
