Whereas,thepartiesmutuallyaccepttorefertotheGeneralTermsandDefinitions,assetoutbytheINCOTERMSEdition2000withlatestamendments,havingthefollowingterminologyfullyunderstoodandaccepted:
有签于，双方同意参照“国际贸易术语说明通则2000”最新修订版规定的一样术语和定义，完全明白得和同意以下术语：
DEFINITIONS
MetricTonAmeasureofweightequivalenttoonehundredthousandmetrictons;
公吨重量单位，相当于500，000公吨；
CommodityTheRussianMAZUT100GOST10585-75elsewhereisthisagreementalsoreferredtoas“product”or“MAZUT100oras“Goods”withthespecificationsforwhichappearin“APPENDIXNo.1”attachedandbythisreferenceconfirmedanintegralpartofthisAgreement.
商品俄罗斯出产的MAZUT100GOST10585-75，本协议中也称为“产品”或“MAZUT100或“物资”，技术标准参考“附件1”附件已确认为本协议不可缺少的一部分；

ASTMAmericanSocietyforTestingandMaterials,istheinstitute,internationallyrecognized,thatapprovedallStandards,TestsandproceduresusedintheOilindustryandtobereferredintheAgreementtotheIatestrevisededitionWithamendmentsinforcetodate.

Out-turnThequantityandqualityoftheproductascertained,accordingtotheASTMprocedures,oncompletionofthedischargeoperations,Thesodeterminedout-turnquantityandqualityisbaseonwhichamountwillbecomputedforthepaymentoftheproducteffectivelydeliveredtotheBuyer.
运作产品的数量和质量应当依照ASTM程序在卸货作业完成之时确认。
所确定的产品数量和质量将作为基准，用于运算有效交付买方之产品的付款金额。

提单装货作业完成之后在装货港口发出的正式文件，依照此中定义，以立方米（m3）和公吨（MT）为单位说明船上的装载数量。
船运公司船主应签署该文件正本，在本协议无其它指示的情形下正规填写。

卸货码头买方指定的安全港口/泊位作为最终接收目的港

交货日期指经买卖双方共同同意的日期，而指定的国际测量公司在该日期内确认在买方指定的卸货码头卸下的产品数量和质量

2.QUALITYANDQUANTITY
2.质量和数量
2.1ThequaIityoftheGoodssoIdunderthisContractshaIImeetthespecificationindicatedIntheAppendixNo.1.
2.1依照本合同出售的物资质量应符合附件1规定的质量标准。
2.2ThequaIityofeachdeIiveredIotoftheGoodsatCIFCHINAportshaIIbetestedinthemannercustomaryforInternationaIstandards”SGS”or”SayboIt”.
2.2基于中国到岸价交付的每批物资质量都应按照国际标准“SGS”或“SayboIt”惯用的方式进行测试。
2.3TheSeIIers’responsibiIitywithregardstothequaIityoftheGoodsisnotIimitedtothespecificaticationcharactersstatedintheAppendixNo.1.
2.3卖方对所交付物资质量的责任并不仅限于附件1规定的质量标准特性。
2.4TestforquaIityandquantityshaIIbeperformedinthemannercustomaryattheIoadingport.

3.PERIODOO
3.有效期
3.1ThepresentContractshallbeinforcefromthedateofsigninguptothelastdelivery,2020,butallpaymentshavetobemade.
3.1本合同的有效期自签署日起直至2020年的最终交货，然而必须付清款项。
4、TIMEOFDELIVERY
4、交货时刻
4.1Thefirstliftingshallbeginwithin6to14daysafterBuyer’sBankissueMT760SBLCforamountofonemonthofdelivery（forthefirstmonth）
4.1首次提货将在买方银行发出金额为一个月交货款（第一个月）的借用信用证后6-14天内开始。
4.2DeliveryofGoodsshallbeexecutedbyoil-tankerlotsofminimum50,000MTeach（50,000MT）,pursuanttotheScheduleofdelivery（Appendixno2）.
4.2交货应按照油轮单位至少达到50，000公吨（50,000公吨）进行、同时遵守交货时刻表（附件2）。
5.DELIVERYANDACCEPTANCE
5.交货和验收
5.1ThepuantityindicatedintheBillofLadingtotheconsideredaslottheGoods.
5.1提单上数量将被视为物资单位。
5.2ThedateofdeliveryshallbethedateofinspectionbytheSurveyor（SGS）atthedischargeport.
5.2交货日期即检查员（SGS）在卸货港口进行测试的日期。
5.3AlldeliveriesoftheGoodsshallbeCIFCHINAPORTTitletotheGoodsangallrisksofcasualdamageorlossoftheGoodshereundershallpassfromtheSellerstotheBuyerupondischargeoftheGoodsatdischargeportuponCIQinsection.
5.3所有交货均基与中国港口到岸价。
物资在卸货港口卸下同意CIQ（中华人民共和国出入境检验检疫局）检验后。
物资的所有权和所有意外损害风险或物资缺失均卖方转移到买方。
5.4CustodyfortheGoodsdeliveredhereinshallbeonBuyersafterthemomentofpassingrisksaccordingtothei.5.2
依照I.5.2转移风险后，买方负责看管己交付的物资。
5.5ThequalityofthegoodstobedeliveredunderthiscontractshallbeindicatedinzhecertificateofQualityandQuantityissuedbySGSfortheproductloaded.
5.6依照本合同预备交付的物资质量，应符合SGS对装载物资签发的质量和数量证书。
5.7Paymentfortheinspectionattheportofloadingshallbetosellersaccount
5.7装货进口的检验费应由卖方承担。
5.8thefinalnetquantitywhichwillbebindinguponthepartiesfor‘CIF’oceangoingvessels’shipmentswillbecalculatedasgrossBillofLadingquantityinmetrictons,withstraightarithmeticaldeductionofwaterandsediments,asperqualityCertificateissuedatportofloading.
5.8远洋轮船货运到岸价的最终净重运算方法是以提单上的毛量（公吨），通过直截了当算术减法扣除装货港出具的质量证明书指出的水分与沉淀物重量后所得出的结果。
此最终净重量对双方都有约束力。
5.9Quantityofmetrictonsshallberepresenteddecimallyuptoonethousandth（tothethirddecimalplaceafterpointinclusive,thefollowingdigitshavenottobeconsidered）.
5.9数量公吨应采纳小数点到千分之一（保留小数点后三位有效数字，后面的数字不再考虑）。
5.10Duringloadingoftherelevantvessel,samplingshouldbeperformedaccordingtothestandardprocedurecurrentlyinforceatportofloadingwithpresenceofshipsauthority.Thesamplestakenandthoroughlymixedaretobefilledintobottlesandsealed.
5.10货特装船时，应依照装货港口的现行标准程序进行抽样，并由运输机构到场监管。
样品提取后充分混合，随后装瓶密封。
5.11.OnepartofthesesamplesfilledintonotlessthantwobottlesandsealedbytheSellerortheirappointedrepresentative,istobeplacedonboardofthetanker,undercareoftheMaster,fordeliverytotheBuyerortheirnominatedagentatthedischargeport.Theotherpartofthesamesamples,filledintonotlessthantwobottlessealedbytheMaster,istobekeptbytheSeller.
5.11部分这些样品将由卖方或其代表装入同时密封在至少两个瓶子中，由船主在油轮上看管，在卸货港口交付买方或其指定代表。
样品的其它部分由船主装瓶密封（至
