4.Payment

CUSTOMERshallpayCOMPANY%oftheAgreementsumafterdaysreceivingtheinvoicefromCOMPANY.ThefinalpaymentwillbemadeafterCUSTOMERacceptsthequalifiedSOFTWAREand.

5.IndependentContractor

COMPANYisactingasanindependentcontractwithrespecttotheservicesprovidedtoCUSTOMER.NeitherCOMPANYnoritsemployeesperformingservicesforCUSTOMERwillbeconsideredemployeesoragentsofCUSTOMER.CUSTOMERwillnotberesponsibleforCOMPANY’sactsoftheactsofCOMPANY’semployeeswhileperformingservicesunderthisAgreement.NothingcontainedinthisAgreementshallbeconstruedtoimplyajointventure,business.Partnershiporprincipal-agentrelationshipbetweentheparties,andneitherpartybyvirtueofthisAgreementshallhaveanyright,powerorauthoritytoactorcreateanyobligation,expressorimplied,onbehalfoftheotherparty.

6.DevelopmentStaff-Monitoring

A.COMPANYwillutilizeemployeesand/orcontractorscapabledesigningandimplementingtheSOFTWAREtobedevelopedpertheAgreement.Allworkshallbeperformedinaprofessionalandworkmanlikemanner.COMPANYshallarrangeforsuchemployeesand/orcontractors,ifany,toexecuteanddeliveranydocumentorinstrumentreasonablyrequestedbyCUSTOMERtoreflectCUSTOMER’sownershipoftheSOFTWAREorinconnectionwithanyapplicationforpatentorcopyright.

B.CUSTOMERshallhavetherighttoreasonablyobserveandmonitorallaspectsoftheperformancebyCOMPANYofitsobligationshereunderandCOMPANYshallusereasonableeffortstofacilitatesuchobservationandmonitoring.Information,functionsandoperationsofCOMPANYnotdirectlyrelatedtoitsobligationshereundershallnotbesubjecttoobservationandmonitoring.

7.ChangeinTechnicalrequirements

CUSTOMERmay,initssolediscretion,requestthatchangebemadetotheTechnicalrequirements,orotheraspectsoftheAgreementandtasksassociatedwiththisAgreement.IfCUSTOMERrequestssuchachange,COMPANYwilluseitsbesteffortstoimplementtherequestedchangeatnoadditionalexpensetoCUSTOMERandwithoutdelayingdeliveryoftheSOFTWARE.Intheeventthattheproposedchangewill,inthereasonableopinionofCOMPANY,requireadelayindeliveryoftheSOFTWAREorwouldresultinadditionalexpensetoCUSTOMER,thenpartiesshallconferandCUSTOMERshall,initsdiscretion,electeithertowithdrawitsproposedchangeorrequireCOMPANYtodelivertheSOFTWAREwiththeproposedchangeandsubjecttothedelayand/oradditionalexpense.

8.Confidentiality

A.COMPANYacknowledgesthatallmaterialandinformationsuppliedbyCUSTOMERwhichhaswillcomeintoCOMPANY’spossessionorknowledgeofCOMPANYinconnectionwithitsperformancehereunder,istobeconsideredCUSTOMER’sconfidentialandproprietaryinformationperformance（the“ConfidentialInformation”）.Bywayofillustration,butnotasalimitation,ConfidentialInformationincludestheSOFTWARE,tradesecrets,processes,data,know-how,programcodes,documentation,flowcharts,algorithms,marketingplans,forecasts,unpublishedfinancialstatements,budgets,licenses,prices,costs,andemployeeandcustomerlists.COMPANY’sundertakingsandobligationsunderthisSectionwillnotapply.However,toanyConfidentialInformationwhich:

（i）isorbecomesgenerallyknowntothepublicthroughnoactiononCOMPANY,（ii）isgenerallydisclosedtothirdpartiesbyCUSTOMERwithoutrestrictiononsuchthirdparties,or（iii）isapprovedforreleasebywrittenauthorizationofCUSTOMER.UponterminationofthisAgreementoratanyothertimeuponrequest,COMPANYwillpromptlydelivertoCUSTOMERallnotes.Memoranda,notebooks,drawings,records,reports,files,documentedsourcecodesandotherdocuments（andallcopiesorreproductionsofsuchmaterials）initspossessionorunderitscontrol,whetherpreparedbyCOMPANYorothers,whichcontainConfidentialInformation.COMPANYacknowledgesthatConfidentialInformationisthesolepropertyofCUSTOMER.COMPANYagreesthatdisclosureofsuchinformationto,oruseby,thirdparties,eitherduringorafterthisAgreement,willcauseCUSTOMERirreparabledamage.COMPANYagreestousebesteffortstoholdConfidentialInformationinthestrictestconfidence,nottomakeuseofitotherthanfortheperformanceofitsobligationshereunder,toreleaseitonlytotheCOMPANY’semployeesorcontractorswithaneedtoknowsuchinformationandnottoreleaseordiscloseittoanyotherparty.COMPANYfurtheragreesnottoreleasesuchinformationtoanyemployeeorcontractorwhohasnotsignedawrittenagreementbetweenCOMPANYandtheemployeeexpresslybindingtheemployeenottouseordisclosetheConfidentialInformation,exceptasexpresslypermittedinthisAgreement.CUSTOMERshallbelistedasathird-partybeneficiaryofanysuchagreement.COMPANYwillnotifyCUSTOMERinwritingofanycircumstanceswithinitsknowledgerelatingtoanyunauthorizedpossession,use,orknowledgeofsuchConfidentialInformation.Atanytime,uponrequest,COMPANYwillreturnanysuchinformationwithinitspossessiontoCUSTOMER.

B.COMPANYacknowledgethatCUSTOMER’spurposeinpursuingthedevelopmentoftheSOFTWAREistogainasignificantcompetitiveadvantageovercompetitorsoperatingwithoutsuchSOFTWAREandthatsuchadvantagewillbejeopardizedifsuchcompetitorslearnofCUSTOMER’snegotiationswithCOMPANYortheperformancebyCOMPANYofitsobligationshereunder.Accordingly,COMPANYagreestokeepsuchnegotiationsandperformanceofitsobligationshereunderstrictlyconfidentialandnottodiscloseanyinformationtoanythirdpartyorentitywithoutthepriorwrittenpermissionofCUSTOMER.Innoevent,shallCOMPANYoranyofitsemployeesuseCUSTOMERasareferenceinmarketingCOMPANY’sservicestoanythirdorentitywithoutCUSTOMER’spriorwrittenpermission.

9.Training

DevelopmentshallprovideCUSTOMERanditsemployeeswithtrainingconsultationswithrespecttotheuseoftheSOFTWAREasmayreasonablyberequestedbyCUSTOMERfromtimetotimeforafteracceptanceatnoadditionalcoststoCUSTOMER（“TrainingPeriod”）.COMPANYshalldeliveradetaileduser’smanualtoCUSTOMERonorbeforecompletionofacceptancethatwillenableCUSTOMER’semployeeswhoareotherwiseunfamiliarwiththeSOFTWAREtobecomeadequatelyinformedaboutusingtheSOFTWARE.AlltrainingthatCOMPANYisrequiredtoprovidehereundershallbeperformedatsuchlocationsandsuchtimesasaremutuallyagreedtobythepartieshereto.UpontheexpirationoftheTrainingPeriodandfollowingCUSTOMER’srequest,DevelopmentwillprovideanysupportservicestimeandmaterialbasisatCOMPANY’sthencurrenthourlyratesforsuchservice.

10.Warranties

A.COMPANYwarrantsthatforaperiodofoneyearfollowingacceptance,theSOFTWAREwilloperatesubstantiallyaccordingtotheTechnicalrequirements.IntheeventofanybreachofthewarrantyinthisSection9.A.,inadditiontoanyotherremedytowhichCUSTOMERmaybeentitled.COMPANYshalltakeallactionnecessaryatitsexpensetocausetheSOFTWAREtooperateaccordingtothewarranty.

B.COMPANYwarrantsthattheSOFTWAREwillnotinfringeuponanycopyright,patent,tradesecretorotherintellectualpropertyinterestofanythirdparty.COMPANYwillindemnifyandholdCUSTOMERharmlessfromandagainstallsuchinfringementclaims,losses,suitsanddamagesincluding,butnotlimitedto,attorney’sfeesandcosts,andshallpromptlyfollowinganybona-fideclaimofinfringementcorrecttheSOFTWAREsoasnottobeinfringing,orsecureatitsownexpensetherightofCUSTOMERtousetheSOFTWAREwithoutinfringement.

11.TermandTermination

ThisAgreementshallcommenceupon（Date）continueuntilalloftheobligationsofthepartieshavebeenperformedoruntilearlierterminatedasprovidedherein.

COMPANY’sappointmentasconsultantpursuanttothisAgreementandthisAgreementshallterminateupontheoccurrenceoftheeventeitherpartydefaultsinanymaterialobligationownedtotheotherpartypursuanttothisAgreement.ThenthisAgreementmaybeterminatedifthedefaultisnotcuredfollowingatleastfortyfivedayswrittennoticetothedefaultingparty.

12.Notices

AnynoticerequirebythisAgreementorgiveninconnectionwithit,shallbeinwritingandshallbegiventotheappropriatepartybypersonaldeliveryorarecognizedoverrightdeliveryservicesuchasemailorFedEx.

13.NOWaiver

ThewaiverorfailureofeitherpartytoexerciseinanyrespectanyrightinthisAgreementshallnotbedeemedawaiverofanyotherrightorremedytowhichthepartymaybeentitled.

14.EntiretyofAgreement

ThetermsandconditionssetforthhereinconstitutetheentireagreementbetweenthepartiesandsupersedeanycommunicationorpreviousagreementswithrespecttothesubjectmatterofthisAgreement.Therearenowrittenoforalunderstandingsdirectlyrelatedt
