9.1EachofthePartiesrepresentsandwarrantstoeachotherasfollows:
(1)ItisalimitedliabilitycompanydulyestablishedandinvalidexistenceunderthelawsofthePeople’sRepublicofChina;
(2)IthastherightandauthoritytoenterintothisAgreementandfulfillitsobligations;
(3)ItsrepresentativewhowillsignthisAgreementhasbeenfullyauthorizedtodosobyavalidletterofauthorizationorbytherelevantresolutionofitsBoardofDirectors;
and
(4)UpontheexecutionofthisAgreementanditsannexattachedhereto,thisAgreementshallbebindinguponitandcanbeenforcedunderapplicablelaws.
9.2PartyAherebyrepresentsandwarrantstoPartyBasfollows:
(1)PartyAhastherightandauthoritytolegallyowntheLeasedPropertystipulatedunderthisAgreement,andpossessesalltherelevantandcompleteapprovalsandcertificatesevidencingitslegalownershipoftheLeasedPropertystipulatedunderthisAgreement,orhastherighttosubleasetoPartyBpropertiesitleasesfromathirdparty.PartyAhastherighttoenterintothisAgreementandtoleaseorsubleasetoPartyBtheLeasedPropertystipulatedinArticleOne(includingthesiteandauxiliaryfacilities)inaccordancewiththetermsandconditionsherein;
intheeventthatPartyA’spropertyrightsanduserightstothepropertyhereinarecontestedinanycircumstancesandforwhateverreasons,andPartyBisunabletoexerciseitsrightsasalesseeorsustainotherdamages,PartyAagreestoholdharmlessfromandindemnifyPartyBagainstanylossesresultedtherefrom;
(2)UpondeliverytoPartyBforuse,theLeasedPropertyshallbeingoodconditionsfornormaluse;
(3)AslongasPartyBhaspaidtherentfortheLeasedPropertyandobservedandfulfilledalltherepresentations,commitmentsandconditionsunderthisAgreement,PartyBshallbeabletofreelyoccupyandenjoytheuseoftheLeasedPropertywithinthetermofthisAgreementwithoutinterference.
9.3IntheeventthatanyrepresentationsorwarrantiesmadebyPartyAinArticles9.1and9.2aboveareuntrueorincomplete,PartyBshallhavetherighttoterminatethisAgreementatanytime,inwhichcasePartyBshallhavetherighttoclaimcompensationfromPartyAforalltheactuallossesPartyBhassustained.
9.4PartyBherebyrepresentsandwarrantstoPartyAasfollows:
9.4.1PartyBwillpaytherelevantrenttoPartyAonatimelybasisinaccordancewiththisAgreement.IntheeventthatPartyBdelaystherentpaymentformorethanoneday,PartyBshall,inadditiontopaymentoftherentoverdue,pay,uponPartyA’sdemand,apenaltyof0.03%ofthetotaloverdueandunpaidpaymentforeachdayoverdueuntilPartyBhascompletelyfulfilleditsobligations;
9.4.2WithoutPartyA’swrittenconsent,PartyBshallnotsubleaseortransfertoathirdpartyanypartoftheLeasedPropertyoranyofitsrightsandobligationshereunder,orchangetheuseandpurposeoftheLeasedPropertyandanyutilities.ShouldPartyBviolateanyoftheaforesaidprovisions,PartyAshallhavetherighttorequestPartyBtostopsuchconductandpayasurchargeequaltotwotimestheproceedsfromsuchsubleaseortransferreceivedbyPartyB,ifany.
9.1.1Itisalimitedliabilitycompanyoranenterpriselegalpersondulyestablishedandinvalidexistenceunderthelawsofthe_________(Country);
9.1.2IthastherightandauthoritytoenterintothisAgreementandfulfillitsobligations;
9.1.3ItsrepresentativewhowillsignthisAgreementhasbeenfullyauthorizedtodosobyavalidletterofauthorizationorbytherelevantresolutionofitsBoardofDirectors;
9.1.4UpontheexecutionofthisAgreementanditsannexattachedhereto,thisAgreementshallbebindinguponitandcanbeenforcedunderapplicablelaws.
9.2.1PartyAhastherightandauthoritytolegallyowntheLeasedPropertystipulatedunderthisAgreement,andpossessesalltherelevantandcompleteapprovalsandcertificatesevidencingitslegalownershipoftheLeasedPropertystipulatedunderthisAgreement,orhastherighttosubleasetoPartyBpropertiesitleasesfromathirdparty.PartyAhastherighttoenterintothisAgreementandtoleaseorsubleasetoPartyBtheLeasedPropertystipulatedinArticleOne(includingthesiteandauxiliaryfacilities)inaccordancewiththetermsandconditionsherein;
9.2.2UpondeliverytoPartyBforuse,theLeasedPropertyshallbeingoodconditionsfornormaluse;
9.2.3AslongasPartyBhaspaidtherentfortheLeasedPropertyandobservedandfulfilledalltherepresentations,commitmentsandconditionsunderthisAgreement,PartyBshallbeabletofreelyoccupyandenjoytheuseoftheLeasedPropertywithinthetermofthisAgreementwithoutinterference.

9.3IntheeventthatanyrepresentationsorwarrantiesmadebyPartyAinArticles9.1and9.2aboveareuntrueorincomplete,PartyBshallhavetherighttoterminatethisAgreementatanytime,inwhichcase,whetherthisAgreementisterminatedornot,PartyBshallhavetherighttoclaimcompensationfromPartyAforalltheactuallossesPartyBhassustained.
9.4.2WithoutPartyA’swrittenconsent,PartyBshallnotsubleaseortransfertoathirdpartyanypartoftheLeasedPropertyoranyof
