如因包装不良造成货物锈蚀、损坏和损失,卖方应承担由此产生的一切费用和损失。

货物发运后,由卖方按发货价值的110%投保海运一切险和战争险。
10.PAYMENT:

付款方式:
100%不可撤销的即期信用证,5%根据机械验收证书付款,5%根据工艺验收证书付款。

conditions,numberanddateofcorrespondinginvoice;
c）SignedCertificateofQualityandQuantityissuedbythemanufacturers.
d）FullsetofcleanonboardOceanBillofLadingmadeouttoorder,blankendorsed,marked“FreightPrepaid”,and
notifytheBuyers.
e）InsurancePolicy/Certificateinoneoriginalfor110%oftheinvoicevalueshowingclaimspayableinChinaincurrency
ofthedraft,blankendorsed,coveringOceanTransportationAllRisksandWarRisks.
f）CertificateofOriginin2copiesissuedbythepublicrecognizedsurveyor.
g）TwooriginalsofDeclarationofNoSolidWoodissuedbythemanufacturersortwooriginalsofPhytosanitaryCertificateissuedbyrelativeauthoritiesinGermany.
文件:
卖方需提交下列文件给付款行要求付款:
a）正本商业发票一式5份,注明合同号及唛头。
b）正本装箱单一式5份,注明相应的发票号和出具日期,货物每件包装的毛、净重和包装情况。
c）正本质量/重量证书由生产厂出具。
d）全套清洁已装船海运提单,空白抬头,空白背书,注明运费预付,通知人为买方。
e）正本保险单或保险凭证,投保金额是发票金额的110%,索赔的地点在中国,索赔货币以汇票货币为准,空白背书,投保海洋运输一切险及战争险。
f）由公众确认之检验机构出据的原产地证书一式两份。
g）由制造厂商出具的无木质包装证明正本两套或由德国有关当局出具的熏蒸证明正本两套
12.SHIPPINGADVICE:
TheSellersshall,within24hoursuponthecompletionoftheloadingofthegoods,advisebyfax/telextheBuyersofcontractNo.,commodity,quantity,invoicedvalue,grossweight,nameofvessel,NumberanddateoftheBillofLading,etc.
装运通知:
卖方应在装船后24小时以传真或电传的方式通知买方合同号、商品名称、数量、发票金额、毛重、船名、提单号及开航日期等。
13.TECHNICALDOCUMENTS:
OnecompletesetofthefollowingtechnicaldocumentswritteninChinese,shallbepackedanddispatchedtogetherwitheachconsignment.
a）Foundationdrawings.
b）Wiringinstructions,diagramsofelectricalconnectionsand/orpneumatic
hydraulicconnections.
c）Manufacturingdrawingsofeasilywornpartsandinstructions.
d）Sparepartscatalogues.
e）QualityCertificate.
f）Erection,operation,maintenanceinstructionmanuals.
g）Certificateofqualification.
技术文件:
全套技术文件,用中文书写,应随货物交付买方,包括:
a）地基图纸
b）线路图,电连接图,气压或液压连接图
c）易损件的制造图纸
d）零部件目录
e）质量证书
f）安装调试手册,操作手册,保养手册
g）产品合格证
14.GUARANTEEOFQUALITY:
TheSellersguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequalityandspecificationstipulatedinthiscontract.Theguarantee
periodshallbe12monthscountingfromthedateonwhichthecommoditypassedtheMechnicalAcceptance.Butnotlaterthan18monthsaftertheshippingdate.
质量保证:
卖方应保证所出售的商品由最好的材料、一流的工艺制成,该商品是全新的和未被使用过的,各方面均与合同规定的质量和规格一致。
保质期为机械验收后12个月。
但非卖方原因,不晚于发货后18个月.
15.INSPECTION
（1）Themanufacturesshall,beforemakingdelivery,makeapreciseandcom-prehensiveinspectionofthegoodsasregards
thequality,specification,performanceandquantity/weight,andissuedacertificatecertifyingthatthegoodsareinconformitywiththestipulationsofthiscontract.Thecertificateshallformanintegralpartofthedocumentstothepayingbankfornegotiationofpaymentbutshallnotbeconsideredasfinalinrespectofquality,specification,performanceandquantity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturesmustbeshowninastatementwhichhastobeattachedtotheQualityCertificate.
检验:
制造商应在交货前,对货物的质量、规格、性能及数量和重量等进行准确和全面的检验,并依照本合同规定出具证书.这份证书应作为议付单据必须向银行提供,但不作为货物质量、规格、性能及数量和重量的最后依据。
制造商检验的细节和结果均应作出说明并做为质量证书的附件。
（2）AfterarrivalofthegoodsattheportofdestinationtheBuyersshallapplyforapreliminaryinspectiontoExitandEntryInspectionandQuarantineofP.R.China（EEIQ）inrespectofthequality,specificationsandquantity/weightofthegoodsandaSurveyReportshallbeissuedtherefor.IfdiscrepanciesarefoundbyboththeSellersandtheBuyersregardingqualityandspecificationsorthequantity/weight,exceptwhentheresponsibilitiesliewithinsurancecompanyorshippingcompany,theBuyersshall,within90daysafterarrivalofthegoodsattheportofdestination,havetherighttorejectthegoodsortoclaimagainsttheSellers.
货物到港后,买方应向中国出入境检验检疫局申请对货物的质量、规格及数量和重量进行初步检验并出具检验报告,如果买卖双方发现货物的质量、规格或数、重量有差异,除应由保险公司或船公司承担的责任外,买方应在货物到港后90天内拒绝接收货物或向卖方提出索赔。
（3）Shouldthequality,specificationsandquantity/weightofthegoodsbenotinconformitywiththeContract,orshould
thegoodsprovedefectivewithintheguaranteeperiodstipulatedinClause14foranyreason,includinglatentdefectortheuseofunsuitablematerials,theBuyersshallarrangeforasurveytobesignedbyboththeSellersandtheBuyers,oraCertificateissuedbyEEIQandhavetherighttoclaimagainsttheSellersonthestrengthoftheSurveyReportortheEEIQCertificate.
如果发现货物的质量、规格及数量和重量与合同规定不符,或货物在本合同第14条中规定的保质期内因任何原因被证实有缺陷,包括潜在缺陷或使用不良材料,买方应安排买卖双方调查出具调查报告,或由中国出入境检验检疫局出具检验证书。
买方有权凭此调查报告或检验证书向卖方索赔。
（4）TheSellershallberesponsiblefortheopen-boxfailure/shortshipment.Theopenboxfailure/shortshipmentshallbesupplementedtotheBuyeronDDPJinantheenduser’ssite.
如发生短装,由卖方负责补发。
补发货的价格条款为济南最终用户现场完税及各运杂费后交货。
16.CLAIMS:
Within90daysafterthearrivalofthegoodsatdestinationshouldthequality,specification,orquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbyExitandEntryInspectionandQuarantineofP.R.China（EEIQ）,havetherighttoclaimforreplacementwithnewgoods,orforcompensation,andalltheexpenses（suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandloadingandunloadingcharges,etc.）shallbebornebytheSellers.
Asregardsquality,theSellersshallguaranteethatif,within12monthsfromthedateonwhichthecommoditypassthefinalacceptancetest,damageoccurinthecourseofoperationbyreasonofinferiorquality,badworkmanshiportheuse
ofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbytheExitandEntryInspectionandQuarantineofP.R.China（EEIQ）.TheCertificate
