（x）anylienarisingorresultingfromanyactiontakenbyBuyer,AmscanoranyoftheirAffiliates,（xi）relatingtoimperfectionsordefectsintitlethatdonotmateriallyadverselyaffectthevalueoruseoftheapplicableassetintheconductoftheBusinessaspresentlyconducted,（xii）towhichBuyerconsentsinwriting,and（xiii）liensresultingfromtheprovisionsofgoverningLegalRequirementsofgeneralapplication.

meanswithrespecttotheBusiness,anychangein,oreffecton,theAcquiredAssetsthat,whenconsideredeithersinglyorintheaggregate,wouldresultinamaterialadverseeffectonthecondition（financialorotherwise）oroperationsoftheBusinesstakenasawhole,otherthananysuchchangesoreffectsresultingfrom（i）thisAgreement,compliancewiththisAgreement,thetransactionscontemplatedherebyortheannouncementorpendencythereof,includinganyadverseeffectresultingfromtheannouncementofthecontemplatedtransactiononanyrelationshipofSellerwithanysupplier,distributor,customer,vendor,licensororemployee,（ii）totheextentthatitdoesnothaveasubstantiallydisproportionateeffectontheBusiness,changesingeneraleconomicorpoliticalconditionsorthesecuritiesmarketsingeneral,（iii）changesin（a）inLegalRequirementsor（b）GAAPoritsapplication,and（iv）anyadversechange,effect,event,occurrence,stateoffactsordevelopmentarisingfromorrelatingtothecommencement,continuationorescalationofawar,armedhostilitiesorotherinternationalornationalcalamityoractofterrorismdirectlyorindirectlyinvolvingtheUnitedStatesofAmerica.
