投标人须知

A.General

一般条款

1.ScopeofBid1.1TheWorldHealthOrganization,hereinafter"the

Employer",wishestoreceivebidsfortheconstructionofa400BedHospitalatSuleimaniyehinNorthernIraq,hereinafterreferredtoas"theWorks",

招标范围1.1世界卫生组织，以下称为“雇主”，期望能收到修建伊拉克北部苏莱曼尼亚市400床位医院的投标书，以下简称为“本工程”

1.2ThesuccessfulbidderwillbeexpectedtocompletetheWorkswithintheperiodstatedintheAppendixtoBid.

1.2中标人需要在标书附页所规定的工期内完成本工程

1.3Throughoutthesebiddingdocuments,thetermsbidandtenderandtheirderivatives（bidder/tenderer,bid/tendered,bidding/tendering,etc.）aresynonymous,anddaymeanscalendarday.Singularalsomeansplural.

1.3在整个标书文件中，术语“投标”和“招标”以及他们的派生词（投标人/招标人，已投标/已招标，进行投标/进行招标）均为同义词，天是指日历天，单数也可以表示复数。

2.Qualification2.1Biddersshall,aspartoftheirbid,submitinaseparate

foldermarked“QualificationoftheBidder,thefollowingdocuments:

2.资质文件2.1作为标书的一部分，投标人应该单独提交装在标有“投标人资质”的文件袋里的下列资质文件：

（a）Awrittenpowerofattorneyauthorizingthesignatoryofthebidtocommitthebidder;

（1）一份授权标书签字人代理履行投标人义务的书面授权书。

（b）Thenameofthecompany,registeredaddress,description,dateestablished,yearsofexperienceascontractor,structureandorganization,detailsofthenumberoftechnical,administrativeandlabourresources,detailsofcontractor’sequipmentandfacilities;

（2）公司名称，注册地，公司介绍，成立日期，作为承包商有多少年的工程承包经验，公司结构和组织体系，技术人员，管理人员和劳动力资源等详细信息，承包商所拥有的设备及设施的详细情况；

（c）Registrationcertificatesandcertificatesofgoodstanding;

（3）公司注册证明文件和良好的信誉证明文件；

（d）Statementconfirmingcurrentownership,directorsandauthorizedexecutives;

（4）确认当前公司所有权，经理和经授权的执行经理（项目经理）的申明书；

（e）Auditedaccountsforthelast3years;

（5）最近3年来的审核账目；

（f）Bankstatementconfirmingfinancialstanding,accesstolinesofcreditandavailabilityofotherfinancialresources;用于证明公司财务状况的银行对账单，获得信用贷款的最高额度以及所拥有的其他金融资源。

（g）Experiencerecordincludingrelevantprojectscompleted（nameofproject,location,employer,projectvalue,yearstarted,yearcompleted）;

（7）包括已竣工的类似工程在内的业绩证明（项目名称，地点，雇主，项目造价，开工年份，竣工日期）

（h）Listofallprojectsinprogressincludingname,location,employer,value,yearstatedandexpectedcompletiondate.

（8）所有在建项目清单，包括项目名称，地点，雇主，造价，开工年份和预期的竣工日期。

AllabovedocumentsshallbeinEnglishor,wheretheoriginaldocumentisinanyotherlanguage,itshallbeaccompaniedbyanyofficialEnglishtranslation.

以上所有文件应以英语书写或者，若原始文件使用其他任何一种语言，这些文件应附上正式的英语翻译。

2.2Bidssubmittedbyajointventureoftwoormorefirmsaspartnersshallcomplywiththefollowingrequirements:

2.2由两个公司或两个以上合作伙伴公司组成的联合体提的标书应满足下列要求。

（a）ThebidshallincludealltheinformationlistedinSub-Clause2.1above;

（1）标书应包含上述2.1条所提及的所有内容。

（b）Thebidand,incaseofasuccessfulbid,theAgreement,shallbesignedsoastobelegallybindingonallpartners;

（2）若联合体中标，则所签署的标书和协议对所有合伙公司都具有法律约束力；

（c）Oneofthepartnersshallbenominatedasbeingincharge,andthisauthorizationshallbeevidencedbysubmittingapowerofattorneysignedbylegallyauthorizedsignatoriesofallthepartners;

（3）应提名合伙公司其中之一作为主承包商，同时应通过提交所有合作伙伴法定授权签字人签字的授权书来证明这种授权委托关系；

（d）Thepartnerinchargeshallbeauthorizedtoincurliabilitiesandreceiveinstructionsforandonbehalfofanyandallpartnersofthejointventureandtheentireexecutionofthecontract,includingpayment,shallbedoneexclusivelywiththepartnerincharge;

（4）所有合伙公司应授权这个主管公司代表联合体内的任意或所有公司承担责任或接受指令，并且只能由该主管公司来执行包括支取工程款在内的整个合同内容；

（e）Allpartnersofthejointventureshallbeliablejointlyandseverallyfortheexecutionofthecontractinaccordancewiththecontractterms,andastatementtothiseffectshallbeincludedintheauthorizationmentionedunder（c）above,aswellasinthebidandintheAgreement（incaseofasuccessfulbid）;and

（5）联合体内的所有合伙公司都对依照合同条款来执行合同负有连带责任，对于此项连带责任的申明应在上文（c）款中提及的授权书中写明，也应在投标书和协议书中写明此项责任（如果中标的话）

（f）Acopyoftheagreemententeredintobythejointventurepartnersshallbesubmittedwiththebid.

（6）联合体合作伙伴之间签订的协议书副本应与投标书一起提交

3.OneBidper3.1Eachbiddershallsubmitonlyonebideitherby

Bidderhimself,orasapartnerinajointventure.Abidderwho

submitsorparticipatesinmorethanonebidwillbedisqualified.

3.一人一标3.1不论是单独投标还是作为联合体合伙人投标，每个投标人只能提交一份标书。

若投标人提交多份或参与多份标书投标，将取消其竞标资格。

4.Costof4.1Thebiddershallbearallcostsassociatedwiththe

Biddingpreparationandsubmissionofitsbid,andtheEmployerwillinnocaseberesponsibleorliableforthosecosts,regardlessoftheconductoroutcomeofthebiddingprocess.

4.中标价4.1不管投标过程如何操作以及投标结果如何，投标人应承担所有编制和提交标书的相关费用，业主没有责任和义务来承担这些费用

5.SiteVisit5.1ThebidderisadvisedtovisitandexaminetheSite

ofWorksanditssurroundingsandobtainforitselfonitsownresponsibilityallinformationthatmaybenecessaryforpreparingthebidandenteringintoacontractforconstructionoftheWorks.ThecostsofvisitingtheSiteshallbeatthebidder'sownexpense.

5．实地考察5.1建议投标人对拟建场地及其周边环境进行实地考察，为自己获取可能对编制投标文件和签订施工合同所必须的所有现场数据，并对这些数据负责。

现场考察费用应由投标人自己承担。

5.2Thebidderandanyofitspersonneloragentswillbe

grantedpermissionbytheEmployertoenteruponthesiteforthepurposeofsuchvisit,butonlyupontheexpressconditionthatthebidder,itspersonnel,andagents,willreleaseandindemnifytheEmployeranditspersonnelandagentsfromandagainstallliabilityinrespectthereof,andwillberesponsiblefordeathorpersonalinjury,lossofordamagetoproperty,andanyotherloss,damage,costs,andexpensesincurredasaresultoftheinspection.

5.2投标人和其任何人员或代理人在获得业主许可后方能进入拟建场地进行考察。

但投标人，及其成员，和代理人应明确将减轻和免除业主及其成员和代理人的所有法律责任，以及对因考察引起的死亡，人身伤害，财产的丢失与损坏及其他损失，以及进行考察所发生的费用等自行承担责任。

5.3TheEmployermayconductaSitevisitconcurrentlywithanypre-bidmeetingthatmaybecalledforbytheEmployer.

5.3业主在安排现场考察的同时，也可能会召集任何一次标前会议

6.Contentof6.1Thebiddingdocumentsarethosestatedbelow,and

7.Clarificationof7.1Aprospectivebidderrequiringanyclarificationofthe

BiddingDocumentsbiddingdocumentsmaynotifytheEngineerinwritingorbyfacsimile）attheEngineer’saddress.TheEngineerwillrespondtoanyrequestforclarificationwhichhereceivesearlierthan28dayspriortothedeadlineforsubmissionofbids.CopiesoftheEngineer'sresponsewillbeforwardedtoallbidders,includingadescriptionoftheinquirybutwithoutidentifyingitssource.

7.招标文件说明7.1任何要求对招标文件进行澄清的潜在投标人,应按工程师的联系地址，以书面或以传真的方式通知工程师。

工程师将对截标日期前28天收到的任何要求澄清的请求予以回复，工程师回复的副本将转发给所有投标人，其中包含对所提要求澄清问题的描述，但不标明其出处。

8.Amendment8.1Atanytimepriortothedeadlineforsubmissionofbids,

ofBiddingtheEmployermayamendthebiddingdocumentsby

DocumentsissuingAddenda.

8.修订招标文件8.1在提交标书截止前的任何时间内，业主都可能对招标文件作出修改，并通过补遗书的形式予以发布

8.2AnyAddendumthusissuedshallbepartofthebiddingdocuments,andshallbecommunicatedinwritingtoallbidders.ProspectivebiddersshallpromptlyacknowledgereceiptofeachAddenduminwritingtotheEmployer.

8.2因此开具的任何附录都应属于招标文件的一部分，并且应以书面形式告知所有的投标人。

预期的投标人在收到附录时应及时以书面的形式告知雇主。

8.3TogiveprospectivebiddersreasonabletimeinwhichtotakeanAddendumintoaccountinpreparingtheirbids,theEmployershallextendasnecessarythedeadlineforsubmissionofbids,andnotifyallbidders.

8.3业主应该给予预期的投标人合理的时间把补遗资料增编进投标书中，如果有必要，适当延后截标日期并通知所有投标人。

C.PreparationofBids

C．标书编制

9.LanguageofBid9.1Thebid,andallcorrespondenceanddocumentsrelated

tothebidexchangedbythebidderandtheEmployershallbewritteninEnglish.Supportingdocumentsandprintedliteraturefurnishedbythebiddermaybeinanotherlanguageprovidedtheyareaccompaniedbyanaccuratetranslationoftherelevantpassagesintheabovestatedlanguage,inwhichcase,forpurposesofinterpretationofthebid,thetranslationshallprevail.

9.标书语言标书，以及所有投标人与雇主传递的与标书有关的任何信件和文件都应用英语书写。

投标人的相关文件和已出版书籍可以用其他语言可供他们将上述相关文章精确地翻译成他们熟悉的语言，在这种情况下，因为要翻译标书，翻译应该准确。

10.Documents10.1Thebidsubmittedbythebiddershallcomprisethe

Comprisingfollowing:

dulyfilled-inFormofTenderandAppendix

theBidtoBid,BidSecurity,pricedBillofQuantities,alternativeofferswhereinvited,andanyinformationorothermaterialsrequiredtobecompletedandsubmittedbybiddersinaccordancewiththeseInstructionstoBidders.

10.标书的文件构成10.1投标人提交的标书应包含以下文件：

正确的标书和标书附录的格式，标书保函，清单工程报价，要求的相关文件，要求投标人根据投标指导完成并提交其他的信息和材料。

10.2Inaddition,theBidsubmissionshallinclude:
