EMPLOYMENTCONTRACT
THISEMPLOYMENTCONTRACT(theContract)ismadeonDate

Itisagreedasfollows:
1.Definitions
InthisContractthefollowingexpressionshavethefollowingmeanings:
AffiliatemeansanysubsidiaryorparentoftheCompanyandanysubsidiaryofanysuchparent;
BaseSalaryhasthemeaninggiventoitbyclause5.2;
BoardmeanstheboardofdirectorsoftheCompanyoradulyconstitutedcommitteeoftheboardofdirectors;
BusinessConductGuidelinesmeansthebusinessconductguidelinesoftheCompany,assignedbytheEmployeeonanannualbasis;
CompanyRulesandPoliciesmeantheCompany’sinternalrulesandpoliciesasannouncedfromtimetotime;
EmploymentmeanstheEmployee’semploymentinaccordancewiththetermsandconditionsofthisContract;
GroupCompanymeanstheCompanyandanyAffiliateoftheCompany;
HousingFundmeansahousingfundestablishedpursuanttothe1996ShanghaiRegulationsonHousingFunds,andthe2002RegulationsontheAdministrationofHousingFundsissuedbytheStateCouncil;
PRCmeansthePeople’sRepublicofChina;
ProbationaryPeriodmeansathree(3)monthperiodcommencingonthedateoffulltimeemploymentunderthisContract;
SocialInsurancemeanssocialinsuranceestablishedinaccordancewithPRClawinrespectofpensions,medicaltreatment,unemployment,maternityandwork-relatedinjuries;
TerminationDateshallmeanthedateoftheterminationofEmploymenthowsoevercaused;
WorkingHourshasthemeaninggiventoitbyclause4.2.
2.TermandJobDescription
TheEmployeewillbeemployedbytheCompanyasPosition,reportingtotheSupervisor’sPosition.TheEmployee’sdutieswillbedeterminedbytheCompanyfromtimetotimeinaccordancewiththeneedsoftheCompany.
EmploymentisconditionaluponthesatisfactorycompletionofamedicalexaminationbyadoctornominatedbytheCompany.
SubjecttothetermsofthisContract,theEmploymentisforafixedtermofone
(1)yearcommencingontheStartDate.Afterthecompletionoftheinitialterm,ifbothpartiesagreeinwritingtoextendtheEmployment,theEmploymentwillbeextendedforafurtherperiodofone
(1)year.
3.ProbationaryPeriod
TheEmployeewillberequiredtosatisfactorilycompletetheProbationaryPeriod.
TheCompanymayterminateEmploymentatanytimeduringtheProbationaryPeriodiftheEmployee’sperformanceisnotsatisfactory,subjecttopaymentoftheEmployee’searnedsalaryattheProbationaryPeriodsalaryrate,assetforthinclause5.1,ascompensationfordismissal.
4.Duties
DuringEmployment,theEmployeewill:
complywithallCompanyRulesandPolicies;
complywiththeBusinessConductGuidelines;
diligentlyperformallsuchdutiesandexerciseallsuchpowersasassignedtotheEmployeefromtimetotimebythesupervisors;
complywithalldirectionsgiventotheEmployeebythesupervisors;
devotethewholeofhistime,attentionandabilitiesduringhisWorkingHoursandanyovertimeworkperiodtotheperformanceofhisEmploymentduties.
TheEmployee’sworkinghours(theWorkingHours)willbetheCompany’snormalworkinghourswhichcommenceat8:
30amandfinishat5:
30pmwithone
(1)hourlunchbreakbetween12.00pmand1.00pm,fromMondaytoFriday.SubjecttoapplicablelawsandregulationsandovertimepayinaccordancewiththeCompanyRulesandPolicies,theCompanymayrequiretheEmployeetoworkoutsidetheWorkingHoursifsuchworkbecomesnecessaryduetotheCompany’sbusinessrequirements.
TheEmployee’snormalplaceofworkisChinaInsuranceBuilding,No.166LujiazuiDongRoad,Shanghai,PRCintheCompanyofficesinRooms1108-1110..
TheEmployeeagreestotravel(bothwithinandoutsidethePRC)asmayberequiredfortheproperperformanceofhisEmploymentduties.
5.SalaryandConsiderationforPost-TerminationCovenants
TheEmployee’sbasesalaryduringtheProbationaryPeriodwillbeSalaryRenminbipermonth.Inaddition,theEmployeewillreceive____ RenminbipermonthasconsiderationfortheEmployee’scompliancewiththepost-terminationcovenantssetforthinclause17.
AftertheProbationaryPeriodhasbeencompleted,theEmployee’sinitialbasesalarywillbeSalaryRenminbipermonth(BaseSalary).Inaddition,theEmployeewillreceive_____RenminbipermonthasconsiderationfortheEmployee’scompliancewiththepost-terminationcovenantssetforthinclause17.
InadditiontotheBaseSalary,theCompanyshallpayanannualthirteenmonthsalaryinDecemberofeachyear(theThirteenthMonthSalary).IfatthetimeofpaymentoftheThirteenthMonthSalarytheEmployee’sservicetotheCompanyislessthanoneyear,thentheThirteenthMonthSalaryshallbepaidpro-rata,basedonthenumberofmonthsactuallyworked.
TheEmployee’ssalarywillbereviewedannuallyduringEmployment,withthefirstreviewtotakeplaceduringDate.TheCompanyisundernoobligationtoincreaseormaintaintheEmployee’ssalaryfollowingasalaryreview.
TheEmployee’ssalarywillaccrueonadailybasis,andwillbepayableinarrearsonthelastbusinessdayofeachmonth.
6.TaxandSocialInsuranceContributions
TheEmployee’sBaseSalaryandotherremunerationwillbepaidtotheEmployeedirectly,lessanyamountlegallyrequiredtobewithheldbytheCompanyasindividualincometax,SocialInsurancepremiums,andHousingFundcontributionsinaccordancewithapplicablePRClawsandregulations.
TheCompanywillretainorpaytotherelevantgovernmentauthorityorotherauthorisedentityallamountsinrespectofSocialInsuranceandtheHousingFundinaccordancewithapplicablePRClawsandregulations.
Notwithstandingclauses6.1and6.2,theEmployeewillhavesoleresponsibilitytopayanyindividualincometaxandanyotherchargeswhatsoever,includingSocialInsurancepremiumsandHousingFundcontributions,imposedunderPRClawonanyportionoralloftheremunerationpaidtotheEmployeebytheCompany,insofarassuchamountsarenotwithheldorpaidbytheCompanypursuanttoclauses6.1and6.2.
7.LaborProtectionandWorkingConditions
TheCompanywillprovidetheEmployeeacleanandsafeworkenvironment.
8.Benefits
TheEmployeewillbeentitledtothebenefitsassetforthinAppendix
1.
9.Holiday
AftertheProbationPeriodhasbeencompleted,inadditiontoSaturdays,SundaysandPRCnationalholidays,theEmployeeisalsoentitledto:
paidholidaytobetakenatatimeortimesconvenienttotheCompany,foramaximumof10businessdaysafter12monthsofconsecutiveemploymentwiththeCompany,
paidstatutorymaternityleaveofninety(90)days,plusanyperiodsinadditiontoninety(90)daysthattheEmployeeisentitledtounderrelevantlawsandregulations,
paidleavefortheEmployee’sweddingforamaximumof(10)days,and
paidleaveforfuneralsofclosefamilymembersoftheEmployeeforamaximumof(3)days,
inaccordancewiththeCompanyRulesandPolicies.
Unusedpaidholidayentitlementmaynotbecarriedtoafuturecalendaryear.Subjecttoclause
9.3,theEmployeehasnoentitlementtobepaidinlieuofaccruedbutunusedholidays.
UponterminationofEmployment,theEmployee’sentitlementtoaccruedpaidholidayshallbecalculatedonaproratabasis(whichcalculationshallbemadeonthebasisthateachdayofpaidholidayisequivalenttoonethirtieth(1/30)oftheEmployee’sBaseSalary).IftheEmployeehastakenmorepaidholidaythanhisaccruedentitlement,theCompanyisauthorisedtodeducttheappropriateamountfromhisfinalsalaryinstalment(whichdeductionshallbemadeonthebasisthateachdayofpaidholidayisequivalenttoonethirtieth(1/30)oftheEmployee’sBaseSalary).
10.SicknessandOtherIncapacity
SubjecttotheEmployee’scompliancewiththeCompanyRulesandPoliciesonnotificationandcertificationofperiodsofabsencefromwork,theEmployeewillbepaidstatutorymedicaltreatmentleavepayinaccordancewithapplicablelegislationeffectiveatthetimeofabsence.
TheEmployeewillnotbepaidduringanyperiodofabsencefromwork(otherthaninaccordancewithclauses
9.1and10.1)withoutpriorpermissionfromtheCompany.
TheEmployeeagreesthathewillundergoamedicalexaminationbyadoctorappointedbytheCompanyatanytime(providedthatthecostsofallsuchexaminationsarepaidbytheCompany).TheCompanywillbeentitledtoreceiveacopyofanyreportproducedinconnectionwithallsuchexaminationsandtodiscussthecontentsofthereportwiththedoctorwhoproducedit.
11.OtherInterests
DuringEmploymenttheEmployeemaynotbeemployedbyanyotheremployerandmaynotbedirectlyorindirectlyengaged,concernedorinterestedinanyotherbusinessactivity,tradeoroccupation.
12.IntellectualProperty
ItshallbepartoftheEmployee’snormaldutiesorotherdutiesspecificallyassignedtotheEmployeeatalltimes(whetherornotduringnormalWorkingHoursandwhetherornotperformedattheEmployee’snormalpl
