　　1.兹确认售予你方以下货品，其成交条款如下：

qualityrequirements:

　　a）货品必须符合出口质量并具有良好的根组层。

　　a）goodsmustbeofexportqualitywithgoodrootingsystem.

　　b）被切断根的货品不能接受。

　　c）货品必须无病害，无杂草，无草籽。

　　c）goodsmustbefreeofdiseases，weedsorseedsofweeds.

　　d）货品必须无沙粒，无土壤。

　　e）未经买方允许不能对货品进行任何形式的消毒处理。

　　e）anykindofdisinfectionofanygoodswillnotbeallowedpriortoapprovalfromthebuyer.

　　f）货品必须根据其品种、颜色和规格分门别类地包装，最多可以接受2%的差异。

到达目的地后，皇家种球交易者协会的官方代表即种球检验的官方机构将从每批货品中采取样品，样品将被封存，然后在皇家种球交易者协会的官方实验花园培植。

开花后，皇家种球交易者协会将向买方提供官方报告。

如果报告得出在品种、颜色、规格方面差异高于2%的结论，买方有权对差异高于2%部分的全部成本进行索赔，包括到荷兰的运费及一切费用。

f）goodsmustbesegregatedandpackedaccordingtovarietiesandcoloursandsizes.amaximumof2%discrepancyisallowed.afterarrivalatdestination，theofficialagentofr.g.a.b.（royalgeneralassociationforbulbstraders）whichistheofficialinstituteforbulbsinspectionswilltakesamplesfromeachstock.thesampleswillbesealedandplantedintheofficialtestgardenofther.g.a.b.afterflowering，ther.g.a.b.willsendanofficialreporttothebuyer.ifsuchreportconcludemorethan2%discrepancyinthevarieties，coloursand/orsizes，thebuyerreservestherighttoclaimthetotalcostsonwhichdiscrepancyarises，includingthefreightandallothercoststoholland.

　　g）运往荷兰的所有货品必须为多年生宿根草本芍药种类。

　　g）allvarietiestobedeliveredmustbelongtothefamilyoflactiflorapaeonies.

　　6.包装:

货品必须储存于一个塑料袋中，然后装在单个的塑料周转箱中。

塑料周转箱规格为40x60x23cm或买方认可的其他规格。

为了保证质量，塑料袋由买方提供.

　　卖方应向买方提供如下单据:

　　b）4份商业发票commercialinvoicein4copies

　　c）2份装箱单packinglistsin2copies

　　d）1份产地证明原件certificateoforigininoriginal

　　e）1份植检证明书原件quarantinecertificateinoriginal.

　　10.装运要求：

loadingrequirment：

　　装运前必须将装好货的周转箱放在1*c的冷库中冷却，当周转箱中的温度降为1*c时，将货物直接从冷库中装入集装箱。

货物不能枯干，并须保持正常湿度。

集装箱一定要保持0*c。

每一集装箱内一定有二个量温计（前面半部一个，后面半部一个）注意：

若用40尺集装箱就应用3个量温计（前、中、后各一个）

　　11.装运通知：

loadingnotification：

　　每次货物装船后，卖方应在五个工作日内将合同号及第9条款中规定的所有文件以传真通知买方。

　　aftereachloadingiscompleted，thesellershallinformthebuyer，viafaxwithin5workingdaysafterloading，thecontractno.andcopiesofallthedocumentsunderitem9.

　　12.付款条件:

　　13.因人力不可抗拒事故，使卖方不可能在本合同规定期限内交货或不能交货卖方不负责任，但卖方必须立即以传真通知买方。

如果买方提出要求，卖方应用挂号函向买方提供由官方机构出具的正式证明，证明事故的存在。

一旦买方接受不可抗力之因素，卖方须在7个工作日内将全部预付款返还买方。

　　14.与合同或执行合同有关的分岐双方应通过友好协商解决，如最终不能达成协议，应提交北京中国国际经济贸易委员会促裁，根据中国国际经济贸易仲裁委员会的仲裁程序进行仲裁，仲裁裁决是终审裁决，对双方都有约束力。

　　15.如果卖方未能按合同规定期限装运全部或部分货物，除非有不可抗力因素或经买方同意后对合同进行了修改，买方有权取消在合同规定的装运期限到期后十天内仍未装运的那部分的货物。

收到货物后如发现在质量、数量上有任何与合同不符之处，买方应在五个工作日内向卖方提出索赔要求并须附上清晰证据。
