索赔条款：

discrepancyandclaim

anyclaimbythebuyersregardingthecargoshallbesupportedbysurveyreportissuedbyasurveyorapprovedbythesellerandlodgedwithin45daysafterthearrivalofthecargoattheportofdestinaton.thesellerwillnotconsiderclaimsinrespectofmatterswithinresponsibilityofinsurancecompanyorshippingcompany.

shouldthesellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditonthattheselleragreesofpayapenaltywhichshallbedeductedbythepayingbankatthetimeofpayment.therateofpenaltyischargedat0.5%ofthetotalvalueofthecargowhosedeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbecountedasaweek.butthetotalamountofpenaltyshallnotexceed5%ofthetotalvalueofthecargoinvolvedinthelatedelivery.incasethesellerfailotmakedelivery10weekslaterthanthetimeofshipmentstipulatedonthecontract,thebuyershallhavbetherighttocancelthecontractandthesellershallstillpaytheaforesaidpenaltytothebuerwithoutdelay.

quality/quantitydiscrepancyandclaim:

incasethequalityand/orquantity/weightarefoundthebuyerstobenotinconformitywiththecontractafterarrivalofthegoodsattheportofdestination,thebuyersmaylodgeclaimwiththesellerssupportedbysurveyreportissuedbyaninspectionorganizaitonagreeduponbybothparties,withtheexception,however,ofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.claimforqualitydiscrepancyshouldbefiledbythebuyerswithin30daysafterarrivalofthegoodsattheportofdestination,whileforquantity/weightdiscrepancyclaimshouldbefiledbythebuyerswithin15daysafterarrivalofthegoodsatportofdestination.thesellersshall,within30daysafterreceiptofthenotificationoftheclaim,aendreplytothebuyers.索赔期限：

综合式不可抗力条款：

thesellershallnotbeheldresponsibleforlatedeliveryornon—deliveryofthegoodsduetoflood,fire,earthquake,snowstorm,drought,hailstorm,hurricane,orothereventsthatarebeyondthecontroloftheseller.butthesellershallnotifythebuyerbycabelassoonaspossibleandgivethebuyeracertificateby6registeredmailissueddbythechinacouncilforthepromotionofinternationaltradeorothercompetentauthorities.

ifshipmentofthecontractedgoodsispreventedordelayedinwholeorinpartduetoforcemajeure,thesellersshallnotbeliablefornon—shipmentorlateshipmentofthegoodsunderthiscontract.however,thesellershallnotifythebuyersbyfaxortelexandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythecompetentauthoritiesattheplaceofoccurrenceattestingsucheventorevents.

仲裁条款：

arbitration

规定在我国仲裁的条款：

alldisputesinconnectionwithorarisingfromthecontractshallbesettledamicablythroughnegotiation.incasenosettlementcanbereachedbetweenthetwoparties,thecaseshallbesubmittedtothechinaintermationaleconomicandtradearbitrationcommission,beijingforarbitraitoninaccordancewithitsrulesofarbitration.thearbitralawardisfinalandbindinguponbothparties.thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythearbitrationcourt.

规定在被诉方仲裁的条款：
