本意向书仅列明双方对意向中的房屋租赁协议条款和条件的初步意见,并不具有法律上的约
束力。
本意向书和任何确定文件中叙述的条款和条件均须经沃尔玛百货有限公司(沃尔玛总
部)房产委员会审阅并得到其批准。
ThisLetterofIntentsetsforthonlythepreliminaryviewsofbothPartiestowardsthetermsandconditionsoftheproposedPremisesLeaseAgreementandislegallynon-binding.ThetermsandconditionsoutlinedinthisLetterofIntentandanydefinitivedocumentsshallbesubjecttothereviewandfinalapprovaloftheRealEstateCommitteeofWal-MartStoresIncorporation(homeofficeofWAL-MART).
(a)租用面积LeasedArea
如本意向书附件二所示,房屋内沃尔玛的租用面积总计为______平方米(______M2)(“租用面积”),其中_______的租用面积为___平方米(M2)的租用面积为平方米(M2),______的租用面积为_____平方米(_____M2)。
房屋的租金应根据租用面积计算
(a)TheoverallarealeasedbyWAL-MARTwithinthePremises,asshowninExhibitIIofthisLetterofIntent,is________squaremeters(______M2)(the“LeasedArea”),with_______squaremeters(______M2)onthe_____Floor,________squaremeters(____M2)______andEightThousandandFiveHundred(_____M2)squaremetersinthe______Floor.TheRentforthePremisesshallbecalculatedonthebasisoftheLeasedArea.
若遇本款项下的描述与本意向书附件二的内容不一致,租用面积以附件二的内容为准。
双方同意,若业主需对本意向书附件一、附件二所示内容进行任何修改,须于租赁协议签署之日起三十(30)日内书面告知沃尔玛,并在取得沃尔玛书面同意后方可实施。
若修改后的租用面积与本意向书附件一、附件二所示的租用面积存有差异,且面积误差比不超过正负百分之三(±
3%)时,沃尔玛应根据修改后的租用面积向业主支付租金。
若面积误差比超过正负百分之三(±
3%)时,沃尔玛享有同意或拒绝的选择权。
如果沃尔玛同意,则租金应按修改后的租用面积计算。
如果沃尔玛拒绝,如面积误差比超出正百分之三(+3%),超出部分的房屋租用面积由沃尔玛无偿使用;
如面积误差比超出负百分之三(-3%),不足部分的房屋租用面积沃尔玛无需支付租金,业主还应按不足部分原沃尔玛应付租金的标准双倍向乙方支付补偿金,沃尔玛有权从应付租金中相应扣除。
IntheeventofanyinconsistencybetweenthedescriptionhereofandthespecificationsshowninExhibitII,thespecificationswithrespecttotheLeasedAreaasshowninExhibitIIshallprevail.
BothPartiesagree,intheeventthatLANDLORDintendstoadjustanyofthecontentscontainedinExhibitIandExhibitIIofthisLetterofIntent,LANDLORDmustnotifyWAL-MARTinwritingofsuchintentionwithinthirty(30)daysfromtheexecutionoftheLeaseAgreementandshallnotmakeanyadjustmentwithoutWAL-MART’swrittenconsent.InthecasetherearedifferencesbetweentheadjustedleasedareaandtheLeasedAreaasshowninExhibitIandExhibitIIhereof,andthevarianceisnomorethan±
3%,WAL-MARTshallpayLANDLORDtheRentaccordingtotheadjustedleasedarea.Intheeventthattheaforesaidvariancesurpasses±
3%,WALMARThasthediscretiontoacceptorrejectsuchvariance.IfWAL-MARTagreestoacceptthevariance,theRentshallbecomputedaccordingtotheadjustedleasedarea.IfWALMART
rejectsthevariance,inthecasethatthevarianceexceeds+3%,WAL-MARThastherighttousetheextraareaforfree;
inthecasethatthevarianceislessthan–3%,WALMARTisnotobligatedtopayRentfortheactualshortageareaandLANDLORDmustontheotherhandcompensateWAL-MARTfortheshortageareaonanamountequaltothedoubleoftheoriginallyagreedRentandWALMARThastheoptiontosetofftheabovecompensationfromthefutureRent.
(b)免租期Rent-freePeriod
(b)免租期的四个月,授予沃尔玛免费施工租期;
和,2)自房屋内沃尔玛购物广场开业日起,业主另授予沃尔玛二
(2)个月的免租期(合称“免租期”)。
LANDLORDagrees,1)nottochargeWALMARTanyRentfour(4)monthsfromthedaywhenWAL-MARTconductsitsconstructionworkwithinthePremisesuponLANDLORD’ssatisfyingthecriteriasetforthinExhibitIVofthisLetterofIntenttotheGrandOpeningDayofWal-MART’sSupercenterwithinthePremises;
and,2)tograntWAL-MARTanadditionalrent-freeperiodoftwo
(2)monthscommencingfromtheGrandOpeningDayofWAL-MART’sSupercenterwithinthePremises(collectivelyrefereedasto“RentFreePeriod”).
(c)租期Term
初始租期为十五(15)年,自免租期届满日开始计算。
沃尔玛可单方面酌情行使续约权三(3)次,每次续约期的最长期限为五(5)年。
TheInitialLeaseTermshallbefifteen(15)yearsbeginningontheexpirationdateoftheRentFreePeriod.WAL-MARTshallbegrantedtheoption,exercisableatitssolediscretion,torenewtheleasetermforthree(3)consecutiveperiodsofuptofive(5)yearseach.
(d)租金Rent
房屋的租金已包括租金、管理费(备注:
管理费为租用面积每月每平方米人民币两元[RMB2.00])、空调系统及其它设施使用费以及依照中国法律应由业主承担的房屋所涉及的任何其它费用和支出。
沃尔玛承租范围内的水费(包括空调用水)、电费(包括空调用电)、气费,按沃尔玛实际用量,单独计量,由沃尔玛自行向相关公用事业。
TheRentforthePremisesincludesrental,managementfees(Note:
managementfeefortheLeasedAreashallbeRMB2.00persquaremeterpermonth),chargesforuseofair-conditioningsystemandotherutilities,andanyothercostsandexpensesrelatedtothePremisesthatshallbebornebytheLANDLORDunderthelawsofChina.
Chargesforwater(includingwaterforA/C),electricity(includingelectricityforA/C)andgasconsumedbyWAL-MARTwithintheleasedareashallbeseparatelycalculatedanddirectlypaidtorelevantpublicutilityauthoritiesbyWAL-MARTuponitsactualconsumption.
(e)QualityandDelivery质量和交付
业主建造的房屋应符合有关政府管理部门规定的国家质量标准,同时还应符合沃尔玛提供的设计规格并经有关房地产管理部门验收合格后移交给沃尔玛。
ThePremisesshallbeconstructedincompliancewiththenationalqualitystandardstipulatedbyrelevantgovernmentalauthorityaswellaswiththeconstructiondesignandspecificationsprovidedbyWAL-MARTandshallbedeliveredtoWAL-MARTwiththeofficialapprovalsofcompetentgovernmentaldepartmentinchargeofrealty.
(f)停车区ParkingArea
业主应在本意向书附件一所示位置向沃尔玛及其员工提供最少三百(300)个免费停车位,在租期内,业主不得就其提供的停车区向沃尔玛及沃尔玛员工收取任何费用。
沃尔玛顾客可以凭当日沃尔玛购物广场的购物小票在沃尔玛购物广场的营业时间内免费停车二
(2)小时。
若停车时间超过二
(2)小时,业主有权按物价部门核准的收费标准向沃尔玛顾客收取停车费用。
LANDLORDshallprovideaminimumofthreehundred(300)carparkspacesfreeofchargeforWAL-MARTasspecifiedinExhibitI.DuringtheTerm,WAL-MARTanditsemployeesshallnotbeleviedanyfeebytheLANDLORDforusingoftheParkingArea.WAL-MART’scustomersshallhavetherighttoparkfortwo
(2)hoursfreeofchargeuponpresentingtheshoppingreceiptofWALMART’sSupercenterofthesamedayduringbusinesshourofWAL-MART’sSupercenter.Iftheparkingtimesurpassestwo
(2)hours,LANDLORDshallhavetherighttochargethecustomersaccordingtothestandardapprovedbypriceadministrativeauthorityinChangzhouMunicipality.
(g)税费Taxes
业主负责支付与房屋及将来签署的租赁协议有关的所有税收(包括房产税)和政府费用。
沃尔
玛只需支付与其经营活动有关的税费。
TheLANDLORDisliableforalltaxes,includingpropertytax,andgovernmentfeesrelatedtoorarisingoutofthethePremisesandtheLeaseAgreementtobesigned.WAL-MARTshallberesponsibleonlyfortaxesrelatedtoitsbusinessactivities.
(h)分租Sub-leasing
在沃尔玛品牌经营的前提下,经书面通知业主,沃尔玛有权无需征得业主同意而将部分或
全部房屋分租或转租。
分租户或受转租人在遵守租赁协议约定下可将房屋用于合法的经营用
途。
租赁协议项下的权利和义务仍由沃尔玛和业主继续享有和承担。
UponwrittennotificationtoLANDLORD,WAL-MARThastheabsoluterighttosubleaseorassignupto100%ofthePremiseswithouttheLANDLORD’sapproval,however,thatthebusinessshallstillbeconductedunderthebrandofWal-Mart.Thesub-lesseeorassigneecanusethePremisesforlawfulpurposeonthepre-conditionofcomplyingwiththeLeaseAgreement.TherightsandobligationsundertheLeaseAgreementshallbedirectlyenjoyedandbornebyWAL-MARTandLANDLORD.
(i)保密信息ConfidentialInformation
ThereisnorequirementforWAL-MARTtoprovidesalesinformationorotherconfidentialandproprietaryinformationtotheLANDLORD.
(j)竞争信息CompetitionInformation
业主承诺在房屋和大厦内无其它与沃尔玛购物广场、山姆会员商店或沃尔玛小区店形式相同
或相似且营业面积在一千平方米(1,000M2)或以上的商场或沃尔玛的直接或间接竞争者。
LANDLORDshallwarrantthatthereshallaboveandbeingidenticalorsimilarinthebenootherstoreswithbusinessareaofOneThousandsquaremeters(1,000M2)orformattoWal-MartsSupercenter,Sam’smember’scCluborWal-MartnNeighborhoodMmarket,norbusinessoperatorsbeingdirectlyorindirectlyincompetitionwiththebusinessofWALMARTwithintheBuilding.
(k)RighttoTerminate
自第六(6)个租约年起,沃尔玛有权以任何理由提前两
(2)个月以书面形式通知业主终止租
赁协议,沃尔玛无需为此承担任何责任。
如自租赁协议签订之日起四(4)个月内,若沃尔玛或其合资方无法从工商行政管理局取得在该房屋内从事经营活动的营业执照,沃尔玛有权在书面通知业主后立即解除租赁协议而无需为此承担任何责任。
FromLeaseYearSix(6),WAL-MARTshallhavetherighttoterminatetheLeaseAgreementwithoutanyliabilitiesforanyreason(s)upongivingtwo
(2)months’priorwrittennoticetotheLANDLORD.
IntheeventthatWAL-MARTand/oritsjointventurepartnerfailstoobtainthebusinesslicenseforitsoperationwithinthePremisesfromtheIndustrialandCommercialBureauofwithinFour(4)monthsfromthedateofexecutionoftheLeaseAgreement,WAL-MARTshallhavetherighttoterminatetheLeaseAgreementimmediatelywithoutanyliabilityupongivingawrittennoticetotheLANDLORD.
(l)标志牌Signage
经当地政府有关部门同意后,沃尔玛可在房屋或大厦上经双方共同确认的位置树立沃尔玛、
山姆会员商店或其它商标的标志牌。
房屋或大厦上至少可有四(4)个免费标牌供沃尔玛使用
和两
(2)个免费标牌供沃尔玛的分租户使用。
WAL-MARThastherighttoerectanyWal-Mart,Sam’sCluborothertrademarksignageatthelocationagreedbybothPartiesoutsidethePremisesorBuildingandupontheapprovalbytheproperlocalgovernmentauthorities.Thereshallbeaminimumoffour(4)pylonsignsforWAL-MARTandtwo
(2)signsforWALMART’stenant(s)onthePremisesfreeofcharge.
(m)房产的转让SaleofProperty
如业主将房屋出售、转让或继让,应保证受让方继续履行租赁协议项下业主应向沃尔玛履行
的义务。
IntheeventthattheLANDLORDsells,transfersorassignsthePremises,LANDLORDshallwarrantthatthenewlandlordshallcontinuetomaintaintheobligationsoftheLeaseAgreementwithWAL-MART.
(n)保险Insurance
业主应自行购买如下保险:
1)按房屋重置的价值为该房屋购买财产一切险且保单格式为“一切险”;
和2)公众责任险并附加广告牌和装饰物扩展条款、电梯责任条款和交扠责任扩展条款。
该保单的每次事故责任赔偿限额为一百万美元,承保期限内的责任赔偿限额无限额。
业主将向沃尔玛提供所有有关
