TheCATERERandCARRIERareindividuallyeachhereinafterreferredtoas“Party”andcollectivelyhereinafterreferredtoasthe“Parties”.

ThisCateringServicesAgreementwillbeeffectivefromandwillremainvalidtill.IfeitherPartyhasobjectioninthisAgreement,thePartiesshallnotifyeachotherinwritingandnegotiatewithinthirty（30）dayspriortoexpirationofthisAgreementorifbothPartieshavenoobjection,thetermofthisAgreementwillbeautomaticallyextendedforone

（1）yearandshallcontinueforindefiniteperiodunlessterminatedbyeitherPartybygivingthree（3）monthswrittennoticetotheotherParty..

DuringthetermofthisAgreement,CATERERshallprovidetoCARRIERtheservicesforallCARRIER’sflightsatthedesignatedairports.TheCATERERagreestoprovidethefollowingservices:

●CATERERshallprepareandsupplyallthemealsandotherfooditemsofhighstandardinaccordancewiththeCARRIER’smealschedule,specifications,andinstructions（Appendix1）.

●CATERERshallloadallthemealsandCARRIER’sinventoriesintoCARRIER’saircraftandplacethemproperlyintoCARRIER’saircraftasinstructedbyCARRIER’screwpriorto15minutesbeforeboarding.

●CATERERshallassignresponsiblepersonstoconfirmthemealsandCARRIER’sinventorieswithCARRIER'

sstaffatallarrivalsanddepartures,inordertoascertainthatCARRIER'

srequirementshavebeenmet,andtosupervisetheloadingandunloadingofallthemealsandCARRIER’sInventories.

●CATERERshallwashandcleantheEquipmentifapplicable.

●CATERERagreestomaintainallCARRIER’sEquipmentundersecureandsuitableconditionstopreventanycontamination-damageandpilferage.

ForceMajeure:

meansinabilitytoperformasaresultofanyeventorcircumstances（suchashurricane,flood,earthquake,volcaniceruptionetc.）thatpreventseitheroneorbothPartiesfromfulfillingtheirobligationsundertheAgreement.

IntellectualProperty:

meansthesetofintangiblesownedandlegallyprotectedbyaCARRIERfromoutsideuseorimplementationwithoutconsent.Thetermintellectualpropertyrelatestointangiblepropertiessuchaspatents,trademarks,copyrightsandconfidentialinformation.

CARRIERSupplies:

meansanyconsumablegoodsthatareprovidedbyCARRIER.

CARRIERInventory:

meansequipment’sownedbyCARRIERandstoredbyCATERER.

Meal（s）:

meanseachpassengermeals,crewmealsorspecialmeals,eithersinglyorcollectively.

Equipment（s）:

meansreusableequipmentorconsumablegoodsthatareprovidedbyCARRIERfortheprovisionoftheservices.

DesignationAirport（s）:

meansXXXXInternationalAirport

STD:

meansScheduledTimeofDeparture

●CARRIERshallprovidetheCATERERwithcomprehensiveandaccuratewritteninformation/instructionsneededbyCATERERtoensuretheprovisionoftheservices.

●TheCATERERshallstrictlyfollowtheinstructionsconcerningthemenusandflightscheduleissuedbytheCARRIERfromtimetotimeandwillensuretheeffectiveimplementationoftheinstructionswithinthespecifiedtimeframe.

●NoprovisionsofthisAgreementshallcreateanyrightsorbenefitsinfavorofthirdparties,including,butnotlimitedtoanysubcontractors,suppliersorcustomersofCATERERorCARRIER.

●ThisAgreementshallbevalidonlyinitsoriginalEnglishversion.Anyforeignlanguageversionsmaybemadeforpurposesoftranslationonly.IncaseofaconflictbetweentheEnglishversionandatranslation,theEnglishversionshallprevail.

●ModificationsoradditionstothisAgreementoritsAppendixesshallbeapprovedinwritingbybothPartiesconcernedwithmutualconsent.

2.3.1CARRIERshallgivenoticeofchangeinschedule/mealplansufficientlyinadvancetoenabletheCATERERtoplanthepreparationofmealsaccordingly.

2.3.2TheCARRIERshallgivenoticeofad-hocchangesofschedules/typesofaircraftassoonaspossible.

Atleastthree（3）days’noticeisrequiredfortheprovisionsoffullcateringofadditionalorad-hocflightsthathaveuniqueneeds.Intheeventofanad-hocflight,CATERERwillassesstherequirementsoftheserviceandassignaserviceteamtothisflight.

CATERERwillbegivenclearaccesstoaircraftinordertocarryoutitsrequirement.Ifaccessisdenied,CATERERwillnotbeheldaccountableforanysubsequentdelayintheaircraft’sdeparture.

2.6CARRIERInventory

2.6.1CATERERshallberesponsiblefortheefficientandsecurestorageofalltheCARRIER’sInventories.

2.6.2CATERERshallensurethatallCARRIER’sInventoriesinCATERER’scontrolwillbeusedexclusivelyfortheprovisionofservicesandnotsuchCARRIER’sInventorieswillbeusedbyCATERERforanyotherpurposewithoutCARRIERpriorwrittenapproval.

2.6.3CARRIERshallbeatalltimesprovideCATERERwithamplequantitiesofintactCARRIERInventoryrequiredbyCATERERfortheproperprovisionoftheservices.CATERERshallmonitortheEquipment’sofCARRIERInventorythroughmonthlyinventoriesandshallnotifytheCARRIERassoonastheEquipment’sfallsbelowtheminimumlevelsasagreedbetweentheParties.IfCARRIERfailstoprovidetheadequatetypeandquantityofCARRIERInventoryneededbyCATERER,CATERERwilluseitsbesteffortstoobtainsubstitutesattheexpenseoftheCARRIER.However,CATERERshallnotbeheldresponsibleforanydelayscausedbyCARRIER’sfailuretoprovidesuchCARRIERInventory.

2.6.4UponterminationofthisAgreementforanyreason,CATERERshallreturnallEquipment’stotheCARRIERwithin4weeks.

2.6.5CATERERshallhandlealltheCARRIER’sInventorieswithreasonablecareandCATERERshallonlybeliableforEquipmentlossordamagewhileinitscustody.

2.7.1AllreusableEquipmentwillbeproperlywashedandcleanedaccordingtothehygienicstandardsuponreceiptfromanincomingaircraft.

2.7.2TheCATERERshalltakeeveryprecautiontoensurethattheEquipmentishandledsmoothlyandinsuchamanneraswillnotcauseanydamage.

2.7.3TheCATERERshallhaveorinstalladequateandmoderncleaning,washingfacilitiessothatEquipmentcomingfromeveryarrivalflightiswashed,cleaned,driedandkeptreadyforthenextdepartureonaflightbasis.TheCATERERshallnotallowanyincomingunwashedEquipmenttocollectandaccumulateunderanycircumstances.

2.8.1Allinformation（containedinanyillustrations,samplesandspecifications）andothermaterialssuppliedbyCARRIERtoCATERERmustbeconsideredasconfidentialbyCATERER.SuchinformationandmaterialswillbeusedbyCATERERsolelytotheextentnecessaryforCATERERtomakeserviceproposalstoCARRIERandtoprovidetheservices.AllsuchinformationandmaterialsprovidedtoCATERERbyCARRIERmustbereturnedtoCARRIERatanytimeupondemand.

2.8.2TheCATERERmaynotusetheIntellectualPropertyforanypurposeotherthancontractedforinthisAgreementexceptwiththewrittenconsentoftheCARRIER.TheCATERERwillberesponsibleforanyandalldamagesresultingfromtheunauthorizeduseoftheIntellectualProperty.

2.8.3AllIntellectualPropertyrightsassociatedwithmeals,menus,recipes,specifications,concepts,presentations,promotionalmaterialsandmerchandisingsuppliedbyoronbehalfofCATERER,whetherornotcreatedinconnectionwiththeservices,willremainexclusivelywithCATERERduringandaftertheterm.

CARRIERshallhavearighttocarryoutinspectionsofCATERER’scateringfacilitieswithoutpriornoticetoCATERERduringCATERER’sregularworkinghours.TheCARRIERshallincomplyingwithCATERER’shealth,safety,securitypoliciesandshalluseitsbesteffortstopreventinterferingwithCATERER’swork.CATERERmayappointitsmanagertoaccompanytheCARRIER’srepresentativestocarryoutanysuchinspection.CARRIER’srepresentativesshallrecordandpromptlynotifytheCATERERinwritingofalldiscrepancieswiththestandardsintheAgreement.UnlessotherwiseagreedbetweentheParties,CATERERshalltakesignificantstepstorectifysuchdiscrepanciesinduecourseuponreceiptofsuchnotice.

3.1StandardsofServices

3.1.1CATERERshallprovidetheservicesinaccordancewithallapplicablelawsandallotherspecificationsdeliveredtoCATERERbyCARRIERfromtimetotimeandagreedtoinwritingbyCATERER.

3.1.2CATERERshalltakeallresponsiblestepsatalltimesduringthetermofthisAgreementtoensuretimelydeliveryoftheservices.

3.1.3CATERERshallassurethatallgoodsandservicesareprovidedinaccordancewiththespecificationsofthis
