ThisLimitedPartnershipAgreement（“Agreement”）isenteredintoandeffectiveonApril16,2014andamongthePersonslistedasPartnersonScheduleAhereto.

本有限合伙协议（简称“协议”）于 2014年4月16日签订并生效，签约人参见本文件附表A中列明的人员。

WHEREAS,thePartnershavecausedaCertificateofLimitedPartnershiptobefiledwiththeWashingtonSecretaryofStateformingalimitedpartnershipunderthename“PATHTOWERSEATTLE,LP”（the“Company”or“Partnership”）;

鉴于，合伙人已向华盛顿州务卿递交了成立有限合伙公司【名为“PATHTOWERSEATTLE,LP”

（简称“公司”或“合伙企业”）】的有限合伙证明；

WHEREAS,theCompanywasformedforthesolepurposeofinvestingintheProject（definedbelow）;and

鉴于，成立本公司仅出于项目（参见以下定义）投资的目的，且

WHEREAS,thePartnersdesiretosetforthcertainunderstandingsandagreementsamongthemwithrespecttotheaffairsoftheCompanyandtheconductofitsbusiness;

鉴于，合伙人希望就公司及其商业行为相关的事宜在彼此间建立其某种谅解和协议；

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisessetforthherein,thepartiesherebyagreeasfollows.

特此，虑及此处确定的相互约定和承诺，合同各方特此达成如下协议。

DEFINITIONS

CapitalizedtermsusedinthisAgreementshallhavethemeaningsetforthbelow.OthertermsdefinedthroughoutthisAgreementshallhavethemeaningsrespectivelyascribedtothem.

本协议中出现的首字母大写的条款定义如下。

“Act”meanstheWashingtonUniformLimitedPartnershipAct,asamendedfromtimetotime.

“AdministrativeFee”meanstheamountpaidbyLimitedPartnerstotheGeneralPartnerforexpensesincurredbytheGeneralPartnerinconnectionwiththeofferingofUnits,includinglegal,accountingandadministrativeexpenses,commissions,andfeesrelatedtotheofferingofUnitsandpaymenttooneormoreforeignbrokers,investmentadvisors,orotherpartiesinconnectionwiththesaleofUnits.

“管理费”指的是有限合伙人向普通合伙人支付的费用，即普通合伙人承担的与发售股份相关的费用，包括法律、会计和管理费、佣金、与发售股份相关的费用，以及向一位或多位国外经纪人、投资顾问或与股票销售相关的其他方支付的费用。

“Affiliate”means,withrespecttoanyPartner,anyPerson:

（i）whoownsmorethan50%ofthevotinginterestsinthePartner;or（ii）inwhichthePartnerownsmorethan50%ofthevotinginterests;or（iii）inwhichmorethan50%ofthevotinginterestsareownedbyaPersonwhohasarelationshipwiththePartnerdescribedinclause（i）or（ii）above,or（iv）whootherwisecontrols,iscontrolledby,orisundercommoncontrolwith,anotherPerson.

“关联方”指的是与任一合伙人相关的任何人：

（i）在合伙中拥有50%以上表决权的人员；或

（ii）合伙人拥有其50%以上表决权的机构；或（iii）其50%以上表决权由与第（i）或第（ii）条中描述的人员/机构有关联的人员控制，或（iv）通过其他方式控制、被他人控制或受另一方的一般控制。

“Agent”meansanyofficer,director,employee,trustee,partner,agent,orrepresentativeofaPartneractingfororonbehalfofsuchPartnerortheCompany.

“代理”指的是任一合伙人的管理人员、主管、员工、托管人、合作方、代理人或代表，其代表该合伙人或公司实施法律行为。

“At-RiskPeriod”meanstheperiodoftimecommencinguponaLimitedPartner’sadmissiontotheUnitedStatesasalawfulconditionalpermanentresidentandendingupontheendofconditionalresidenceforsuchLimitedPartnerinkeepingwithexpressedUSCISpolicyatthetime.

“风险期”指的是自某有限合伙人被准许作为合法的附条件的永久居民进入美国开始，至该有限合伙人有条件居住结束时（具体应与当时公布的USCIS的政策保持一致）的整个时间段。

“AvailableCash“meansfundsprovidedfromoperationoftheCompany,withoutdeductionsfordepreciation,butafterdeductingfundsusedtopayallexpensesanddebtsoftheCompany,administrativeoperationalexpenses,capitalimprovements,andlesstheamountsetasidebytheGeneralPartner,intheexerciseofitssolediscretion,forreserves.

“可用现金”指的是公司运营提供的资金（未扣除折旧费），但是应将以下费用扣除：

用于支付公司所有费用和债务的基金、管理运营费、改良性资本支出，并应减去普通合伙人留出作为准备金的费用，对此普通合伙人拥有绝对的酌情处理权。

“Bankruptcy”means,withrespecttoanyPartner:

（i）anassignmentforthebenefitofcreditors;（ii）avoluntarypetitioninbankruptcy;（iii）adjudicationasabankruptorinsolvent;（iv）thefilingofapetitionoranswerseekinganyreorganization,arrangement,composition,readjustment,liquidationorsimilarreliefunderanystatute,regulationorlaw;（v）thefilingofananswerorotherpleadingadmittingorfailingtocontestthematerialallegationsofapetitionfiledagainstthePartnerinanyproceedingofthisnature;（vi）seeking,consentingto,oracquiescingintheappointmentofatrustee,receiver,orliquidatorofsuchPartne’rspropertiesorofalloranysubstantialpartofthePartner’sproperties;or（vii）anyproceedingagainstthePartnerseeking
