meansthescopeofsupplyandservicesofCinconnectionwiththeexecutionoftheProjectasdescribedinAnnex2.

　　3.2ThetotalprojectcostshallcomprisebutnotlimitedtothefollowingcostsandthedetailsoftheprojectcostshallbeasattachedAnnex3-ProjectCost:

　　1）Costforfeasibilitystudy,designandengineeringandotherconsultingservices;

　　2）Costforconstructionandinstallation;

　　3）Costforpurchasingequipmentandmaterials;

　　4）Costforadministrationincludingoverseasexpenses;

　　5）Overheadandmiscellaneousexpenses;

　　6）Contingencies;

　　7）Interestduringtheconstructionperiod（__________%perannumplusbankcommission）;

　　8）Premiumforconstructioninsuranceandexportcreditinsurance.

　　3.3TheProjectCostshallbebasedonthefeasibilitystudyreportandincaseofasubstantialvariationininvestmentarisingfromgeologicreasons,theadditionalparttotheProjectCostshallbeapprovedbyB.AnadditionalinvestmentagreementorcontractshouldbeconcludedbetweenBandC.

　　4.ResponsibilitiesforProjectExecution

　　4.1CshallberesponsibleforthefollowingprovidedthatifandafterNewCompanyisestablished,responsibilitiesshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany:

　　1）thedesignandengineering,procurement,constructionandcommissioningoftheProject;

　　2）allcostsinconnectionwiththebuildingoftheinfrastructureprojectandthearrangementofallnecessaryfunding;

　　3）operationoftheinfrastructureproject;

　　4）transferoftheinfrastructureprojecttoBontheTransferDate;

　　4.2Bshallberesponsiblefor:

　　1）thearrangementof:

theprovisionofallnecessarydevelopmentapprovals,permits,consents,siteleases,accessandotherrightsforCorNewCompanytogetherwiththefulfillmentofessentialrequirementssuchascompanyregistration,importlicenseandexemptionofcustomsdutiesandthelike;

theprovisionofallnecessaryordesirableaidsforCtoobtaintheloan;

obtainingofallregulatory,statutoryandotherconsents,approvals,authorizations,taxconcessionsandinvestmentincentivesasdescribedhereinafterwhicharenecessaryordesirablefortheimplementationoftheProject;

obtainingofallnecessarypermitsandapprovalsfromtherelevant_____________authoritiesforCorNewCompanytorepatriatecapitalanddividendsinUSDollarsfrom______;

obtainingofresidentvisas,workpermitsandothernecessaryapprovalsfromtherelevantauthoritiesforCorNewCompany&

spersonnel,design,manufacturing,installationandconstructionpersonnelaswellastheirdirectrelativesincludingthetravelin___________;

theprovisionofallnecessaryapprovalsandpermitsrelatingtoextensionoftheinfrastructureprojectandtheProjectfacilitiesinordertoincrease_________________productionifCorNewCompanyintendstodoso;

theprovisionofallnecessarysecuritymeasuresforconstructionandoperationpersonnelandProjectfacilitiestilltheTransferDate;

theprovisionofcommunicationsandtransportfacilitiesoftheProjectconstructionandtheoperationoftheinfrastructureproject;

　　2）theassistanceintheoperationoftheinfrastructureproject.

　　3）providingCand/orNewCompanywithfreeuseoftheSite,includingbutnotlimitedtotheareaofconstructionsite,accessroad,transmissionlinerightofway,__________andetc.

　　4）thenegotiationandconclusionofserviceagreementwith___________Governmentorothercountries&

governmentsjointlywithCornewCompany,thePeople&

sInsuranceCompanyofChinarepresentatives,whosepresenceinthenegotiationBshallensure,andwhoseapprovalBShallobtain;

　　5）theexportationof________________percentof__________producedbytheinfrastructureprojectto__________oranythirdcountry;

　　6）theassignmentofitsrepresentativesatSiteandtotheNewCompanytoassistCorNewCompanyandmakenecessarycoordinationbetweenBandCorNewCompany.

　　4.3BensuresthattheOperationPeriodoftheProjectshallbenotlessthan_______years.HoweverifIRR（InterRateofReturn）doesnotreach_______percent,bothpartieswilldiscusstheproperextensionoftheOperationPerioduntiltheyearIRRreaches_______%.

　　4.4ConditionsPrecedent

BshallberesponsiblefortheprovisionofthefollowingdocumentsforCtomakeavailableanypartofthisAgreementwithin_______monthsfromthedateofsigningthisAgreementandsuchdocumentsshallbevalidandeffectivetoNewCompany:

　　1）apowerguaranteeissuedby___________________parliamentacceptabletoCintheformdefinedinAnnex7,whichshallbereturnedtoBontheTransferDate;

　　2）warrantytobeissuedandloanagreementtobeconcludedwiththeproposalmadebyBforbearing__________percentoftheProjectCost,theBankof______________astheloaneeand__________FinanceMinistryastheguarantorandacceptabletotheBankofChinaandthePeople&

sInsuranceCompanyofChina,andaletterofcreditorletterofguaranteetobeissuedasrequiredbytheBankofChinaprovidedthatthelengthofmaturityis__________yearsincludinga_______yearconstructionperiodandloaninterestis________percentperannum;

Bmaymakeearlierreimbursement;

　　3）loanguaranteeandwarrantyforC&

ssharing__________%oftheProjectCostincludinginterestoftheconstructionperiodtobeissuedbytheBankof_____________and______________FinanceMinistryrespectively,acceptabletothePeople&

sInsuranceCompanyofChinaandtheLendingBankandvaliduntiltotheTransferDate（__________）,providingallnecessaryassistanceinenablingCtoobtaintheloanfrominternationalprimebanks;

　　4）thelegalcertificateissuedby_____________PresidentofSupremeCourtandthelegalcertificateissuedby______________ProcuratorGeneral,certifyingthatthisAgreementshallbevalidandenforceableunderthelawsof_____________ineveryrespectintheformdefinedinAnnex8;

thecertificateofapprovalissuedbytheGovernmentof_____________,certifyingthattheProjectislawfulandlegitimate;

　　5）Bshallpermittheconstructionmachinery,materialandequipmentnecessaryfortheProjecttobetransportedinto__________via_____________bysea,and/orbyroadthrough__________asWellasbyair,ensuringfacilitiesfromthe__________bordercontrolandcustomsauthorities.
