ARTICLE1.DEFINITIONS

shallmeanonebaseduponeachpartnerhavingonevotewitheachvotehavingequalweight.Unlessstatedelsewhereintheagreement,aMajorityVoteofthePartnersis

requiredforpassageofanymatterbeforethepartnersforconsideration.

MajorityVoteofthePartners"

shallmeanablockofvotesofthepartnerscollectively

constitutingmorethanfifty（50percentoftheeligiblepartnervotes（whetherornotsaid

votesareactuallycast.

shallmeanablockofvotesofthepartners

2.e.ARTICLE2.PURPOSE/PREFATORYINFORMATION

.ThePartnersmayagreetochangethenameinthefuture.ThelawsoftheStateofCaliforniashallcontroltheoperationandinterpretationofthisagreement.

maybeadmitteduponaSupermajorityVoteofthePartners.AdmissionofnewPartnersshallnotconstituteaneventofdissolutionofthispartnership.Furthermore,admissionofanynewPartnershallbecontingentupontheprospectivenewPartneragreeingto,andexecuting,thispartnershipagreement（asmodifiedatthetimeofadmission.

Section3.03

ThePartnersmaytakeanyactionrequiringavoteofthepartnersthroughameetinginperson,byproxy,orwithoutameetingbywrittenresolutioninaccordancewiththisSection.MeetingsofPartnersmaybeconductedinpersonorbytelephoneconference.Tobeeffective,apartnerresolutionshallrequirethesignatureandassentofthesamepercentageornumberofPartnersasthatrequiredhadtheactionwhichisthesubjectoftheresolutionbeenvoteduponinameetingofthePartners.a.

AvotingproxygivenbyaPartnertoanotherpersonmustbeinwriting.

InnoinstancewhereactionisauthorizedbywrittenresolutionshallitberequiredthatameetingofPartnersbecalledorpriornoticeoftheactionbegiven;

however,uponpassage,acopyofthe

resolutionofthePartnersshallbesentpromptlytoallPartnersandfiledwiththepartnershiprecords.c.

AmeetingsofPartnersmaybecalledbyanyPartner,orPartners,individuallyorcollectivelyholdinga25%ormoreinterestintheprofitsofthePartnership.WhenameetingofthePartnershasbeencalled,seven（7daysadvancewrittennoticeshallbegiventoallPartners.NoticeofameetingcalledforhereundermaybemadebystandardU.S.mail,electronicmail,orfacsimiletransmissionandshallcontainthetime,place,andpurposeofsuchmeeting.AquorumforanyactiontobetakenatameetingofPartnersshallbepresent（inperson,viatelephone,orbyproxyshallbePartners

collectivelyholdingmorethan60%oftheoutstandingvotesofthePartnership.AnyPartnermaythroughawritteninstrument
