MemorandumofUnderstanding

ThisMemorandumofUnderstanding（MOU）ismadeandenteredintothis8thdayofsep,2012between:

TheConsortiumwhoseprincipalplaceofbusinessisinPRCandconsisting,interaliaof

i）ChinaInternationalFundLimited;

ii）ChinaRailwayConstructionCorporation;

（theConsortium）oftheonepart,andtheGovernmentoftheRepublicofSierraLeone（GOSL）

TheConsortiumandGOSLaresometimesreferredtointhisMOUindividuallyasa“Party”and,collectively,asthe“Parties”

WHEREAS

A.InfurtheranceofthemutualdesiresofthePartiestodevelopastrategicpartnershipandcooperationtoensurethattherichpotentialresourcesofSierraLeonebenefitthepeopleofSierraLeonethroughimprovedwelfareofthePeopleofSierraLeonethroughtheprovisionofservicesandinfrastructureandthestrengtheningofSierraLeone’snationaldevelopmentthroughexperiencesharing（South-SouthCooperation）particularlyinthesphereofconstructionofcoreinfrastructureassets;

B.TobringtothePeopleofSierraLeone,inthespiritofmutualrespectandwithaviewoftransferringrelevanttechnical,organizationalandmanagementskillsnecessarytobringtothe

C.RepublicofSierraLeonetoahigherlevelofdevelopmentandprosperity;

D.GOSLdesiresassistanceinsourcing,implementingorprequalifyingskilledandcompetentcontractorsandfinanciersforthepurposeofitsnationaldevelopmentprioritiesawardofcontractsforprojectsspecificallyinthefollowingpriorityareas;

E.TheconsortiumaffirmsthattheyareexperiencedinternationalresourceandinfrastructurecompanieswithvastcontactsinthesphereofdevelopmentalconstructionandareableandwillingtosharewithGOSLtheirexperienceandcontacts,especiallycontractorsandfinancierswithinthePeople’sRepublicofChina,HongKongandtherestofAsia;

Inconsiderationoftheconsortium’sassistanceassetoutherein,GOSLagreestoerterintothisbindingMOUthatsetsoutthekeytermsandaprocessbywhichthepartieswillnegotiateingoodfaith,establishandagreeonthetermsandconditionsofadefinitiveagreementorseriesofdefinitiveagreements.

1.Effectivedate;Term.

（a）ThisMOUshallbecomeeffectiveon8thSeptember,2010（theEffectivedate）.

（b）ThisMOUshallremainineffectunlessterminatedbythepartiesheretobymutualwrittenagreement.

2.Responsibilitiesoftheparties

（a）DuringthetermofthisMOU,theCONSORTIUMshallactasGOSL’snetworkofcontactsandexperiencetoworkwithbanksfinanciers,relatedprofessionalstoselectandintroducecapableandreasonablecontractorsfrom（orwhoseparentcompaniesarefrom）thePeople’sRepublic
