Article1-Definitions

"TheOwner"shallmean….

"TheContractor"shallmean….

"ThePlant"shallmeanalloranypartofthemachinery,equipmentandmaterialsformingthepermanentinstallationasspecifiedinAppendix（…）.

"TheSite"shallmeanallthelandwheretheplantistobeconstructedinaccordancewiththisContract.

"TheWorks"shallmeantheworkstobedonebytheContractorunderthisContract.

"TheContractPrice"shallmeanthetotalsumpayabletotheContractorbytheOwnerfortheWorks.

第一条定义

TheOwner指“业主”。

TheContractor指“承包商”。

“工厂”指在附录×中指定的构成固定设备的全部机器、设备和材料。

“工地”指按本合同用于建造工厂的全部地皮。

“工程”指承包商按本合同实施的工程。

“合同价格”指业主向承包商支付的全部工程款项。

·Article2-Contractor'sResponsibilities

·第二条承包商的职责

1.TheContractorshalldesign,engineer,andconstructthePlantattheSite.

1.承包商应负责设计、筹划以及在工地上建造工厂。

·

·2.TheContractorshallprovideallequipment,materials,tools,facilities,labourandservicesnecessaryforthesuccessfulconstructionofthePlant

exceptthoseitemsandfacilitiestobesuppliedbytheOwnerunderArticle（…）.

·2.除了业主根据第×条提供的项目和设施，承包商应提供所有为使工厂成功建造所必需的设备、材料、工具、设施、劳工和服务。

3.TheContractorshallperformtheWorksinaccordancewiththeScheduleinAppendix（…）.

4.TheContractorshallprovidetheOwner'spersonnelwithtrainingof

Article3-Owner'sResponsibilities

·第三条业主的职责

1.TheOwnershallmakeavailabletheSiteandgranttheContractorfreeanduninterruptedaccesstheretothroughoutthedurationofthisContract.

1.业主应提供工地，并在本合同有效期内允许承包商自由地、不受干扰地出入该工地。

2.TheOwnershallprovidethoseitemsandfacilitiesspecifiedinAppendix

2.业主应按时提供附录×中指定的物件和设施。

·3.TheOwnerwillobtainfromtherelevantAuthoritiesthoselicensesandpermitsnecessarytoconstructandoperatethePlantontheSiteincludingworkpermitfortheContractor'semployees.

·3.业主将从有关部门获取为工厂建造、设备运行所必需的执照和许可证，包括承包商雇员的工作许可证。

4.TheOwnershallpaythecontractorfortheWorksperformedtheContractPricesetoutinArticle（…）.

4.业主应按第×条中规定的合同价格向承包商支付工程款项。

Article4-ContractPrice第四条合同价格

1.Within（…）daysaftertheeffectivedateofthisContract,theOwnershallpaytheContractorasfullandcompletecompensationforaccomplishing

theWorksandassumingallobligationsunderthisContracttheContractPriceintheamountof.

1.在本合同生效后××天内，业主应向承包商支付金额为----合同价格，作为承包商完成该工程并承担本合同规定的所有义务的全部报酬。

·2.TheContractPriceisnotsubjecttoescalation,andthecostofexecutingtheWorksshallbetheriskoftheContractorwhoshallbedeemedtohave

obtainedallinformationandtakenintoaccountallcircumstanceswhichmayaffectthecostinagreeingtheContractPrice.

2.合同价格不再上调，完成工种的成本风险应由承包商承担，商定合同价格时应认为承包商已获得全部信息并已把所有可能影响成本的因素估计在内。

Article5-Drawings

第五条设计图样

1.TheContractorshallsubmittotheOwnerforapprovalandreviewwithinthetimespecifiedinAppendix（…）suchdrawingsasmayberequiredfor

ConstructionofthePlantunderthisContract.WithinonemonthafterreceivingsuchdrawingstheOwnershallreviewandapproveordisapprovethedrawing.

1.承包商应根据合同，在附录××规定的时间内向业主提交工厂建造所需的图样，供业主审批。

业主应在收到这些图样后一个月内，对图样进行审核，并作出批准或不批准的决定。

2.TheContractorshallberesponsibleforanydefects,errorsoromissions

intheabovedrawingsunlesssuchdefects,errorso
