SUPPLEMENTARYPROVISIONS

Article1ThisLawisformulatedwiththegoalofprotectingthelawfulrightsandinterestsofthepartiestocontracts,maintainingsocialandeconomicorderandpromotingtheprogressofthesocialistmodernization.

Article2AcontractinthisLawreferstoanagreementestablishing,modifyingandterminatingthecivilrightsandobligationsbetweensubjectsofequalfooting,thatis,betweennaturalpersons,legalpersonsorotherorganizations.

Agreementsinvolvingpersonalstatusrelationshipsuchasonmatrimony,adoption,guardianship,etc.shallapplytheprovisionsofotherLaws.

Article3Thepartiestoacontractshallhavelegallyequalstatus.Nopartymayimposeitswillontheotherparty.

Article4Thepartiesshallhavetherightstovoluntarilyconcludeacontractinaccordancewiththelaw.Nounitorindividualmayillegallyinterfere.

Article5Thepartiesshallabidebytheprincipleoffairnessindeterminingtherightsandobligationsofeachparty.

Article6Allpartiesmustactinaccordancewiththeprincipleofgoodfaithinexercisingrightsandperformingobligations.

Article7Whenconcludingandperformingacontract,thepartiesshallabidebythelawsandadministrativeregulations,observepublicmorals.Neitherpartymaydisruptthesocio-economicorderordamagethepublicinterest.

Article8Assoonasacontractisestablishedinaccordancewiththelaw,itshallbelegallybindingontheparties.Thepartiesshallperformtheirrespectiveobligationsasagreed.Neitherpartymayunilaterallymodifyorterminatethecontract.Contractsestablishedaccordingtolawshallbeprotectedbylaw.

Article9Whenconcludingacontract,thepartiesshallhavetheappropriatecapacitiesforcivilrightsandcivilconducts.

Apartymayentrustanagenttoconcludeacontractonhisbehalfinaccordancewiththelaw.

Article10Thepartiesmayconcludeacontractinwriting,orallyorinotherforms.

Wherethelawsoradministrativeregulationsrequireacontracttobeconcludedinwriting,thecontractshallbeinwriting.Ifthepartiesagreeittobeinwriting,itshallbeinwriting.

Article11Theterm'

inwriting'

meansaformwhichcanshowthedescribedcontentstangibly,suchasawrittencontractualagreement,letters,andelectricallyorelectronicallytransmitteddocuments（includingtelegrams,telexs,fax,EDIande-mails）.

Article12Thecontentsofacontractshallbeagreeduponbytheparties,andshallcontainthefollowingclausesingeneral:

（1）titlesornamesanddomicilesoftheparties;

（2）contractobject;

（3）quantities;

（4）quality;

（5）priceorremuneration;

（6）timelimit,placeandmethodofperformance;

（7）liabilityforbreachofcontract;

and

（8）methodstosettledisputes.

Thepartiesmayconcludeacontractbyreferringtothemodeltextsforeachtypeofcontract.

Article13Thepartiesshallconcludeacontractintheformofofferandacceptance.

Article14Anofferisadeclarationofintenttoconcludeacontractwithotherparties.Thedeclarationshallcomplywiththefollowingstipulations:

（1）Itscontentsshallbespecificanddefinite;

（2）Itindicatesthattheofferorwillbeboundbyitupontheacceptanceoftheofferee.

Article15Aninvitationtoofferisadeclarationofintentofapartytohaveotherpartiestomak
