EXWORKS（insertnamedplaceofdelivery）Incoterms2011

GUIDANCENOTE

Thistermmaybeusedirrespectiveofthemodeoftransportused,andmayalsobeusedwheremorethanonemodeoftransportisused.Itissuitablefordomestictrade,whileFCAisusuallymoreappropriateforinternationaltrade.

“ExWorks”meansthatthesellerdeliverswhenitplacesthegoodsatthedisposalofthebuyerattheseller’spremisesoratanothernamedplace（i.e.,worksfactory,warehouse,etc.）.Forthesellertodeliverthegoods,itdoesnotneedtoloadthegoodsonanycollectingvehicle;

neitherdoesitneedtoclearthegoodsforexport,wheresuchclearanceisapplicable.

Thepartiesarewelladvisedtospecifyasclearlyaspossiblethepointwithinthenamedplaceofdelivery,asthecostsandriskstothatpointarefortheaccountoftheseller.Thebuyerhastobearallcostsandrisksinvolvedintakingthegoodsfromtheagreedpoint,ifany,atthenamedplaceofdelivery.

ExWorksrepresentstheminimumobligationfortheseller.Thetermshouldbeusedwithcareas:

a）abuyerwhobuysfromaselleronanExWorksbasisandthenexportsthegoodswillbeexposedasthesellerhasonlylimitedobligationstoprovidetheassistanceordocumentsthebuyermayrequiretoeffecttheexport/import.Giventhegrowingdemandsforinformationregardingthegoodsforsecuritypurposes,thisisespeciallyimportant.ThepartiesarewelladvisednottouseExWorksifthebuyerisunabledirectlyorindirectlytoobtainexportclearance,whereapplicable;

b）thesellerisnotresponsibleforloadingthegoods,eventhoughinpracticeitmaybeinabetterpositiontoloadthem,althoughatthebuyer’sriskandexpense.Inthesecases,FCA,whichobligesthesellertoloadthegoodswhendeliverytakesplacesattheseller’spremises,isusuallymoreappropriate;

and

c）thebuyerhaslimitedobligationstoprovidetotheselleranyinformationregardingtheexportofthegoods.Thesellermayneedthisinformationfor,e.g.,taxationpurposes.

Thesellermustprovidethegoodsinconformitywiththecontractofsaleandthecommercialinvoiceandanyotherdocumentsrequiredbythecontract.

Licences,authorizations,securityclearancesandotherformalities

Whereapplicable,thesellermustrenderthebuyer,atthelatter’srequest,riskandexpense,assistanceinobtaininganyexportlicence,orotherofficialauthorizationnecessaryfortheexportofthegoods.Whereapplicable,thesellermustprovide,atthebuyer’srequest,riskandexpense,informationthatthesellerh
