3.Payment:

4.Periodandmeansofdeliveryofthedesignplan.

a.PartyBmustcompletethedraftofdesignwithinthetimeagreedbythe

twoparties.ifpartyBcannotcompleteontimeduetoreduplicativechangesfromPartya,thedeliverytimecanbeputoff.Toensurethesmoothcooperation,PartyamustconfirmormakesuggestionwithinthreeworkingdaysafterreceiptofthedesignfromPartyB,PartyBshouldnotexceedfiveworkingdaystofeedbackthesuggestion.

b.Partyashouldsupplythenecessarydesigninginformationwithin20

workingdaysaftersigningofthecontract.asPartya（notsupplycompleteinformationandsoon）makethedesigndelayed,ifdelayedtimemorethanthreemonths（subjecttothedateofcontract）,Partyashouldpaythebalancedesignfee,PartyBwillcarryonmakingthedesign.ifmorethansixmonths,thiscontractwillautomaticallybeterminated.PartyBwillsupplytheoriginalcd.ifPartyastillneedPartyBtomakethedesign,Partyashouldpayantherpaletteanddesignfee.

c.afterthefinalconfirmationofthedesign,PartyBshouldsupplythe

coloredprintsandelectronicdocuments.

d.Partyashouldbeartheactualcostifneedstheprintingsample.

5.intellectualProperty.

a.BeforePartyapayoffallthedesignfee,PartyBownthecopyright,

Partyacannotusethisdesign,andhavenoanyrightofthisworks.

b.PartyahavetherighttosignthecopyrightTransfercontract,tohave

theproprietaryrights,rightsofuseandalterationsafterpayingoffthepayment.copyrightofdesignnotusedbyPartyastillbelongstoPartyB,Partyadonothaveanyrightforthis.

c.afterthefinalconfirmationbyPartya,ifasthechangesofPartya’s

companynameorcommoditynametochangethedesignplanorhavealldifferentideawiththeoriginalplan,itshouldbeasnewplan,andParty

ashouldpaythebalancefee,andsignnewcontract,PartyBwillmakenewdesignplan.

d.afterpayingoff,PartyBcannotalterthedesignandgiveanyother

company.

6.Responsibilityandauthority

a.ResponsibilityofPartya

（1）Partyashouldtrytheirbesttosupplytheinformationforthis

design.

（2）oncefindingthemistake,oversightordisagreementwiththe

contract,PartyashouldinformPartyBinwritingtimely,andParty

Bshouldmakeamendmentintime.

（3）Partyashouldabidebythepaymenttermsinthecontract.

（4）Partyashouldmaketheconfirmationforallthedocumentsand

thingsthatneedconfirmedtimely.

（5）PartyahavetherighttogiveasuggestionforPartyB’sdesignand

maketheworksaccordswiththeenterpriseculture.

b.ResponsibilityofPartyB

（1）PartyBmustmaketheplanandcreativedesignaccordingtothe

requirementinthecontractmadebyPartya,andmakefulluseof

specializedknowledgeandexperience,tosupplyfirstdesignand

servicetoPartya.

（2）PartyBshouldsupplyallthedesigndocuments,makingsizesand

designsofeveryperiodaccordingtotheallrequirementofthe

contractandappendix,andcompletethedesign.

（3）PartyBshouldmakethedesignaccordingtothethingsthat

confirmedbyPartyacritically.

（4）PartyBshouldmakethedesigncreationastherequirementofParty

aandsupplythesatisfiedworks.

7.Breachofduty

a.Partyatoterminatethecontractbeforedraftdesigncompleted,PartyB

willnotreturnthedeposit.Partyatoterminatethecontractafterthefinaldesign,theyshouldpayallthefees.

b.PartyBtoterminatethecontractwithoutcause,toreturnallthefeesto

Partya.

8.Thetwocopiesofthebothsignedcontract,thetwosidesanarmed,and

havetheequallegaleffect.

Thedesigntimebeginsafterthecontractsignedandreceivedthedeposit.

广告策划服务合同（范本）

广告传播策划服务合同

甲方：

乙方：

重庆达恒广告有限公司

甲乙双方经协商，就“项目”的调研策划、广告创意及设计、营销策划、实施指导监督等宣传推广事宜，达成如下合同条款：

一、甲方同意委托乙方为“项目”（以下简称本项目）广告策划全程总代理，负责本项目的广告策划、创意、设计、制作、调研、监控的代理事宜。

二、项目服务内容（详见合同附件1）

三、服务期限

服务期为个月，从20XX年月日至年月日。

如在服务期内,乙方服务质量未能达到甲方要求,甲方有权提前终止合同,但需提前30天以书面形式通知乙方。

本合同期限届满前，如任何一方未给予另一方书面终止合同通知，则本合同自动延长。

在自动延期期间，本合同所有有关条款和乙方收费标准不变。

在延长期内，任何一方有权给予另一方提前30天书面通知后终止合同。

四、收费标准

双方合作期内，按照以下方式支付服务费：

（一）支付标准：

月度服务费金额为每月：

人民币陆万元整（￥60，000.00），本合同总服务费为叁拾陆万元人民币（￥360，000.00）。

（二）支付方式：

服务期暂定为6个月。

甲方在当月25日前支付乙方当月策划月度服务费陆万元整元（￥60，000.00）（如遇法定节假日则顺延），由乙方提供正式发票。

双方应在本合同规定的付款期，完成结算。

甲方提前解除或终止时，应在合同解除或终止后10天内支付合同解除或合同终止前的服务费以及乙方执行代理事务已产

生的和/或合同终止后必将产生的费用（包括乙方实际发生的和为甲方垫付的第三方费用等本合同第四条规定的费用）。

如因乙方提前解除或终止合同，甲方不再支付合同终止后的服务费。

乙方应在甲方付清所有应付款前的3日，向甲方移交其因执行代理事务而为甲方创作、制作或获取作品及工作过程中甲方提供给乙方的相关资料（书面文本及电子文件）。

五、双方的权利义务

（一）乙方的权利义务：

1、乙方承接甲方广告策划代理业务，应尽职尽责为甲方服务，完成甲方委托的各项策划、设计、制作和代理业务，并为甲方的资料和推广计划等保密。
